Annexure B – Terms and condi2ons

INCENTIVE PLAN:
During the course of employment, you may be eligible for the variable
component of incen7ve payments which is considered to be a successful
closure or target achievement. The incen7ve would be paid only if you are an
exis7ng employee at the 7me of disbursement and when the company receives
its full revenue of the par7cular deal or project.
PERFORMANCE IMPROVEMENT PLAN (PIP):
The organiza7on has a performance target for sales employees; you will be
informed about your sales targets and performance during your services. In
case you failed to reach targets, management has the right to ac7vate PIP for a
specified 7me period. During PIP Period, you will get extra support from the
management to improve your performance. Your fixed pay will be converted
into “Performance-Pay”. You will be en7tled to a salary only if you successfully
achieve the performance targets. You have the right to accept or decline PIP. In
case you decline, your services will be terminated immediately on account of
non-Performance and you will be relieved from the services without any no7ce
or no7ce-pay.
PROBATION:
You will be on a period of Proba7on of Three (3) Months, if deemed necessary,
the proba7on may be extended for a further period and the organiza7on has
the right to terminate you on immediate effect if your work is found,
unsa7sfactory, negligence or by not following Code of Conduct of BHK Spaces
PVT LTD on your part.
Notwithstanding the foregoing, and if you decide to terminate your
engagement with the company, you shall be required to give 1-month prior
no7ce. Failure of which you will not be en7tled to receive a full and final
statement from the company.
During the Proba7on period, you will not be eligible to take any leave apart
from Holidays given by the company. However, in case it is mandatory,

Manager approval would be required. Though the remunera7on will be
deducted for the number of days the leave is taken.
NOTICE PERIOD:
On successful comple7on of the Proba7on Period, you may con7nue your
services with the organiza7on as long as your services are required or
voluntarily resign from the services of the organiza7on by providing two (2)
months prior no7ce to the company which is mandated. If not, you are liable to
pay Three (3) months’ salary as compensa7on to the organiza7on.

SALARY PAY CYCLE:

The salary pay circle of the company follows a unique policy that spans from
the 21st of one month to the 20th of the next month. Under this policy,
employees receive their salaries on the 5th of each month.

CONDUCT:
You are required to maintain utmost devo7on to duty and shall not do anything
unbecoming of an Employee in the service of the Company or while working in
the Client Company. You shall adhere to the code of conduct and discipline in
the Company during your tenure of work at the Client's Office/Premises. Any
complaint by the Client will be viewed seriously. If you commit any offense as
per the Company's policies or as per applicable law, then the company may
take necessary ac7on.
SECRECY/CONFIDENTIALITY:
During your employment, it is expected that you will keep the utmost
confiden7ality of all the documents, work methodologies, client data, or any
other data or papers entrusted to you. BHK Spaces Pvt. Ltd. has the right to
claim monetary damages in case this is violated, apart from termina7on of
services.
CONFLICT OF INTEREST/COMMITMENT:
You are in no way allowed to be employed by any other company or engage
yourself in other gainful or commercial employment or business, part-7me or
full-7me, freelancing, harmony or remunerator, directly or indirectly offer your
services with pay or without pay simultaneously as long as you are employed
with BHK Spaces Pvt Ltd. Such dealings are highly prohibited conduct and
punishable according to the company norms.

THREATS AND VIOLENCE:
The company will not tolerate any threats, threatening behavior, or act of
violence commi_ed by or against employees or on BHK Spaces Pvt Ltd.
Viola7on of policies will lead to disciplinary ac7on and be treated as a criminal
act.
SEXUAL ASSAULT/ HARASSEMENT:
A vic7m of sexual harassment can be a man or a woman. The vic7m can be of
the same gender. The harasser can be a supervisor, Co-Worker, another
department employee, or non-employee who has a business rela7onship with
BHK Spaces Pvt Ltd. Will be punished according to the Law.

Adherence to Informa2on Technology (IT) Policy and any other Workplace


Policy that may be applicable:
1. You shall be responsible for following the defined IT policy of the
Company and its Client.
2. You will exercise due diligence and follow the correct laid-down
opera7ng procedure using all the hardware including your Desk Top/Lap Top,
Printer, Scanner, Photo Copier, etc.
3. You will use the allo_ed official Email ID for official purposes and official
communica7on only and shall never transmit/communicate any text, message,
or communica7on in any form which may be classified as derogatory, or
defamatory.
4. You shall also be responsible for the safety and security of the data
including but not limited to various sofware installed/copied in your
desktop/laptop for the period while such hardware/sofware is in your
possession.
5. You shall also keep the Company and/or its Client indemnified against
any loss or damage which they may incur due to any act of your misconduct or
mishandling of the said hardware and or peripherals during the term of this
employment contract without prejudice to other rights and remedies available
to them under any other Act or Laws in force for the 7me being.

7. If we have reason to believe any of the documents/cer7ficates submi_ed
by you are falsified or shown to be false;
8. If we have reason to believe that any confiden7al informa7on and/or
material, whether in print or in electronic form like floppy disk, Compact Disk,
Pen Drive, etc., which you are privy to during your period of service, has been
wrongly disclosed or copied and/or disclosed to any third party external to our
organiza7on or our client organiza7on.
9. If we have reason to believe that your acts of omission/commission have
led to a breach of the Agreement under the terms of this Le_er of
Appointment and Engagement.

Furthermore, BHK SPACES PVT. LTD. will have the right to terminate your
services for any of the reasons stated above. On termina7on of your services
under any of these circumstances you will be removed forthwith from the work
premises and your dues will be se_led as required by law. Any amount payable
to you under the terms of this le_er of Appointment and Engagement may be
se_led only afer reference to your legal obliga7ons is taken into considera7on
and afer making all deduc7ons as required by law and/or in respect of any
amounts due to BHK SPACES PVT. LTD. and/or to the client from you.

I have read and understood the agreement and I agree to all the terms and
condi2ons men2oned above.
