DEED OF ABSOLUTE SALE

KNOW ALL MEN BY THESE PRESENTS:

This Deed of Absolute Sale (the "Deed") is made and executed this ____ day of
________, 2023 at , by and among;

Name Filipino, of legal age, married, and a resident address (hereinafter referred
to as the “SELLER”);

-and-

name, Filipino, of legal age, married, and a resident of address (hereinafter


referred to as the "BUYER").

The Seller and Buyer are collectively referred to as the “PARTIES”.

RECITALS:

a. The Seller represents that he is the owner of a parcel of land with the following
lot description or details;

i. the land is part of a parcel of land containing an area of around // with the
following boundaries:

Such parcel of land was transferred to the SELLER’s mother by virtue of an


agreement //. Attached as Annex A is the //;

ii. Such parcel of land was partitioned among the children of //. The survey
plan and proposed subdivision plan indicating the SELLER’S share is
attached hereto as Annexes B and C, and are made integral part hereof;

iii. The SELLER’s share subject of this agreement pertains to a portion with an
area of // more or less.

The SELLER’s share shall be hereinafter referred to as the “SUBJECT


LAND” or “PROPERTY”:

b. The SELLER has offered to sell, transfer, cede and convey to the BUYER, and the
BUYER has agreed to purchase and accept the Property from the SELLER.

NOW THEREFORE, for and in consideration of the above premises, the SELLER hereby
sells, transfers, and conveys to the BUYER the Property under the following terms and
conditions:

1. Purchase Price

For and in consideration of the amount of //, the receipt and legal sufficient of
which is hereby acknowledged by the SELLER, the SELLER hereby sells, transfers,
and conveys to the BUYER, and the BUYER hereby purchases and accepts from
the SELLER the Property.
2. Seller's Representations and Warranties

The SELLER represents and warrants to the BUYER that:

a. The SELLER has the absolute and unrestricted capacity to enter into this
Deed and full authority to sell the Property to the BUYER;

b. The SELLER has legal, valid, absolute, and marketable title to, and have
peaceful possession and enjoyment of the Property; and

c. The Property is free and clear of any and all liens and encumbrances and is
not subject to any pending litigations involving ownership or possession of
the same.

The obligations of the SELLER under this Deed constitute its legal, valid, and
binding obligations enforceable in accordance with the terms hereof. This
instrument cancels and supersedes all previous contracts or arrangements, if any,
between the parties herein in connection with the Property subject of this
instrument and it shall not be amended, changed, modified, as any such
amendments, changes, modifications, novations or alterations shall be valid only
if made in writing and signed by both parties to this instrument.

3. Taxes and Fees

The payment of capital gains tax, if any, shall be for the account of the SELLER.
The BUYER is authorized to deduct capital gains tax, if any, from the purchase
price and remit directly to the Philippine Bureau of Internal Revenue. The
payment of documentary stamp tax, transfer tax, registrations fees, notarial fees,
and other expenses incidental to the transfer of the title in the name of the
BUYER shall be for the account of the BUYER.
