AGREEMENT

This Agreement is reached between:

1. Healthwire Private Limited, acting through its Area Sales Executive, Abdul
Basit, having its registered office at 2nd Floor, 57 Mian Mehmood Ali Kasoori
Road, Block B3 Gulberg III Lahore.
And

2. Medical Frequency Center proprietor/owner of business engaged in the

provision of Health Services.

This Agreement sets out the terms and understanding between Healthwire and
Medical Frequency Center (hereinafter referred to as the “Parties”).

Objectives and Principles

This Agreement intends to set out the general principles of mutual cooperation in
the process of setting up a Hospital Management System, according to which the
parties may jointly identify areas of mutual interest and carry out cooperative
activities on the basis of reciprocity and mutual benefit.

Scope of Cooperation

Cooperative activities under this Agreement shall be carried out for purposes of
providing a Hospital Management System.

The Parties shall endeavor to encourage and facilitate, as appropriate, the use and
reliance of services on offer through the execution of this Agreement. The parties
agree to the following.

• Healthwire will give a cloud-based Hospital Management System to the Client

where they can schedule store health records electronically, schedule
appointments and generate invoices

• Data uploaded by the client will be accessed by authorized persons only.

Healthwire will set other security protocols to protect Client’s data

• All data uploaded on the software will be under the ownership of the Client
while software will remain under the ownership of Healthwire.

• All updates in the software will be provided to the Client free of any charges
by Healthwire.

• After Sales on the ground and remote support services will be provided free
of any charges by Healthwire.

Finance

The Client shall pay monthly fee of PKR 2000 plus tax for each branch. The billing will
be done on biannual payment schedules. The fee includes all hosting and
maintenance costs. Additional SMS will cost PKR 0.45/SMS.

Amendment

This Agreement may be amended by mutual written consent of the Parties.

Entry into Effect

This Agreement shall become operative on the date of signature by the Parties
