8. 单据：卖方必须在装运后 25 日内将以下单据快递 （DHL,UPS,FEDEX,etc...）给买方代理 , 单据抬头

应为买方代理。

2) 由制造商或者卖方签发的装箱单 2 份正本和 2 份副本：标明每瓶葡萄酒的毛重/净重(千克 (KGS)), 每箱

的瓶数(纸板箱)，总箱数(纸板箱)，总净重(千克(KGS)).

Packing list in 2 originals and 2 copies issued by the Manufacturer or seller: indicating gross/net weight
(Kilograms(KGS)) of each bottle, quantity of bottles in each case (carton), total quantity of cases (cartons), total
net weight (Kilograms(KGS)).

3) 原产地主管部门签发的正本和副本证书。

Certificate of Origin issued by Competent Authorities in 1 original and 1 copy.

4) 主管部门签发的健康卫生证一份。

Health Certificate in 1 original Issued by the competent Authorities.

5) 主管部门签发的正本分析报告一份。

Certificate of analysis in 1 original Issued by the Competent Authorities.

6) 灌装证明正本 2 份。

9. 包装：Parking

所供货物应由卖方妥善包装，适合长途海运、邮寄、空运以及气候条件等变化，防潮、防湿、防震、防
锈、耐大力装卸。任何因外包装不善而造成的损失由卖方负责。

The Commodity should be packed properly, suitable for long distance ocean transportation, parcel post air
freight transportation, and adaptable to change of climate, well protected against moisture, rust, shock and
rough handling. The Seller should be liable for any damage of the Commodity and expenses incurred on
account of improper packing.

10. 运输：SHIPMENT

所售的商品，一次性装运，不允许分批装运。

For the commodity, one time shipment, partial shipment not allowed.

11. 运输通知：SHIPPING ADVICE:

卖方应当一完成商品的装货，就通过电子邮件告知合同编码上的买方，商品、数量、发票金额、毛
重、船名以及出航日期等等。

The Seller shall, immediately upon the completion of the loading of the goods, advise by e-mail the Buyer of
the contract No., Commodity, quantity, invoice value, gross weight, name of vessel and date of sailing etc.

12. 质量保证：GUARANTEE OF QUALITY:

卖方承诺这份合同里提到的每种红葡萄酒都是有合格的葡萄酒材料并且经由一流的工艺制作而成。

The Seller guarantees that each wine hereof is made of the materials of standard of wine ordered with first
class workmanship.

13. 索赔：CLAIMS

一到达目的地港口，商品将受到中国商品检验局(例如中国进出口检验检疫局)。如果检验结果不符合
智利葡萄酒出口国家标准以及中国葡萄酒酒进口国家标准，此葡萄酒将会被退还并且退款(这是根据
北京监察机构要求).

Upon arrival at the destination, the goods will be subject to the inspection of China Commodity Inspection
Bureau (Entry-Exit Inspection and Quarantine of the People’s Republic Of China). If the inspection result
does not correspond with the National Standard about exporting wine from Chile and importing wine to
China, then will return wine and refund payment (which is required by the Inspection Office of Beijing).

14. 不可抗力：FORCE MAJEURE

卖方将不对在生产、装运及运输过程中由于人力不可抗拒因素产生的延误交货或不能履约负责。供货商
应该在发生以上情况后立即告知买方，并在发生后 14 天内通过航空邮件，向买方提供由政府主管机
关出具的事故证明书，但供货商依然有义务采取一切必要措施加快交货，如果事故持续十周以上，买
方有权利取消合同。

The Seller shall not be held responsible for the delay in shipment or non-delivery of the goods due to Force
Majeure which mingt occur during the process of manufacturing or occurrence mentioned above and within
fourteen days thereafter, the Seller shall send by airmail to the Buyer for their acceptance, a certificate of
the accident issued by the Competent Government Authorities where the accident occurs as evidence
thereof under such circumstances the Seller, however is still under the obligation to take all necessary
measures to hasten the delivery of the goods. In case the accident lasts for more than 10 weeks, the Buyer
shall have the right to cancel the Contract.

15. 适用法律及争议解决 Governing Law and Dispute Regulation.

本合同应适用并符合法律法规，合同双方的权利都受的国际商业保护法。

This Contract shall be governed, interpreted and construed, and the rights of the parties shall be determined in
accordance with the international private business law.

争议之解决方式：任何因本合同而发生或与本合同有关的争议，应提交 国际经济贸易仲裁委员会，按该会
的规定条款仲裁。在双方同意的前提下，仲裁地点可设在第三国（即中国或智利意外的国家），作为
届时的仲裁地点。

All disputes arising out of or in connection with the present Contract shall be submitted to the Rules of Arbitration
of the International Chamber of Commerce by one or more arbitration appointed in accordance with the
said Rules. In any case it is agreed that the venue of arbitration will be in a third country (neither Chile nor
China) as will then be mutually agreed by both parties.

16 . 特殊条款：SPECIAL PROVISIONS:

在见证下，本合同正本一式两份，双方各执一份正本，所有的附件部分是构成主题不可或缺的一部
分， 并具有与主体合同的相同效应。IN WITNESS THEREOF, this Contract is signed by both parties in two
original copies: each party hold one copy. All appendices to the contract shall form an integral part of the
contract and have the same effectiveness as the contract.

本协议中的规定以英文内容为准，无论是中文或是其他语言的翻译，仅能作为参考而不具备相应效
力。当合同原文与译文有出入时，以英文内容为准。This Contract shall be executed in duplicate in the
English language and no translation of this language into Chinese or any other languages shall have any
effect on the interpretation of the term hereof. The Chinese translation or French translation is just for a
better understanding by Chinese or France people.
