BOARD RESOLUTION

I, CHARENE P. MODESTO, of legal age, Filipino and with an office address at V Corporate Center 5
L.P. Leviste St. Salcedo Village, Makati City after having been duly sworn to in accordance with the law, do
hereby depose and state that:

1. I am the duly elected and incumbent Corporate Secretary of BMA Shared Services Inc. (the
“Corporation”), a corporation duly organized and existing under the laws of the Republic of the
Philippines, with office address at 6th Floor Libran Building V.A. Rufino and Bolanos Streets Legaspi
Village, San Lorenzo,, Makati City.
2. I hereby certify that during the special meeting of the Board of Directors held on March 07, 2023, the
following resolutions were adopted and approved:

“RESOLVED, that the Board of Directors of BMA Shared Services Inc. (the “Corporation''), hereby authorized
these persons: JULES HYLENNE C. MURILLO, LYCA ARCENA, ALJON SEBUC, MARIELLE DRIZ PERA,
RASHIELA CONTRERAS, MARY JANE BASBAS and JHON LAIRE MENES and MR. JAYSON NEDIRA
(anyone available) to process, provide all the requirements needed upon the application for, Business
Permit Registration from Barangay and Mayor’s Permit, to Bureau of Internal Revenue, apply for
COR, ATP, and Books of Accounts, and other applications required upon registrations, anyone is
authorized to sign the application form and other documents that required a signature, provide all the
requirements needed, make a payment if there is any, and to do and perform any actions that will
expedite the application from the initial process up to its completion.

“RESOLVED, that CHARENE P. MODESTO as Corporate Secretary is authorized to sign and execute all legal
documents on behalf of the company.

“RESOLVED FURTHER, that the foregoing resolutions have not been amended or suspended and are full force
and effect based on the records of the Corporation.
