Mr. J C Kalita of MTPL thanks to Mr. T N Tripathi to take the proposal forward for a bigger and more
vibrant between to this companies.

f Based on a decussation the following action plan has been decided.

1. Expo Gas will bid for the job as a soil bided with relevant experience for BPCL Project. All
arrangement of uploading the offer will be done by Expo Gas at their cost. All exercise like
submission of contract documents and submission of return will be done by Expo Gas at their
cost.
2. The rate for the Job as per SOR will be provided by MTPL.
3. The estimated value of the job for MTPL is around 23 Cr. Excusing GST. Which will be shared
with Expo Gas for quoting purpose.
4. This contract will be operated through an ESCOROW account to be open by Expo Gas and a
similar tripartite agreement will be open among Expo Gas, MTPL and the Bank for remitting
each and every payment received from the client against each RA bill. Sample copy of
agreement and necessary document to be raised against each bill is shared by MTPL to Expo
Gas.
5. Expo Gas will hold 5% of net received amount from client as their fee. Further, details
procedure for billing will be discussed and settle mutually after award of the job.
6. MTPL will give a BG against SD to Expo Gas from their banker as a collateral BG to Expo Gas.
7. Expo Gas will give a BG against SD money to BCPL and charges i.e Margin and Commission will
be deduction from MTPL. The margin money will be returned to MTPL after return of the BG
from BCPL and Commission will be deduction from the net receipt.
8. The entire job will be handled by MTPL by deploying required manpower and machinery and
all procurement and detailing engineering will be done by MTPL at their cost.
9. Expo Gas will not responsible for any loses if any.
10. MTPL will arrange necessary Labour License, EPF, ESIC and insurance etc. as per contract
condition in the name of Expo Gas and cost of such expenses will be deduction from MTPL
Bill.
11. In case of delay in completing of the project if client impose LD on us entire amount will be
debited from MTPL Bill.
12. This MOM will be supported by further agreement between this two parties after job is
awarded to Expo Gas.
13. If Expo will visit site or deploy any persons to execute contract, the cost will be borne by MTPL.
