Partnership Agreement
 PARTNERSHIP AGREEMENT

This partnership agreement is made on the [28th] day of [December, 2017] (the “Effective Date”)
between:

PARTIES
(1) Shanghai Gallop Marine Technology Co., Ltd. a company incorporated under the laws of the China,
with its registered office at 701, Central International Building, No. 189 Songhu Road, Yangpu
Shanghai, China(hereinafter so called “GMT”)

(2) Mr.Mohyee Shebl (hereinafter called “Mohyee”)

are to do business on the following terms and conditions:

1. Appointment and Territory:

Mohyee help GMT do business in China shipping Market.

2. Scope of business

2.1. Sale GMT following Products for Mohyee's company project.

- Lighting fixture (made in Germany Lightpartner company)

- Integrated Marine Automation system(made in Norway Hoglund company)

2.2. Broker business for Egypt ship owner

3. Responsibility of GMT
3.1. For sale equipment GMT shall do yard side work such like technical information regarding all
products, works and services covered by hereby.

3.2. For ship Broker business GMT shall do yard side work, include find yard, negotiate with yard and
technical support for owner . Without Mohyee’s consent, GMT shall not directly contact to the ship
owner.

3.3. GMT need to pay Mohyee the expenses of traveling and accommodation in China, But only for
Mohyee do GMT business.

4. Responsibility of Mohyee
Mohyee shall have the following responsibility.

4.1 For sale equipment Mohyee shall put GMT's products in maker list and help GMT to get the order with
good price.

4.2 For ship Broker business Mohyee shall help GMT to get the authorization from ship owner. Without
GMT’s consent, Mohyee shall not directly contact to the yard.
5. Profit
5.1. For sale Lighting fixture, GMT shall share 3% of the full contract price to Mohyee for Mohyee's
commission. The payment will according to yard payment. For example, If yard pay 50% of full contract
money to GMT, GMT need to pay 50%*3% of full contract money to Mohyee within seven (7) working
days after receive money from customer.

5.2. For sale Integrated Marine Automation system, GMT shall share 2% of the full contract price to
Mohyee for Mohyee's commission. The payment will according to yard payment. For example, If yard pay
50% of full contract money to GMT, GMT need to pay 50%*2% of full contract money to Mohyee within
seven (7) working days after receive money from customer.

5.3. For ship Broker business GMT shall share 1% of the full contract price to Mohyee for Mohyee's
commission. The payment will according to yard payment. For example, If yard pay 50% of full contract
money to GMT, GMT need to pay 50%*1% of full contract money to Mohyee within seven (7) working
days after receive money from shipyard.

6. Secrecy
Both parties agree to keep this document and other relevant information about our activity and/or product
and market information confidential.

7. Arbitration:
Any disputes of difference arising from or relating to this agreement shall be settled by arbitration in China
by the China commercial arbitration association.
