AGENCY AGREEMENT

Agreement is made at Dubai this 10th day of April 2021 between OPTECHENGINEERING PRIVATE LIMITED, A Company
Registered under Indian Companies Act 1956 , having registered office at 615, Lodha Supremus-2, Wagle Estate, Thane, India—
represented by Mr. Siddharth Desai, Director (hereinafter referred to as “The Company”, which expression shall include its legal
representatives, administrators, assignees etc.) of the FIRST PART AND
M/s SHURIE PROJECT MANAGEMENT SERVICES., A Company Registered in UAE, Having registered Office at Dubai,
UAE, Represented by Mr Bashi Ebar Shurie, Carrying on the business at UAE (hereinafter referred to as “SALES COMMISSION
AGENT” Of the OTHER PART

WHEREAS
1. The company is a complete LPG Engineering company, Suppliers to LPG Equipment.
2. The Company is also consulting in Carrying out Techno Commercial Feasibility Report for Various Customers
in Africa and Asia.
3. The company is engaged in the business of Trading of Pressure Vessels, Heat Exchangers, and Tanks and also
in the manufacturing of LPG and Petroleum installations.
4. The Project Facilitators are carrying on business of LPG Distribution.
5. The Project Facilitator has offered to act as the Project Facilitator of the Company for the sale of the Company’s
products in the country and across the globe, And the Company has agreed to do so on the following terms –

NOW IT IS AGREED BETWEEN THE PARTIES HERETO AS FOLLOWS :

6. The Company hereby appoints the said M/s Shurie Project Management Services as the Sales Commission Agent
of the Company for effecting sale of the products of the said Company have agreed to act as such Sales
Commission Agent.
7. The Company shall pay to the Sales Commission Agent Charges determined on time to time, on the successful orders
placed by the Project Facilitators. The said commission/ consideration shall be payable by the Company, within 30
days from the date of realization of Invoice amount.
8. The Sales Commission Agent shall endeavor to canvas for the sale of the products to the maximum extent and for that
purpose, will be entitled to advertise the goods/products through different medias available including advertising through
newspapers, hoardings boards sponsorships, Media, Digital media and Web network.
9. The Sales Commission Agent is solely responsible for its expenses related to the Marketing and Advertisement tasks
associated with the all products of the Company. The Company will not be liable and responsible for the financial
expenditure and the advertisements.
 10. The Sales Commission Agent will be entitled to appoint Project Facilitators, sub-Project Facilitators, servants and
canvassers in the said area in their own names and on such terms and conditions as they think fit, on their own
responsibility. The Company will not be responsible to such Project Facilitators, sub-Project Facilitators and others for any
liability, financially andor legally.
11. Following Project and the values have been fixed initially and additional projects shall be added as per the
requirement.

12. This Agreement will remain in force for a period of 3 (three) years from the date hereof.
13. In the event of any dispute between the parties hereto in respect of this agreement of whatsoever nature, the same shall be
referred to arbitration of a common arbitrator if agreed upon, otherwise to two arbitrators one to be appointed by each
party hereto and Arbitration will be governed by The Arbitration and Conciliation Act for the time being in force.
13. The venue of Arbitration shall be in India.
14. The Arbitration award shall be final and binding upon both the parties.
15. BOTH THE PARTIES WILL ABIDE BY THE LAWS ENFORCEABLE IN INDIA.
IN WITNESS WHEREOF, the parties hereto have put their hands the _day and year first
hereinabove written.
