AGENCY AGREEMENT

This Crain & Electric work, Agreement (“Agreement”) is made and entered into effective as of
01 Sept 2022 by and between:

BETWEEN:

M.R. Hy-tek Equipment Pvt. Ltd. (hereafter call as ‘Company’), a company established
and operating under the laws of India, Registration Certificate number 55-59293, with offices at
W-439, Behind Alfa Laval Ltd. T.T.C. Industrial Area, MIDC, Rabale, Navi Mumbai - 400701.

AND:

Dev Electrical, (Hereafter call as ‘Sub-vendor’) a corporation organized and existing under the
laws of the India, Commercial Registration No: -------1 with offices at Plot No. PAP-R-77, nearby
Amar Gas, TTC industrial. Area, M.I.D.C. Rabale, Navi Mumbai-400701.

WHEREAS, Company wishes to provide Crain & electrical services

WHEREAS, Company wishes to engage Crain & electrical services, and has accepted, to be
Company’s representative in the products to facilitate support Company’s premises.

NOW THEREFORE IN CONSIDERATION of the mutual promises, conditions and undertakings

contained in this Agreement, the sufficiency of which is hereby acknowledged, and the
specifications and special provisions set forth in any exhibits attached and hereby incorporated,
the Parties mutually agree as follows:

Article I. TERM OF AGREEMENT

A. This Agreement shall commence from the Effective Date and remain in effect for an initial
period of 3 years (“Term”).  The Parties may agree to extend the Agreement past the Term
by written instrument signed and executed by both Parties. 

B. Either party may terminate this agreement upon written notice of 60 days to the other party
within the reason.

C. Notwithstanding Article III(A), this Agreement will be mutually extended and remain in full
force and effect until all Client contracts expire or otherwise terminate. Nothing in this
Agreement will be interpreted to allow either Party to terminate this Agreement while Client
contracts are ongoing. This provision will prevail in the event of a contradiction with any
other terms of the Agreement.

Article II. FUNCTIONS OF COMPANY

A. Company will provide all data and expedited responses to queries during any Client pre-
qualification process.
B. Company will coordinate with the inspection agency/client.

C. Company will meet its contractual and financial obligations in a timely manner and take
reasonable measures not to default on any obligations.

Article III. FUNCTIONS OF SUB-VENDOR

A. Sub-vendor will assist in the machining activities contemplated under this Agreement in a
lawful manner with the highest standards of fair trade, fair competition and business ethics.

B. Sub-vendor will guide Company for the preparation of pre-qualification documents and
follow-up the pre-qualification process through the approval stage.

Article IV. AMENDMENTS

A. This Agreement may be amended only by written agreement and duly signed by fabricator
and Company.

Article V. GOVERNING LAWS

A. This Agreement will be construed and enforced in accordance with the laws of India.

Article VI. POST SIGNING PROCEDURES

A. Each Party will provide the other with an original version of the signed, notarized and
certified Agreement within thirty (30) days from the Effective Date. Where certification is
required outside the Territory, the Agreement will be certified up to the embassy of the
relevant country where the Agreement will be applied.

IN WITNESS WHEREOF, the Parties hereto have executed this Agreement on the
Effective Date in several counterparts, each of which is considered as an original.
