SERVICES CONTRACT AGREEMENT FOR THE ALUMINUM, GLAZING, STEEL WORKS OF

‘’VILLA NACCACHE LOT 410’’

Hereinafter referred to as “the Client” on one hand,

GLASSINUM SAL, a company organized under the laws of Lebanon, having its head office at Land Trade
Building, Jnah District, Beirut, Lebanon, represented by Mahmoud Talaat El Hamoui, Chairman, and

Hereinafter referred to as “the Contractor” on the other hand,

WHEREAS the Client desires for the Contractor to execute the works in "VILLA NACCACHE LOT 410" and
has approved a Tender from the Contractor for the execution and completion of said works, along with
addressing any defects outlined in the contract document.

AND WHEREAS both the Contractor and the Client acknowledge and accept all the Terms and Conditions
of this Agreement.

NOW, THEREFORE, in consideration of the mutual promises hereinafter set forth, the Parties agree

Article 1- DEFINITION

In this Agreement the following capitalized words shall have the meaning hereby assigned to them:

1. The Client: Michel Helou


2. The Client Representative Georges Kamal and/or Anthony Abou Hanna
and/or Toni Melhem

3. The Engineer PMCC s.a.r.l, duly represented by Jihad

4. The Consultant Mr. Pierre Geara and Mr. Rodolphe Mattar


and Mr. Antoine Tabet

5. The Contractor GLASSINUM SAL

Article 2- CONTRACT DOCUMENTS

The Contract shall include and consider the following documents as integral parts, to be read and
interpreted accordingly:

a) This Contract Agreement


b) Appendix A - Approved BOQ Reference 2793
c) Appendix B - The Client's Requirements (Drawings)
d) Appendix C - Commercial Circular of the Second Party

TERMS AND CONDITIONS

1. Acceptance of Terms

By engaging Glassinum for aluminum and glazing services, the client agrees to comply with and be
bound by these terms and conditions. These terms constitute a legally binding agreement between
Glassinum and the client.

2. Measurement Principles:

a) This agreement includes a re-measurement provision, enabling adjustments to the prices based on
the final measurements.

b) If any deviations in width and/or height exceed +/- 2.5%, system modifications may be required,
resulting in corresponding adjustments to the prices.

appendixes, and please men,tion all the measurements, and add them to table we are sending to the
supplier . and send them asap when you want,

3. Design Approval:

Glassinum will provide detailed shop drawings for client approval before commencing any work.
4. Delivery Time Frame:

a) Delivery is scheduled for 6 months after approval of the quotation, Receipt of the down
payment, and approval of drawings. WHEN?

b) Working hours for delivery are within the standard range of 8:00 AM to 5:30 PM.

c) High noise activities to be restricted between the hours of 9:00 AM to 4:00 PM.

d) The following circumstances are excluded from the delivery timeframe, with no impact on
payment terms:

I. Force Majeure.

II. Delayed payment settlement.

III. Amendments or project revisions.

IV. Delayed client approval of submitted drawings or material submittals.

V. Inability to complete scheduled works due to conflicts with other trades.

VI. Damages or delays caused by other trades.

VII. Inadequate site conditions for measurements and/or installation.

VIII. Variations in opening dimensions.

IX. Disturbance or work stoppage caused by external parties.

X. Client's request to halt or postpone works, resulting in a revised work schedule.

e) Delays resulting from the aforementioned circumstances will incur additional costs, calculated
and claimed accordingly.

5. Pricing:

a) All prices are quoted in USD. Conversion to other currencies will be based on the prevailing
exchange rate at the time of payment, receipt, and cashing.

b) Adjustments will be made for changes in customs fees.

6. Exclusions:

a) Glassinum does not provide cranes, lifting materials, or scaffoldings.

b) Electrical cabling and installations are excluded from our scope.

c) Value Added Tax (V.A.T.) is not included.

d) Delays, as previously outlined, will result in additional costs, calculated and claimed
accordingly.
7. Variation Orders:

a) This quotation establishes a baseline price relying on provided dimensions and drawings.

b) Any revisions, design changes, amendments, additional requests, alterations in system


profiles, performance requirements, or structural support will require re-pricing or issuance
of a variation order.

c) The final amount will be determined based on the actual order and prevailing prices of
aluminum, coating, and glass at the time of approval.

d) Executed variation orders will be added to the final invoice.

e) Variation Order will follow the same payment terms.

8. General Notes:

a) On-site logistics and facilities, including guarded storage, electricity, water, etc., are the
client's responsibility.

b) Glassinum disclaims responsibility for damages to materials on-site due to other activities.
Claims regarding received goods should be submitted within 48 hours of delivery.

c) Supplied goods remain Glassinum's property until all invoices are fully paid.

d) No cancellations or hold orders will be accepted after confirmation.

e) Rejections or claims should be submitted within 15 days of receiving the quotation.

f) If not specified in the specifications, the customer is responsible for ensuring that the glass
meets required international safety standards for the intended end use.

9. Validity:

The price offer is valid for 7 days after receiving the quotation.

10. The Financial Stamp Fee:

The financial stamp fee required for the present agreement will equally be paid by the Parties.

11. The Value of the Works and the Method of Settlement:

The value of the works, for the purposes of calculating the stamp fee only, is ……….U.S.D. (………….. US
dollars) excluding value-added tax, noting that the present agreement is subject to re-measurement in
accordance with the actually executed works.
It is expressly agreed upon between the two parties regarding the payment mechanism to be as follows:

a) 70% upon Down Payment, in USD cash.

b) 20% upon Delivery of Material, in USD cash.

c) 5% upon Delivery of Works, in USD cash.

d) 5% upon Delivery of Snag List, in USD cash.

12. Insurance

Glassinum carries adequate insurance, and the client is responsible for obtaining any necessary
insurance coverage related to the project.

13. Termination of Agreement

Either party may terminate this agreement with written notice if the other party breaches a material
term of the agreement.

14. Governing Law and Jurisdiction

This agreement is governed by the laws of Lebanon, and any disputes arising out of or in connection with
this agreement shall be resolved through arbitration in accordance with the rules of the Lebanese
Arbitration Center (LAC).

15. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information disclosed during the
course of the project.

16. Entire Agreement

The Contract, including the appendixes and these terms and conditions, shall be deemed to constitute
the entire agreement, superseding any prior agreements.

IN WITNESS WHEREOF, the Parties hereto have executed this Agreement as of the date first above
written.
