ALLIANCE AGREEMENT MADE & ENTERED INTO BETWEEN LOVEMORE MUKONDOMI&GABRIEL SIGAUKE (Hereinafter referred to as The Engineer') AND TAMA,MINTELLCO&THE DIAMOND HAIR STUDIOS(PTY) LIMITED (Hereinafter referred to as TAMA') as represented by TASWIKA J GUNDA WHEREAS: 1. By copy of this agreement as dated below THE ENGINEERS and TAMA entered into a contract of alliance. 2. THE ENGINEERS and TAMA wish to formalise their relationship and are desirous of recording the agreed contract as hereinafter set out. IT IS HEREBY AGREED THAT: 1. Relationship The parties agree to work together on project basis. It is here stated categorically that none of the parties is employed by the other. 2. Preference The Engineer agrees to give preference to TAMA over all and any other possible part-time clients in the market place in the field of Project Management and Civil Engineering Services and related works. 3. Scope of Work/Reward 3.1 The scope of work will comprise: preparation of bills quantities, full-time technical supervision; claim preparation including variations, measurements and final account; advice and correspondence; preparation of reports and any related works. The Engineer shall be paid 2.5% of the project profit sum. Payment will be executed in arrears on a monthly basis and in relation to the claim submitted for the works. In accordance with the tax laws of Botswana, Tama is responsible for deducting withholding tax from the Engineers pay and forwarding it to BURS, but all payment receipts should be forwarded to the Engineer for personal tax filling Tama will be responsible for the cost of the engineers expenditures in executing the works, though it should be deducted wholly from the project amount before calculation of final profits amounts. The project team which should be employed sorely for the project should be set out before commencement of the project and have there budget formulated. Whatever

extra personnel included during the course of the project should be communicated between the two parties and written into the project dairy book and signed Ditto 3.5 for equipment and any specialized services needed on site. During execution of the project the financial usage should be transparent to both parties for accountability, any untransparent finance use will be beared by the user.

3.01 Point 3.2 will become The Engineer shall be paid 40% of the project profit sum. Payment will be executed in arrears on a monthly basis and in relation to the claim submitted for the works. Provided the Engineer source the job on there own but uses Tama`s Company to get it.

ACKNOWLEDGMENT The parties specifically acknowledge and agree that:4.1 they have carefully read, considered and understood all the terms and provisions of this agreement; this agreement and the terms and provisions thereof after taking all circumstances into account, are fair and reasonable; and they have entered into this agreement of their own free will.

DOMICILIUM CITANDI ET EXECITANDI 5.1 The parties hereby choose domicilium citandi et executandi for all purposes under this agreement at the places and postal addresses set out. Either party shall be at liberty during the currency of this lease by notice in writing to the other to enter domicilium citandi et executandi at a different address in Botswana in substitution for that selected herein. Every notice by either party in terms of this agreement shall be in writing and shall be either: 5.3.1 Left at the address of the domicilium selected by such party in which case it shall be deemed to have been delivered when so left; or Sent by prepaid registered post to the postal domicilium address in which case it shall be deemed to have been delivered on the fourth (4th) business day after such dispatch.
