USED VEHICLE PURCHASE CONTRACT

In the municipality __________________________________, State of Puebla at _______ of

_________________, hereinafter referred to as "THE VENDOR" for the purposes of this contract, and
on the other hand, C. ____________________________________________________, hereinafter
referred to as "THE PURCHASER", who in accordance with the provisions of Articles 2124, 2125,
2126, 2143, 2144, 2157 and 2167 of the Civil Code of the State of Puebla in force, agree to enter into
this purchase and sale agreement in accordance with the following:

STATEMENTS

FIRST.- "THE SELLER", declares to be of legal age, neighbor (a) of _________________________,

__________________, Population ______________________, municipality _______________ State
_____________________, identifying himself with _______________________ with folio number
__________________ issued by ______________________ on __________ of _____________ of

present contract.

SECOND.- "THE BUYER", declares to be of legal age, neighbor (a) of __________________, (street,
square, avenue) __________________________________, number ________,
Colonia__________________, Population ______________________, municipality
_______________ State _____________________, identifying with _______________________ with
folio number __________________ issued by ______________________ the day __________ of
_____________ of _____________ of __________ before __________________________________,
with legal capacity to carry out the present contract.

THIRD.- "THE SELLER" is the current owner of the vehicle ______________________ model year
______________, serial number _______________________ license plates _______________ engine
number _______________________, according to the invoice number ____________ issued by
_____________________________________________________________, on _______ of
_______________ of _______ in the name of _______________________________________.

FOURTH.- Both parties represent and acknowledge that they have the legal capacity to enter into this
agreement, in terms of articles 21, 22, 23 and 24 of the Civil Code for the State of Puebla.

In view of the foregoing, based on the aforementioned legal provisions and because it is in their best
interest, it is the desire and will of the contracting parties to enter into this contract subject to the
following:

CLAUSES

FIRST.- Based on the provisions of articles 2124 to 2127 of the Civil Code of the State of Puebla,
C._________________________________________________________________ sells to
C.___________________________________________________________________ who acquires for
himself the vehicle described in the THIRD declaration of the present instrument.

SECOND.- "THE PURCHASER" declares its conformity with the physical and mechanical conditions
in which the vehicle is found at the moment of the purchase-sale operation, therefore, as of the date of
delivery of the vehicle object of this contract, the flaws that may arise thereafter shall not give rise to
any claim whatsoever.

THIRD.- The purchase price of the vehicle is $______________________, which will be covered as
follows: ________________________________________________________

FOURTH: "THE PURCHASER", declares its acceptance of the value of the vehicle, and "THE
SELLER" the form of payment expressed in the previous clause.
FIFTH. "THE SELLER" declares that the vehicle object of the present contract, described in the
THIRD Declaration, is deregistered, free of encumbrances and current in the payment of the Tax on
Vehicle Ownership or Use, vehicle control rights, as well as with the payment of the Tax on the sale of
used cars, trucks and other motor vehicles.The following proofs of payment are provided upon signing
this contract

in any case "THE BUYER" in accordance with article 24, 24 A, 25 A section I, of the Finance Law of
the State of Puebla in force, shall be jointly and severally obliged to cover the obligations resulting

SEVENTH. THE SELLER" by reason of the execution of this contract assigns the rights derived from
the acquisition of the vehicle ______________________ model year ______________, serial number

_______________________, in accordance with the invoice number ______________ issued by

_______________________ in the name of ______________________, to the "PURCHASER" in all
that corresponds to it in fact and in law, and the "PURCHASER" hereby assigns the rights derived
from the acquisition of the vehiclemero ____________ issued by

_______________ of _____ in the name of
________________________________________________, to the "PURCHASER" in all that in fact
and by right corresponds to him and this one acquires the inherent obligations.

EIGHTH.-"THE PURCHASER", from the date of delivery of the vehicle, shall be responsible for
keeping up to date the taxes and vehicle control rights accrued by the same. Likewise, within fifteen
days from the date of delivery of the vehicle, it is obliged to carry out the change of ownership
procedure before the corresponding tax authority, in accordance with the provisions of Article 25 B of
the Puebla State Finance Law, and to respond for the damages caused by the misuse or mishandling of
the vehicle.

NINTH: "THE SELLER" disclaims any civil or criminal liability that may result from the use,
handling or operation of the vehicle subject of this contract from the date of delivery of the same within
the term established in clause eight.

Consequently, in terms of article 2157 of the Civil Code of the State of Puebla, "THE SELLER" shall
be liable for the recovery in case of eviction.

TENTH.- Both parties, in terms of articles 1693, 1694, 1695, 1696, 1697, 1698, 1699, 1700, 1701,
1702, 1703 and 1704 of the Civil Code of the State of Puebla state that in the execution of this contract,
there is no error, fraud, violence or bad faith that could invalidate it.

After reading the contents of this contract, the parties agree to be bound by all its terms and conditions,
which constitute a complete and exclusive expression of their will free of any defect and sign it in
conformity in two copies in the municipality of _______________ of the State of Puebla.
