PRIVATE CONTRACT OF SALE OF VEHICLE

In Mexico City, being thirteen hours and thirty minutes on Monday, March twentieth, two thousand
seventeen; being present C.*******, who hereinafter and for the purposes of this contract shall be
referred to as "THE SELLER" and on the other hand, C. *****, hereinafter referred to as "THE
PURCHASER", who agree to enter into this PURCHASE AND SALE agreement in accordance with the
following:

STATEMENTS

FIRST.- "THE VENDOR", declares to be of legal age, with address at *******; identifying herself with a
Voter's Credential issued in her favor by the National Electoral Institute, with Voter's ID: *****.

SECOND.- "THE PURCHASER" declares to be of legal age, with domicile at *****; identifying himself
with a Voting Credential issued in his favor by the National Electoral Institute, with Voter ID: *****.

THIRD.- "THE SELLER" declares that it is the current owner of the vehicle, in accordance with Invoice
number: 000000, issued by Automotriz del Norte, S.A. de C.V., with the following characteristics:

Make: *****, Subbrand: ***; Type: *****k, Model: ****, Vehicle Identification Number (VIN): *****;
Engine: *****; Version: *****, Registration Plates: *****, Folio Registration Card: *****, Number of
doors: **, Color: ***, and has the receipts of payment of the Tenure Tax and/or License Plate
Renewal, for the fiscal years of: ***, **** and ***; and with Vehicle Verification Decal for the second
semester of two thousand ***, with number "0".

FOURTH: Both parties represent and acknowledge that they have the legal capacity to enter into this
agreement.

OBJECT OF THE CONTRACT - The object of the present contract is the purchase and sale of the
vehicle mentioned in the THIRD declaration of the present contract, with the characteristics and
particularities indicated.

In view of the foregoing, and because it is in their best interest, it is the desire and will of the
contracting parties to enter into this contract, subject to the following:

CLAUSES

FIRST. C. ******* hereby conveys ownership of the property to C. ****, who acquires for himself the
vehicle described in the THIRD declaration of the present instrument.

SECOND. "The BUYER declares its conformity with the physical and mechanical conditions in
which the vehicle is found at the time of the purchase and sale transaction, and therefore, as of
the date of delivery of the vehicle, any defects that may arise thereafter shall not give rise to
any claim whatsoever; nor does the BUYER reserve any civil, criminal, administrative or any other
right or action against the seller.The "PURCHASER" hereby declares its conformity with the physical
and mechanical conditions in which the vehicle is in at the time of the purchase-sale transaction, and
therefore, as from the date of delivery of the vehicle object of this contract, any defects that may arise
thereafter shall not give rise to any claim; nor does it reserve any civil, criminal, administrative or any
other right or action that it may exercise against the seller.

THIRD. The purchase price of the vehicle is $149,000.00 (ONE HUNDRED FORTY-NINE THOUSAND
PESOS 00/100 M.N.), which will be paid in a single cash payment:

FOURTH. "THE PURCHASER", manifests its acceptance in the value of the vehicle, and "THE
SELLER" the form of payment expressed in the previous clause, amount that in this act receives in
cash to its entire satisfaction.

FIFTH. "THE SELLER" declares that the vehicle object of the present contract described above, is
used and is sold in the conditions in which it is found, engine, transmission, suspension and bodywork.
Likewise, he/she declares that he/she is free of encumbrances and up to date in the payment of the
taxes and vehicle control rights indicated in the THIRD declaration ; delivering at the signing of this
contract the payment vouchers previously described and, in any case, "THE BUYER" is not exempt
from the obligation to cover to the corresponding authority any debt that results prior to the date of the
sale of the vehicle subject matter of this contract.

SIXTH. "THE SELLER", undertakes to deliver the vehicle subject of this contract, on *** of *** of *** of
the year *****. "THE PURCHASER", after having inspected the vehicle at its own expense, receives it
in conformity as well as the documentation described in the THIRD declaration.

SEVENTH. "THE SELLER" by reason of the execution of this contract, assigns the rights derived from
the acquisition of the vehicle mentioned in the THIRD declaration of this contract to "THE
PURCHASER", in all that in fact and by right corresponds to it, and the latter acquires the obligations
inherent to said vehicle.

EIGHTH. From the date of delivery of the vehicle, "THE PURCHASER" shall be responsible for
keeping the taxes and vehicle control rights accrued thereon up to date. Likewise, within the 30 days
following the sale, it is obligated to carry out the change of ownership procedure before the
corresponding tax authority, in accordance with the provisions of the Transit Regulations of the State of
Mexico, and will be liable for the damages caused by the misuse or mismanagement of the vehicle.

NINTH. "SELLER" disclaims any civil or criminal liability that may result from the use, handling or
operation of the vehicle subject of this contract as of the date of delivery of the same, submitting for
such purpose, before the corresponding tax authority and within the term of 30 days following the date
of purchase and sale, written notice of the sale of the vehicle, in accordance with the provisions of
Article 41, Section XV, second paragraph of the Financial Code of the State of Mexico.The buyer shall
submit to the corresponding tax authority, within 30 days following the date of the sale, written notice of
the sale of the vehicle, in accordance with the provisions of Article 41 section XV, second paragraph of
the Financial Code of the State of Mexico and Municipalities, in force.

TENTH. Both parties declare that in the execution of this contract there is no error, fraud, violence or
bad faith that could invalidate it.

ELEVENTH. For all matters relating to the interpretation and fulfillment of the obligations arising from
this agreement, the parties agree to submit to the jurisdiction and competence of the courts of Mexico
City, waiving any other jurisdictional body to which they may be entitled by reason of their present or
future domicile, neighborhood, or any other nature.

After reading the contents of this agreement, the parties agree to be bound by all its terms and
conditions, which constitute a complete and exclusive expression of their will, free of any defect, and
sign it in two copies, being thirteen hours and thirty minutes on the date and place indicated in the
preamble of this agreement.
