REAL ESTATE EXCLUSIVITY CONTRACT

Exclusive real estate contract entered into by

on the one hand, hereinafter referred to as " THE OWNER", and on the other hand, by Mr.

COMMISSIONER", both parties agree to be bound by the following terms and conditions:

STATEMENTS

The Owner declares that according to the deed number _______ registered in the public registry of
property under the number ______ he is the legitimate owner of the property
___________________________________ and as domicile to receive any type of notifications is
_________________________________________________________.

That it is of his special interest to dispose of said property for valuable consideration.

That the same is up to date with its tax contributions and obligations.

The Broker declares that it is engaged in the provision of real estate services, with address to receive any
type of notification at _____________________________________ _____________________.

Both parties agree to be bound by the following:

CLAUSES

FIRST- "THE OWNER" hires the services of "THE COMMISSIONER" to exclusively manage the sale of the
property located

evidencing the ownership thereof with public deed number ____________ granted before the notary
public no.mero _________ of the municipality of ______________,___________________, property
that has the surface area, measurements and boundaries set forth in the property deed, which is
registered under document number _______ folios from ________ to _______ of book ________ of
section __________, the characteristics of the property are specified in the aforementioned annex that
shall form an integral part of this agreement.

SECOND-"THE OWNER" fixes the sale price in the amount of $____________________________.

(____________________pesos 00/100 Mexican Pesos) the form of payment will be as follows:

THIRD- "THE OWNER" shall pay to "THE BROKER" a remuneration equivalent to a percentage of ______
% calculated on the total and actual sale price of the property that is the subject matter of this contract,
plus the corresponding Value Added Tax (VAT). The above agreed remuneration shall be settled at the
signing of any promissory contract of sale and/or definitive sale, and/or legal act transferring ownership,
and/or at the signing of any document formalizing the entrusted operation, regardless of the conditions
or terms accepted by "THE PROMISING SELLER".

FOURTH- "THE OWNER" shall cover the remuneration agreed upon in the third clause of this agreement
even in the event that the sale of the property is formalized by any other individual or legal entity or
institution outside of "THE BROKER", whether within the term of this agreement or after its expiration, if
the purchaser of the property is a person previously served by "THE BROKER" on the occasion of this
agreement.THE OWNER" shall cover the remuneration agreed upon in clause three of this agreement,
even in the event that the sale of the property is formalized by any other individual or legal entity or
institution outside of "THE BROKER", whether during the term of this agreement or after its expiration,
if the purchaser of the property is a person previously assisted by "THE BROKER " under this agreement.

FIFTH-"THE OWNER" undertakes to pay the agreed commission if there is an interested party in acting
as a solvent buyer and having accepted an offer presented by "THE COMMISSIONER", should he decide
not to carry out the sale-purchase. Likewise, "THE OWNER" is currently providing "THE
COMMISSIONER" with the necessary documentation of the property in a simple copy consisting of :

SIXTH- "THE OWNER"authorizes "THE COMMISSIONER " to receive in its name and on its behalf the
amount delivered by the bidder(s) as guarantee. Symbolic amount to be delivered by check payable to
"THE OWNER". The same amount will be delivered to "THE OWNER"upon signing the promise of
purchase and sale contract or, as the case may be, the definitive deed.

SEVENTH- "THE COMMISSIONER" shall promote the sale of the property exclusively and in the media it
deems appropriate.

EIGHTH- Pursuant to the Federal Law for the Protection of Personal Data in Possession of Individuals,
"THE OWNER " declares and agrees with "THE COMMISSIONER " that its personal data, as well as those
that may be inserted in the public deed of the definitive contract, are obtained, recorded and kept with
its prior consent, for the purposes of identification, operation, quality surveys, prevention of money
laundering, administration, quality purposes, real estate management, and other similar and legal
purposes, and will not be transmitted to third parties for purposes other than the aforementioned, and
will not be transmitted to third parties for purposes other than the aforementioned.n, operation, quality

than the aforementioned, safeguarding the privacy of the same.

NINTH- Pursuant to the provisions of articles 1,2,3,17,18,22,23,32 and other relative and applicable
articles of the Federal Law for the Prevention and Identification of Operations with Resources of Illicit
Origin, the contracting parties declare that this exclusive real estate contract and the purchase-sale
contract derived therefrom is considered as a vulnerable activity within which the owner and seller have
the quality of controlling beneficiary and the buyer and seller have the quality of controlling
beneficiary.the contracting parties declare that the present real estate exclusive contract and the
purchase and sale contract derived from the same is considered as a vulnerable activity within which the
owner and seller has the quality of controlling beneficiary and the commission agent as well as the
buyer has the character of beneficiary. The owner and seller have the character of controlling
beneficiary and the commission agent as well as the buyer have the character of direct beneficiary;
without there being any other third person, different from the parties, to whom the character of
beneficiary may result; both parties identify themselves by means of an official document and a simple
copy of a copy of the contract, and the commissioner has the character of direct beneficiary.Both parties

this contract as an annex that proves compliance with the respective obligation; if required, the
corresponding notice to the Ministry of Finance and Public Credit will be made by the Notary Public at
the appropriate time once the purchase and sale contract subject of the commission has been executed;
the information derived from this contract will be provided to the Notary Public at the time of the
execution of the contract.The information derived from this contract and the documentation related to
it must be kept and safeguarded for a minimum term of five years; and finally, depending on the amount
of the price of the sale of the property, it may be prohibited to pay the amount in cash and therefore
the method of payment must be identified.

TENTH-"THE OWNER" during the term of this contract agrees not to rescind this contract, and also
agrees not to grant another mandate on the same property with a similar purpose to this contract,
otherwise, the owner agrees to pay what is agreed in the third clause, taking as a basis for the
application the price of the agreed purchase-sale.

The parties agree that this agreement does not imply a mandatory obligation on the part of "THE
DEALER" to sell, but that it shall only take the necessary steps for such purpose; therefore, such steps
shall terminate upon execution of the contract for the purchase and sale of the real estate subject
matter hereof.

FOURTEENTH-Inno event and under no circumstances shall "THE DEALER" be liable or assume any
responsibility for payment or indemnity to it, or in favor of "THE OWNER", for any act or fact committed
by any third party, which causes damage, impairment, prejudice, vandalism, theft or even dispossession
with respect to all or part of the real estate subject of this contract and of the future purchase and sale
transaction. Consequently, in the event of the occurrence of any of the aforementioned events, the only
obligation assumed by "THE OWNER" is to file the corresponding criminal complaint with the State
Attorney General's Office, as well as the obligation to cooperate with the corresponding authorities in
the investigation and clarification of the facts.Therefore, it is hereby reiterated that in the event of any
of the aforementioned claims, "THE OWNER" shall not have the right to demand from "THE
COMMISSOR " the payment of any sum of money as indemnification.

The term of this contract shall be from the day ______ of ______________ of 20____ to the day _____
of ____________ of 20___, if at the end of said term there is no written manifestation to the contrary
with acknowledgement of receipt, it shall be renewed for successive periods of 30 (thirty) calendar days.

For all matters relating to the interpretation or performance of this contract, the parties expressly
submit to the jurisdiction and competence of the courts of the city of Guadalajara, Jalisco, waiving any
other jurisdiction that may correspond due to present or future domicile.
