DEED OF ABSOLUTE SALE
With AGENCY
KNOW ALL MEN BY THESE PRESENTS:

This Deed of Absolute Sale (“Sale”, “Deed” or “Agreement”) is executed by and

between:

FIN TRADE, a sole proprietorship, with a principal place of business at

BSA Twin Towers, Mandaluyong City, NCR, registered under the name of
PRINCESS JESSAMINE SAMSON, of legal age, Filipina, single, and a
resident of Zone 3, Brgy. Nancamaliran East, Urdaneta, Pangasinan
(hereinafter referred to as “First Party”);

and

____________________________________, of legal age,

single/married, Filipino, and a resident of
_________________________________________________ (hereinafter
referred to as “Second Party”);

They shall be referred to individually as “Party” and collectively as “Parties”.

~WITNESSESTH~
WHEREAS, the First Party is the operator of FIN TRADE that distributes goods
shipped from abroad and delivered within the Philippines;

WHEREAS, the Second Party is interested in purchasing several pieces of goods

from the First Party;

WHEREAS, the Second Party proposes, and the First Party accepts, to purchase
several goods from the First Party, subject to the terms of this Agreement;

WHEREAS, the Second Party is in need of agents to sell the items that they will
purchase from the First Party; and

WHEREAS, the Second Party offers, and the First Party accepts, to be the agent
of the former in selling the items that the Second Party has purchased from the First
Party.

NOW THEREFORE, for and in consideration of the foregoing, the parties hereby
agree to the following terms and conditions:

 TERMS AND CONDITIONS
1. Goods Subject of Sale. – The parties hereby agree that the First Party
shall Sell to the Second Party a shipment of Goods, more particularly described as
follows:

2. Purchase Price. – The Parties hereby agree that the full and final
payment for the aforestated Goods payable by the Second Party to the First Party shall

of this Agreement;

3. Warranty. – The SELLER hereby warrants that the aforestated Goods are
fit for the purpose for which they are intended and that the First Party shall defend the
rights of the Second Party from any and all third persons;

4. First Party as Agent for Sale of Goods. – Pursuant to the fourth
WHEREAS Clause, the Second Party hereby constitutes the First Party as its agent in
selling the items purchased by the Second Party as specified in Clause 1 of this
Agreement, subject to the following rights and obligations;

5. Rights and Obligations in Agency. –

(A). The First Party shall use the resources in its disposal to effectively sell the
goods of the Second Party as specified in Clause 1 of this Agreement;

(B) The Second Party’s items to be sold by the First Party shall be deposited
within the storage facility of the First Party, whereby a contract of deposit is
hereby created by necessity, at no extra charge, except in cases specified in
Clause 5(D) of this Agreement. The Second Party may, at any reasonable
business hour, go to the storage facility of the First Party and inspect their goods
that were necessarily stored in the premises of the First Party;

(C) Out of the proceeds of the sale, the Second Party shall be entitled to an
amount equal to the amount stipulated in Clause 2 of this Agreement.
Furthermore, the Second Party shall be entitled to be paid by the First Party the
amount equivalent to __________________ percent (______%) of the proceeds
of the sale or a discount of ____________________________ for every
goods, to be paid for every month that the First Party shall sell the Second
Party’s items as specified in Clause 1 of this Agreement. Any amount in excess
of the foregoing shall be considered as the compensation for the First Party’s
services as agent in selling the items of the Second Party;

 (D) The Second Party may terminate the agency in favor of the First Party by
furnishing the latter with a prior written notice at least thirty (30) calendar days
from the intended date of effectivity, which in no case shall be less than
_____________ months from the execution of this Agreement. Upon the
effectivity of the termination, the Second Party shall remove or cause to be
removed the items that was supposed to be sold by the First Party within five (5)
working days from the date of effectivity. Otherwise, the First Party shall be
entitled to be paid the amount corresponding to thirty percent (30%) of the
value of the items as the First Party’s Depositary lien for every month that the
Second Party fails to remove their items. After three (3) consecutive months of
failure of the second party to settle the depositor’s lien, the First Party shall be
entitled to sell the items of the Second Party at a public auction to satisfy the
depositor’s lien. Any amount in excess thereof shall be returned to the Second
Party; and

(E) This Agency Agreement shall be effective for a period of
