DEED OF ABSOLUTE SALE

OF A MOTOR VEHICLE

KNOW ALL MEN BY THESE PRESENTS:

This Deed of Absolute Sale of a Motor Vehicle is made and executed this 30 TH
day of May 2022 in Malabon City by and between:

XXXXXXXXXXXXXXXXXX., a corporation duly organized and

existing under and by virtue of the laws of the Republic of the
Philippines with principal address at
XXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXX, represented herein by
its PRESIDENT, ALODIA C. RICASA, hereinafter referred to as the
VENDOR;
and
XXXXXXXXXXXXXXXXXXXXX, of legal age, single to and currently
residing at XXXXXXXXXXXXXXXXX, hereinafter referred to as the
VENDEE;
WITNESSETH that:
Whereas, VENDOR is the lawful and registered owner of one (1) unit of motor
vehicle more particularly described as follows:

PLATE NUMBER : XXXXXXXXX

Whereas, VENDEE has offered to buy and the VENDOR has agreed to sell the
above-described motor vehicle;
NOW THEREFORE, for and in consideration of the foregoing, the VENDOR
does hereby SELL, CEDE, TRANSFER, and CONVEY, in a manner absolute and
irrevocable and in favor of the VENDEE, his heirs, and assigns, the above-
described motor vehicle subject to the following terms and conditions:
1. The agreed purchase price of the motor vehicle between herein parties
is Eight Hundred Thousand Pesos (Php 700,000.00) Philippine
currency payable by the VENDEE to the VENDOR in full upon due
execution of this Deed of Absolute Sale and the simultaneous delivery of
the motor vehicle and its Certificate of Registration and Official Receipt;
 2. The above-described vehicle is sold on an “AS IS WHERE IS BASIS” and
the VENDEE has inspected the said vehicle prior to the signing of this
Deed of Absolute Sale and was satisfied as to the state and condition
thereof or otherwise;
3. The VENDEE agrees to undertake immediately and without delay the
transfer of title of the above-described motor vehicle to his name and to
shoulder all costs and expenses to effectuate the said undertaking, such
as but not limited to notarial fees, capital gains tax, documentary stamp
tax, transfer and registration fees before the Land Transportation Office
and other related government agencies and all other expenses
incidental thereto;
4. The VENDEE further agrees and undertakes to hold the VENDOR free
and harmless from all loss, damage, liability or expense arising from or
in connection with the use of herein subject motor vehicle incurred after
the execution of this Deed, pending the transfer of title, and until such
time the title to herein subject motor vehicle is transferred successfully
to VENDEE’s name.
IN WITNESS WHEREOF, both VENDOR and VENDEE have hereunder affixed
their signature on the time and at the place above stated.
