AGREEMENT

(hereinafter referred to as RCIC/Authorized Representative )

TERMS & CONDITIONS

1. RCIC shall provide to the Client services on Canadian immigration as in advice, consult and represent; the Client acknowledges
that amendments and changes to the Immigration Act or to the regulations promulgated here under are possible and shall
not have any effect on the validity of this agreement.

2. RCIC shall be authorized to act on my/our behalf including any of my/our family members included in my/our application for
the Federal Skilled Worker Program, and/or PNP, and/or Student, and/or Sponsorship,and/or TRV and/or Work Permit .The
provisions of this Agreement shall be applicable to these family members. I/WE further acknowledge and agree that RCIC is
solely responsible to apply my/our visa and I/WE shall not interfere or revoke this authority.

3. I /WE hereby agree to retain RCIC as my/our representative regarding my/our immigration matters (and the application of
my/our family members). I/We acknowledge and fully understand that CPNIS is a registered Immigration Firm and is operated
under strict supervision of Dr. F. Alemi (R406631) and Mr. A. Alemi (R406639) who are qualified members in good standing of
the CICC and are officially authorized to advice, consult and represent the applicants who wish to immigrate to Canada or
apply for any Canadian Immigration application to Canadian Government filling system. The function of under signed RCIC
are defined as follows:

- RCIC is responsible for providing immigration advice of the process under Skilled-Worker Express Entry
- RCIC is responsible for the preparation, review and submission of my/our application in Canadian Government filling
system under the Skilled-Worker Express Entry;
- RCIC is authorized to act, making inquiries and following up on the status of my/our immigration application with the
immigration authorities;
- RCIC will assisting me/us with preparation for any interview granted in consideration of my/our application, if deemed
necessary;
- Any of CPNIS RCIC is entitled to act and representations on my/our behalf.
- I understand without providing any recommended documents to increase final points, my/our file might not be selected
for ITA

4. I/We hereby acknowledge that all information and documents which I/We may provide to RCIC is truthful and accurate
and that any inaccuracies may seriously affect the approval of my/our application or the retention of my/our right of
Canadian permanent resident status after I/We and/or any member of my/our family have landed in Canada.

5. I/We understand that I/We may be required to attend an interview (if granted) at a Canadian Consulate or Embassy.
I/We acknowledge and agree that in the event my/our application is filed at a Canadian Consulate or Embassy located
elsewhere than in my/our area of residence, I/We may be required to attend the interview (if granted) at that location, which
may require me/us to travel outside my/our country for which I/We will be fully responsible for paying all costs and for
obtaining required permits, documents, visas, etc. to facilitate such travel. I/We understand attending an interview (if
granted) does not guarantee the acceptance of my/our application.

6. In consideration of the above-mentioned services, I/We shall pay RCIC a flat fee of USD $ 5900
non-refundable for retaining to provide services with payment by milestones, as specified in 6.1-6.2.

Note: * I/We understand that the government processing fee and any other fees are not
included in this agreement fee.

6.1 Upon signing of this agreement, I/WE shall make a payment of USD $2600 and acknowledge that we have received the
official consultation/advice on preparing our application and documents for the submission to Canadian Government filling
system.

6.2 I/We shall pay USD $2200 as the balance of section 6.0 of the agreement at the time of filling application to Canadian
Government Immigration filling system.

6.3 I/We shall pay USD $ 1100 as the balance of section 6.0 of the agreement within 6 months after the second payment.

7. Should I/WE receive visa directly, RCIC shall not be held liable for any damages, or loss whatsoever, foreseeable or
unforeseeable. I/WE acknowledge that the granting of a visa or status and the time required for processing this application
is at the sole discretion of the government and not the RCIC.

8. I/We understand and agree that we have to provide any lacking or updated documents within thirty (30) days after
receiving the request from RCIC.

9. I/WE acknowledge receipt of a copy of this agreement and do hereby state that I/WE understand and agree to all the
terms and condition as stipulated herein. This agreement becomes effective only after RCIC has received the original copy
signed by the client and the initial payment subject to 6.1 of this agreement.

10. I/We acknowledge and understand that RCIC may receive some commission or fee from provincial nominee program or
financial institute or schools and I/We have no objections herein.

11. I/We acknowledge & fully understand that this retainer agreement is governed in accordance with the Canadian laws in
Ontario and regulations as well as CICC by-laws, code of professional ethics and associated regulations.

11.1 Should there be any disputes concerning any of the services provided, you must address such matters in writing directly to
RCIC as your authorized Canadian Immigration representative. RCIC undertakes to respond to the Client’s complaint within
15 business days. In the event where a resolution cannot be reached, the applicant can present the complaint to the CICC
directly***.

12. All the applicant’s information is subject to confidentiality. All information and documentation reviewed by RCIC, required
by CIC and all other governing bodies, and used for the preparation of the application will not be divulged to any third party,
other than agents and employees, without prior consent, except as demanded by law. RCIC, and all agents and employees of
RCIC, are also bound by the confidentiality requirements of Article 8.1 and 8.5 of the Code of Professional Ethics.

12.1The Client agrees to the use of electronic communication and storage of confidential information. RCIC will use best efforts
to maintain a high degree of security for electronic communication and information storage.

13.RCIC’s failure to perform any term of this Retainer Agreement, as a result of conditions beyond his control such as, but not
limited to, governmental restrictions or subsequent legislation, war, strikes, or acts of God, shall not be deemed a breach of this
Agreement.

13.1 In the event Citizenship and Immigration Canada (IRCC) should contact the Client directly,
the Client is instructed to notify RCIC immediately.

13.2 The Client is to immediately advise RCIC of any change in the marital, family or civil status
or change of physical address or contact information for any person included in the application.

13.3 The Client understands that he/she must be accurate and honest in the information
provided and that any inaccuracies may void this Agreement, or seriously affect the outcome of the application or the retention
of any status they may obtain.

14. The Client acknowledges that if RCIC is asked to act on the Client’s behalf on matters other than those outlined above in the
Agreement, or because of material change in the Client’s circumstances, or because of material facts not disclosed at the outset of
the application, or because of change in government legislation regarding the processing of immigration-related applications, the
Agreement can be modified accordingly with the new fees.

14.1 This Agreement is considered fulfilled upon completion of tasks identified under section 6.2 of this Agreement.

14.2 This Agreement is considered terminated if material changes occur to the Client’s application or eligibility, which make it
impossible to proceed with services detailed in section 6 of this Agreement.

14.3 This Agreement may be terminated, upon writing, by the Client, at which time RCIC will refund the Client all the unearned
fees by cheque within 10 business days upon receiving notification of termination.

14.4 Withdrawal of the application by the Client at the time when RCIC has already created physical and electronic file is subject to USD $650
administrative fee which is not included in other fees. This fee is comprised of USD $450 to cover expenses related to administration, record
keeping and closing the Client file, and USD $200 to cover courier expenses incurred by RCIC. The client is entitled to the return of the
documents and safekeeping of the file for 5 years.

15. RCIC may withdraw service for the Client’s failure to pay the fees or not providing the requested documents stipulated in this Agreement.

16. This Agreement is governed by substantive and procedural laws of the Province of Ontario and both parties willingly submit to the
exclusive jurisdiction of the Courts of Ontario, Canada.

17. I understand any courier, bank charges, extra services, change of category and civil status change or any other services or fees which is not
mentioned in RCIC member fees are responsibilities of the applicant.

Validation
i) I/We acknowledge that I/We have read this Agreement, understand it, have obtained such independent legal advice as I/We deem
appropriate, have sought translation and agree to be bound by its terms.
ii) I/We acknowledge that I/We have requested that the Agreement be written in the English language.
