Further to your enquiry, please find following our formal quotation for one of our STS Superintendents to assist with
your possible STS operation offshore, Chittagong, Bangladesh.

FCM-controlled STS operations are fully compliant with the latest ICS/OCIMF Ship to Ship Transfer Guide for
Petroleum, Chemicals and Liquefied Gases, First Edition 2013. Should the client require STS Superintendent
services only and not to provide the ship to ship transfer equipment it is the client's responsibility to provide suitable
equipment, which meets the criteria as laid down in the OCIMF Guide.

If it cannot be demonstrated that the equipment is fully compliant with OCIMF requirements then FCM reserve the
right to carry out a full pre-operational risk assessment the findings of which can be made available to the client.
Should the parties decide to proceed with the operation then FCM will use best endeavours to limit or minimise the
client's risk.

However, FCM do not accept responsibility for any loss or damage howsoever arising from the use of the
equipment provided by the client.

PROPOSAL

To supply the services of our Moorings Master to supervise your STS operation: -

Location : Chittagong Anchorage

Discharging vessel : TBC

Date of Operation : TBC

Scope of Work : To supply the services of our STS Superintendent to oversee your operation is
conducted in a safe manner. Oversight would include safe berthing/unberthing of
the vessels alongside the mother vessel, hose connections/disconnection and safe
loading.

It is the client’s responsibility to provide suitable equipment.

Scope of work;
- Supply of STS Superintendent.
- Conduct compatibility checks of each vessel for STS operation.
- Prepare a fender rigging and mooring plan for each vessel/operation.
- Prepare operation and location-specific Risk assessments.
- - Subscribe to the daily weather forecast of the STS location.
- Operation coordination.

STS Supt. daily rate Lumpsum USD 1950 per day Plus travel expenses of an STS Supt. at actuals
between Home & Base.

Additional UAE 5% VAT, if applicable on the above charges.

Time:
Time to run from our STS superintendent's departure from Home until his return
home, all days inclusive
Flights & Expenses
At Actuals and to be reimbursed by the client.
Local transfers and hotel arrangements on arrival in Bangladesh - By the client. If
we are to arrange through our local agents, then the same will be charged at
actuals + 10% handling charge.
Availability
All proposals offered subject to equipment/personnel remaining unsold/off-hire

Covid - 19: In case STS Supt. get stuck/quarantined on his arrival /while returning to his
home, a standby charge of USD 1650 + GST 18% per day will be applicable up
to the period he stays quarantined and till reaches back at home.

Timings: Client to advise laycan upon confirmation of operation to be narrowed/agreed 72

hrs prior to commencement of operation.

Payment Terms: Advance, as per the Proforma Invoice.

TERMS & CONDITIONS

All STS Transfer Services provided by the Fender Care Marine legal entity named as party to this STS Offer are
subject to and conducted under the T&Cs of STS Transfer Services (“T&Cs”) accessed via the following link

Each and any Contract resulting from and including any Company Acceptance of a STS Offer shall be deemed to
incorporate and be subject to the terms of these T&Cs to the exclusion of all other term(s) that and member(s) of
the Company Group or any third party may seek to apply whether included in or as part of any RFQ, purchase
order, acknowledgement or otherwise.

Please be advised that this quote is applicable for the above-mentioned date range. If your ships are delayed at
previous ports or ETA's change, and as a result your dates for STS change, then please note we may not be able to
guarantee STS equipment availability - please therefore check with us if your dates change and we will advise.

Cancellation of Operation

Should the STS operation be cancelled, we reserve the right to charge a cancellation fee for any costs incurred e.g.
STS Superintendent (expenses & flight), plus a 10% arrangement fee.

Emergency Plan

In the event of an incident or emergency, if you require us to follow your procedures please forward a copy of your
emergency plan and contact details in a suitable time prior to commencement of the operation.

Fatigue Management

Fendercare shall procure that all STS Superintendent’s take adequate rest periods to meet not only the requirements
of STCW A-V111.1 but also the Maritime Labour Convention (MLC).

Notwithstanding the foregoing, the STS Superintendent shall comply with both the STCW Code Section A-V111.1
and the requirements of the MLC. In summary, this states that all persons, during a STS transfer, must take suitable
rest periods.

Specialised Personal Protective Equipment (PPE) Requirements

The Material Safety Data Sheet (MSDS) must be supplied by the vessel to enable a hazardous substance
assessment to be completed.

If the MSDS and the hazardous substance assessment indicates that, due to the nature of the cargo to be
transferred, there is a requirement for specialised Personal Protective Equipment (PPE) to be worn by the STS
Superintendents, the responsibility for providing the specialised PPE to the STS Superintendent is that of the vessel
master. The correct use and wearing of the PPE must be explained to the STS Superintendent as part of the Joint
Plan of Operations (JPO).

Visa Obligations

Please note that unless otherwise agreed in writing by Fendercare in advance, if there are any VISA and/or any local
formality/formalities that are required for our STS Superintendent to enter and/or exit a country for the purpose of
attending an operation, prior to our STS Superintendent’s travel or mobilisation, you/the client shall be solely
responsible for arranging this irrespective of whether procured by you/the client or your local appointed agents.
You/the client shall indemnify, release, defend and hold harmless Fendercare, any Fendercare Affiliate, FCM
Superintendent, each and all of their respective employees and agents against all claims, losses, penalties,
damages or otherwise, that incur or arise from or in connection with your/the client’s and/or any other local agent’s
failure to comply with these VISA obligation.
