Any revision to the approved Construction Plan that will increase the original estimate shall be considered as an
additional order or change order and shall be subject to additional costs computed on a pro-rated basis. Moreover, upon
joint inspection of actual area, any increase in actual area versus the approved Construction Plan area that requires
additional materials and labor will be for the account of the Buyer and will be covered by a separate Purchase Order.
3. PRICES of materials do not include installation and are subject to change without prior notice unless Quotation has
been signed and the required down payment has been received. Check payment is considered received when it has
been encashed or cleared. Permits, subdivision clearances, village entrance fees, other subdivision fees, including toll
fees, required to allow delivery of materials to site shall be for the account of the Buyer.
4. KAWARA shall not be held liable for delivery shortage, delays in, or non-delivery due to glitches in Manufacturers
production schedule or logistical problems, or acts of God, strikes, lock-outs longshoremen strikes, acts of government,
declaration of government for public safety and health, after effect of floods or natural calamity, and similar or related
causes.
5. Deliveries from the Supplier may arrive in multiple containers. The Buyer is bound to accept the materials and to pay the
price of the materials as they are delivered. Failure of the Buyer to accept the delivery of the goods within the stipulated
period shall make the entire amount due and demandable, plus charges in the amount of P24,000.00 (NCR),
P100,000.00 (Regions 1, 2 and CAR), P60,000.00 (Region 3), P35,000.00 (Region 4A), P130,000.00 (Region 5),
P50,000.00 (Regions 4B, 6, 7, and 8,) P60,000.00 (Regions 9, 10, 11, 12, 13, and BARMM) per 20’ container for
rerouting, trucking and hauling charges; and warehousing charge of P24,000.00 for 20’ container per month. The
charges are doubled per 40’ container.
6. Delivery and turnover of materials shall be made on site properly secured and protected by the Buyer which should not
be more than 9 meters from project site. An extra charge of P20,000.00 will be added should the storage area be in
excess of 9 meters but not more than 20 meters form the project site. All storage areas should be on the ground level.
Security over the materials delivered and turned over shall be the responsibility of the Buyer. Any loss or destruction of,
or damage to the materials delivered and turn-over shall be for the Buyer’s account. Lost or damaged materials may be
replaced at an additional cost of the Buyer.
7. Damage or stains on the delivered materials and/or on the finished work caused by, or as a result of the work, or fault or
negligence of other contractors or workmen, or the Buyer and his/its employee is not the responsibility of KAWARA. Any
tampering of, damage done unto, puncturing of, installation of additional screws through, or dismantling of materials
performed by the owner or other contractors or workmen is not the responsibility of KAWARA. KAWARA warranty will
be terminated if the materials are removed or tampered. Repairs of such damages or replacement of the materials are
considered additional orders and costs and shall be charged accordingly to the Buyer.
8. The Seller reserves the right to discontinue the Deliveries or the work if the conditions of the Terms of Payment are not
complied within seven (7) days from receipt of Billing. The Buyer agrees to pay 12% interest per month on all overdue
accounts until fully paid, plus the sum equivalent to 25% of the amount due for attorney’s fees in case of a lawsuit and a
similar 25% of the amount due for liquidated damages. Venue of any action for the enforcement of any party's rights
and interest under these terms and conditions shall be in the proper courts of Quezon City only to the exclusion of any
other court or venue.
9. KAWARA represents that the materials to be delivered shall be free from any defect in materials and factory
workmanship and undertakes to replace any materials found to be with factory caused defects. Variation in Color and
Shades are inherent characteristics in all Materials and shall not be considered as defect in materials or factory
workmanship. The liability of KAWARA is limited to defects in materials supplied and under no circumstance shall its
liability exceed the value of the materials supplied. The terms and conditions in the Limited Warranty of the product by
the Manufacturer applies and is made an integral part of this Quotation.
A penalty of 50% of the total amount of the Quotation/Contract shall be paid by the Buyer in the event of Cancellation of
the Quotation/Contract.
All payments must be made in check payable in the name of NEW KAWARA, INC.

TERMS AND CONDITIONS
INSTALLATION:
1. Prices are subject to change without prior notice before the Quotation Contract has been signed and with the required
down payment received.

KAWARA is not responsible for structural design and the structural computation of the total dead load to be carried. The
Buyer, his/its Architect, and/or Building Contractor and/or the Project Manager shall ensure that the structural frames are
properly leveled as per building plan prior to the installation of the materials supplied by KAWARA. Any misalignment on
the installation of materials due to improper structural leveling shall not be the responsibility of KAWARA.
a. Clay Roof Tiles – The supplier of undersheeting will ensure that batten straps are installed along with the
undersheeting. The batten straps must be 0.50 mm pre painted, ISO standard 1" x 8" min. in size. Vertical battens must
be spaced at every 0.60 m (maximum). Leak tests must be performed by the undersheeting contractor in the presence of
KAWARA prior to the installation of Clay Roof Tiles.
b. Stone Coated Metal Roof Tiles – spacing of roof purlins should be 370 mm.
c. Asphalt Shingles – Plywood decking should be of the highest quality and should be at least 0.5 inches thick.
d. Undersheeting and Plywood – spacing of roof purlins should be at most 600 mm.
e. Insulation, Gutter System, Nosing, PVC Ceiling and all other materials, if supplied by KAWARA– Structural framing
preparation by Building Contractor as per Architect-approved shop drawings.
3. No installation will proceed if materials are not fully paid. Cost of delays are for the account of the Buyer.
4. The Installation warranty is one (1) year from the date of completion. Installation will start only upon completion of
material deliveries and upon Buyer’s (or the Building Contractor or Project Manager) notification that the site is ready for
installation. In the event that the installation work is stopped or suspended by Buyer for causes not attributable to
KAWARA or force majeure including government mandated lockdown, the Buyer shall will shoulder all costs of
demobilization and remobilization.
5. KAWARA reserves the right to schedule stoppage of work or resumption of work in the event of delays in payment or
"Force Majeure" such as rain, typhoon, war, civil disorder, public health and safety advice and other similar or related
causes.
6. 1. Upon the installation of materials by KAWARA, any tampering of, damage done unto, puncturing of, installation of
additional screws through, or dismantling of materials performed by the owner or other contractors or workmen is not the
responsibility of KAWARA. Any tampering or defacement will automatically terminate the warranty for repair and
replacement pursuant to par. 4 and par. 9 of Material Quotation Terms and Conditions.
7. FOR ROOF INSTALLATION: Turnover of the work will be done by phases. Installation on the lower roof may be
discontinued if the works of the other project contractors are unfinished. Damage or stains on the materials caused by
the acts or negligence of other contractors and their workmen are not the responsibility of KAWARA and any repair
arising from these damages or stains will be charged to Buyer as additional work. KAWARA shall not be held responsible
for the wastage or excess of the allowable cuttings of the roof tiles along the hip and ridge and valleys executed by
KAWARA's work force during installation.
8. FOR CLAY ROOF TILES: PAINTING OF TILE: Painting done by KAWARA is limited only to the mortaring of the ridge,
hip, and the concrete capping of the tile located at the inside gutter. Painting is not directly applied on the tiles. Main tiles
that extend further than the fascia line or protrude (special designs of Architects) will normally expose unpainted areas
seen from below. This is a painting job to be done by the Buyer and does not form part of KAWARA’s scope of painting
work.
WATERPROOFING OF CONCRETE CAPPINGS: Waterproofing of the concrete cappings on Main Tiles located along
the inside gutter should be waterproofed by Buyer. KAWARA does not take responsibility for the Ieaks that may be
caused by non-application of waterproofing. KAWARA’s undertaking is limited only to the concreting and painting of the
cappings.
9. Cancellation of the Installation Contract shall he charged a 30% penalty on the total amount of the Contract amount.
