SECRECY AND NON-USE UNDERTAKING

We, __________________ understand that LTHSC is bound by obligations of secrecy under

the Confidentiality Agreement with Saudi Aramco and is required to have an
agreement/undertaking, so as to be similarly bound, from the vendors/ third party suppliers
with whom any such Confidential Information may be shared.

We hereby sign this undertaking, voluntarily accepting the terms and conditions of the
Confidentiality Agreement without any qualifications or deviations except for abiding by any
government order or subpoena issued by a court, in which case disclosures by us shall not be
considered as a breach under this Confidentiality Agreement. We shall use the Confidential
Information received from LTHSC only for the purposes as specified in the Confidentiality
Agreement and shall not disclose any such information to any third party (excluding our
personnel, affiliates and subcontractors) without the prior written approval of LTHSC. We shall
be liable for any breach of confidentiality by our personnel, affiliates and subcontractors.

We hereby assume liability for, and will indemnify, defend and hold harmless LTHSC from any
claim, suit, action, damage, loss, cost, liability, fine, penalty, assessment or judgment
(including but not limited to the costs of enforcing such obligations under this indemnity) arising
out of or resulting from any breach by us in the obligations as specified in the given
Confidentiality Agreement.

We agree that at any later stage, LTHSC/ SAUDI ARAMCO may require that we execute a
further agreement with them, for the purposes of protection of their Confidential Information
and that we shall have no reservations against the execution of such agreement after due
review.

We agree that LTHSC, SAUDI ARAMCO may directly enforce this Undertaking against us,
without prejudice to any of their rights under the aforesaid Confidentiality Agreements.

We are enclosing the initialled and stamped copy of the Confidentiality Agreement (Annexure
1) as a token of our acceptance to their terms and conditions.
