1. Lease Agreement- for Rent/MG

Advance token Amount
Landlord has deposited Rs. 5,00,000 as advance token to
: confirm this term sheet, a detailed MOU shall be signed
basis on these terms between parties.

24 SEVEN at any time without assigning any reason whatsoever shall have the right to cancel this
MOU by giving 7 days’ Notice to the BUSINESS ASSOCIATE. 24 SEVEN shall refund 100% of advance
paid by the BUSINESS ASSOCIATE upon execution of this agreement. Thereafter the 24 SEVEN shall
have no liabilities, obligation towards BUSINESS ASSOCIATE including financial or otherwise and shall
24 SEVEN shall be free to deal with other parties at its discretion.

BUSINESS ASSOCIATE at any time without assigning any reason whatsoever shall have the right to
cancel this MOU by giving 15 days’ Notice to the 24 SEVEN. 50% of Advance signing paid by the
BUSINESS ASSOCIATE upon execution of this MOU shall be forfeited by the 24 SEVEN against
Nonrefundable dues under this term sheet and the balance shall be refunded by the Company.
Thereafter the 24 SEVEN shall have no liabilities, obligation towards BUSINESS ASSOCIATE including
financial or otherwise and shall 24 SEVEN shall be free to deal with other parties at its discretion.
BUSINESS ASSOCIATE fully understands, aware of and acknowledges that the 24 SEVEN shall be
spending money for signing up locations, paying advances to the vendors landlord, architects and
other professional feasibility fee to sign up store locations agreed under this MOU. Forfeiture of the
advance money paid along with the execution of this MOU is a pre estimated damage compensation
to the 24 SEVEN and shall be applicable as per terms.

All paymants shall be payable to Godfrey Phillips India Limited
