Role of government in business and society; analysis of social policy and legal institutions; ethical
problems in management decisions; administrative law; antitrust law; employment and
discrimination law; regulation of business transactions; protection of property rights; regulation of
information in markets including securities and product safety; international business law.

Course Prerequisites
Prerequisites: ACCT 230 or concurrent enrollment; ISTM 210, MARA 250, or AGEC 217, or
concurrent enrollment; and admission to upper division in Mays Business School.

Interpret and apply legal concepts in the substantive and procedural areas of law as stated in the
course description above and as are relevant to the legal environment of business.
Determine how laws are made, enforced, and interpreted.
Evaluate the structure of the legal and regulatory environment and apply it to the operation of
business.
Compare and contrast various business entities, torts, employment laws, types of contracts, etc.
Analyze legal and ethical issues in business situations.
Apply laws to current business scenarios to determine legal alternatives.

1. eBook: The fee for the mandatory textbook required for this course (eBook only through

Day and want to purchase Cengage Unlimited or purchase the eBook/MindTap separately (at a
higher cost), you MUST still go through the link in Canvas.) I recommend using CHROME or
FIREFOX as your browsers for everything related to Canvas/MindTap and eBook.

How to purchase a print upgrade: I believe most students learn better from a printed
textbook, and I have found that most students prefer reading the printed textbook. However,
printed textbooks have become too costly. Only the eBook can be included in the First Day
Program…….So, if you are interested in the printed version of our text, I recommend you talk to
the campus bookstore about purchasing a print upgrade to the eBook. The print upgrade means
you buy a loose-leaf version of the text at a low cost since this course participates in the First Day
Program. (NOTE: this is not to replace your online access which was included in the First Day
program….it is an upgrade.) Be sure to be clear with the bookstore that you are asking for the
print upgrade to our textbook: Cross/Miller’s The Legal Environment of Business: Text and
Cases, Loose-leaf version, 11th edition. You may also ask our Cengage representative in online
office hours (found under the Canvas module “eBook & MindTap) if you have any questions about
this print upgrade.

Further note about MindTap: MindTap is how you access the eBook, but it is also a customized
online access to practice activities (some of which I use for extra credit discussed below) that will
help you analyze the law and be better prepared for my exams. You access the MindTap activities
through Canvas. I do NOT write the questions/problems in MindTap, and they are not meant to be
representative of my Exam Questions. All MindTap practice activities are written by Cengage.
Many of my exam questions are much more difficult!

2. Guided Lecture Notes Outlines for Class Notes: For each chapter we cover you’ll
find a Guided Lecture Notes Outline in Canvas. It’s located in the Modules which are grouped by
Exam with subheadings for each chapter on the exam and then links to the eBook chapter and
additional materials for success in class. The Guided Lecture Notes Outlines should be used
DURING CLASS FOR NOTETAKING. You will need to download the Guided Lecture
Notes Outline for that chapter to a device you can take notes in OR print it out on paper and
bring it to class to take notes on daily. Each chapter outline has some spaces for you fill in and
will aid you in notetaking in class daily. Without the outline for class daily, you’ll have trouble
taking notes and keeping up with all we discuss in class.

The material preprinted and what you add daily during class to the Guided Lecture Notes Outlines
for each chapter will be your guide for test material!!! Not all material in the eBook is tested on.
And some of the material in the Guided Lecture Notes Outline is NOT in the eBook.

You must be in class daily to properly use the Guided Lecture Notes Outlines. It is NOT meant
for use in notetaking while reading the eBook. If you are absent during lecture, see below

information on how to get the missing materials for your Guided Lecture Notes Outline used that
day in class. (But I do NOT repeat missed lectures, and there are NO recordings.)

3. Using Required Materials/How to Prepare for Class Daily: I have included a course
schedule, which shows you exactly what will be done each class day. Reading the eBook chapter
is an absolute must!! But whether you do it before we cover the material or after or both is up to
you! If you choose to read the textbook chapter BEFORE the lecture/discussion on that chapter,
read for general knowledge of the subject (this does NOT mean taking notes over the chapter as
you read it!!). Notetaking is done in the Guided Lecture Notes Outlines DURING LECTURE
IN CLASS. After we cover the material together you MUST spend time with the eBook material
too and spend time critically thinking about the cases in point and examples provided by the
authors. Some students also choose to enhance their notes in the Guided Lecture Notes Outline
with additional info from the eBook. But remember there is some material in the textbook which
is NOT tested on. IF IT’S NOT IN THE GUIDED LECTURE NOTES OUTINE FOR THAT
CHAPTER, IT IS NOT ON THE EXAM.

WHAT TO DO IF YOU MISS CLASS: you can use the Guided Lecture Notes Outline
as you read the chapter and are able to obtain some of what is missed in class. However, to get
missed notes on my examples and cases not in the textbook, you’ll need to find a classmate
to share copies of their notes. I do NOT repeat lectures and there are no recordings other
than the specifically referenced videos on our schedule.

4. Use of Outside Study Aides: There are no old tests available, no old test questions
available. 4.0 & Go is a waste of your money and websites like Chegg are a waste of your valuable
time. Further use of outside unauthorized study aids (anything not provided in the eBook,
MindTap, Canvas or not made by you) is a violation of the Aggie Honor Code.

Study Info and Success in MGMT 311:


1. Approved Study Aides: After class learning takes place you need to work on memorizing
lots of picky details in the law, make your own study aids, and practice application of the laws.
Memorizing most likely requires you making your own study aides (see b. below). As for
application, there are questions for practice at the ends of each chapter in the textbook. I will post
answers to selected helpful chapter questions on Canvas for each chapter we cover. Also, some of
these helpful chapter questions will be your assignments which we discuss answers to during class.
Finally, the authors selected some of these questions and included their answers in the textbook
appendix. There may be other approved study information and aides on Canvas. (Further
explanation on these and other study aides will be discussed in class and in Study Tips posted on
Canvas.)

2. Making Your Own Study Aides: You cannot be successful just coming to class and then
reviewing your notes. And you can’t expect yourself to apply properly if you don’t have the laws
memorized. The most successful students take the time to make their own study aides such as flash
cards, quizlets, practice multiple choice questions, charts on contrasting concepts, concept webs,
even rewriting the guided notes lecture outlines after all notes are taken in the outlines during class,

etc. Using a study aid prepared by someone else….even a really smart past
student….deprives you of the benefit you gain from making your own study tools….it’s more
about the process than the product….

Cell Phone Policy


You are not permitted to be on your cell phone or smart watches or do anything other than take
notes on any other device during class. You have my undivided attention during our class, and I
do my best to make class time worth your time being here. So, I appreciate you showing me the
same respect that I show you during class time. If you choose to ignore this policy, you may be
asked to leave class. If an emergency happens and you need to text or talk on the phone, step out
of class quietly.

Professionalism
Professionalism is very important and for this class means the following:
1.) Students are expected to be respectful of my time and of classmates. A big part of this
respect is paying attention and NOT being on your cell phone. Students who cannot stay off their
cell phone may be asked to leave class. (Cell phone policy was stated above.)
2.) Additionally, students are expected to properly address the professor and introduce
themselves in person and in email correspondence. It is NOT professional to address any university
instructor/professor by their first name. Please keep in mind that I teach multiple law courses which
are totally different with different subjects, texts, requirements, and Exams. Please identify
yourself and the class in which you are registered (MGMT 311-502) in ANY email or in
person. DO NOT JUST SAY MGMT 311 (I have Honors sections which are different.)
3.) If you email me with questions answered in the syllabus, you will receive an email
response of “It’s in the syllabus.”
4.) I normally only read and answer emails on weekdays during regular working hours.

Social Media Policy


No student has permission to create any form of private or public social media messaging system
for our class, including but not limited to “Group Me”, or “FaceBook”. Students are prohibited
from discussing the policies and/or content of this course through any public or private social
media, including but not limited to “Group Me” or “FaceBook”. If you choose to violate this
policy, your grade in this course may be lowered by a letter grade and you will be investigated for
academic dishonesty by the Aggie Honor System Office. If you need help studying come to my
office hours instead of trying to find other students to answer your questions.

Grading Policy
The following grade ranges apply:
90 - 100 = A 70 – 79.99999… = C 0 – 59.99999… = F
80 – 89.99999… = B 60 – 69.99999… = D
These grade ranges are absolute and non-negotiable. 89.1-89.9 is a B. 79.1-79.9 is a C. 69.1-69.9
is a D. 59.1-59.9 is an F. When your final semester average is posted, grades will be FINAL.
DO NOT EMAIL me for grade bumps. I will not respond, and you will NOT receive the
grade bump.

Your grade in this course is made up of the following components (explained below):

Exam I 22.5%
Exam II 22.5%
Exam III 22.5%
Exam IV 22.5% (this exam is NOT cumulative)
Assignments 10%
Total 100%

1. Exams (22.5% each): Exams are given in class, during class time, except for Exam IV.
Exam IV is still given in the classroom but during the Final Exam times set by the University. You
have 75 minutes for Exams I-III, and 90 minutes for Exam IV. Points may be deducted for failure
to submit the test timely at the end of the allotted time.
a. For EVERY examination, you are responsible for bringing:
a Computer Answer Sheet scantron (size of a full sheet of paper) – these scantrons say
"Measurement and Research Services" and M-O101607. They can be gray, blue, or tan. If you do
NOT have the correct scantron, your Exam will not be graded.
*make sure edges are NOT bent!!!

your student I.D. or other picture I.D.

I DO NOT PROVIDE SCANTRONS AND NEITHER DO MY TAs!!!


Each Exam is 50-60 multiple choice questions. (I sometimes include Bonus questions on 1 or more
exams.)
It is your responsibility to fill in your name, student ID, our class info and test form correctly on
the scantron prior to turning in your exam. Failure to do so may jeopardize your exam grade or
whether the grade is properly reported. 5 POINTS WILL BE DEDUCTED FROM YOUR
EXAM GRADE FOR FAILURE TO BUBBLE YOUR TEST FORM OR STUDENT
IDENTIFICATION NUMBER CORRECTLY ON THE SCANTRON PRIOR TO
TURNING IN EACH EXAM. This failure on your part causes problems for the grading center
because you are not recognized as enrolled. The computer will NOT grade your exam if your
student ID is misbubbled. Therefore, grading must stop to identify whether a mistake was made or
if the student is in fact not enrolled in the class. If a scantron is bent – especially on the edges,
mistakes in grading may occur which are your responsibility to identify by coming to review
your exam.

b. Grades are reported on Canvas.


You can access Canvas at http://Canvas.tamu.edu
Canvas is simply a way to confidentially show you the components of your grade. Canvas DOES
NOT CALCULATE your grade. (This may change at the end of the semester.) I will NOT discuss
grades in an email, and neither will my TAs. If your grades do not appear on Canvas, you should
go to the TA office hours to determine the problem immediately. It is YOUR RESPONSIBILITY,
not mine, nor my TAs, to make sure we have grades for every graded event in this course for you.
It is further your responsibility to make sure the grade showing on Canvas is your actual test grade.
Mistakes on Canvas are possible. The grade on your score report from the campus grading center
(seen when you come to review the exams) is what will go into my grade sheet (unless a curve
was awarded).

c. Reviewing Exams
Reviewing each exam is vital to your success in this course. You may review Exam I-III
starting the day after grades for the respective exam have been posted on Canvas by going to my
TA office hours (NOT my office hours). You have until the day before the next exam to review
a previous exam. When you review your exams, you may NOT take notes, record answers, take
pictures of the exam or your score report, nor leave with your exam or your score report. If you
have questions for me, you are welcome to write down the question # and your exam form and
come to my office hours. I have copies of the exams we can use to answer your questions. There
is NOT an opportunity to review Exam IV until after the beginning of the next semester.

I teach 4 courses this semester and my TAs help with all 4 classes. My TAs may have to cancel
office hours on the days of the other large class (MGMT 643) exams and the days we grade
the other large class exams. We will post dates of cancelled office hours on the board outside the
TA office door (Wehner 415A). However, changes often occur at the last minute where we have
no ability to notify you.

**Do NOT wait until the last day before your next exam to review your past exam, as TA
office hours may be cancelled.
d. Make-Up Exams
You are required to take examinations as scheduled. Absence will be excused from examination
ONLY for a University approved reason with actual documentation proof thereof provided in
accordance with university policies and the rules below. Please refer to Student Rule 7 in its
entirety for information about excused absences, including definitions, and related documentation
and timelines.

**MAKE-UP EXAMS ARE NOT GIVEN EARLY.


If you have a university excused absence for missing the exam and have followed the rules below
you will be entitled to a make-up exam. Make-up Exams may be multiple-choice, true/false, or
short answer format. Make-up Exams are usually harder for most students.

Make-up Exams will take place on the following dates: (my TA’s proctor make-up Exams)
Exam 1: 9/22/23 6-7:15pm in Wehner 408
Exam 2: 10/20/23 6-7:15pm in Wehner 408

Exam 4: If a make-up is needed, it is set up on a case-by-case basis and sometimes students
must be given an incomplete for the semester when Exam 4 is missed.

If you do not have a valid university excuse for missing an Exam, you WILL RECEIVE a zero
(0) on that exam and are not eligible for a make-up exam.

To be eligible for a make-up exam you must do the following:


1. Have a university excused absence in accordance with university policy, see
http://student-rules.tamu.edu/rule07 for more details. (I will verify doctor’s notes.)
2. Email me ASAP, but no later than 2 class days of the missed exam. Attach to the
email the doctor’s note or other documentation supporting the excused absence. ***remember to
tell me you are in MGMT 311-502 when you send the email!
3. I will respond to your email. That email will be your admittance into the make-up
Exam on the dates stated above.

**Failure to follow these rules for approval of a make-up exam may result in you receiving
a zero (0) on the missed exam.
**COMMUNICATE AND FOLLOW INSTRUCTIONS!!!!

2. Assignments (10%): There will be selected questions assigned at the ends of at least 10
chapters in the textbook. Answers will be effort graded. But turning them in is worth 10% of
your overall grade. If you turn them in when due and have put in the amount of effort, I expect to
see of students in a 300-level class (my expectations will be discussed in class), then you’ll receive
a 100 on each assignment.

These questions will be assigned verbally in class as we go through the semester. (Not all chapters
have an assignment.) The submissions for each Assignment are already in Canvas. But the actual
questions to answer for the assignment are NOT in Canvas. I will tell you which questions to
answer in class on the day we finish the material/chapter on which I make an assignment. Verbal
announcements will be all you receive for these assignments. Answers are submitted in
Canvas in a text entry. And the answers will always be due in Canvas by 11:00am on the next
class day following the verbal announcement in class (11:00am is 10 minutes prior to the
start of class).

Assignments serve 3 purposes: encourage class attendance; help you practice application….think
about both sides of a legal issue; and help your overall grade in this course.

I will usually take class time to discuss the answers. You will get more out of this class discussion
if you pull up the answer you submitted in Canvas. These assignments will help you analyze and
apply the law and help prepare you for my exams. But you get as much out of them as you put into
them. If you do not do Assignments you lose the opportunity to earn a 100 for 10% of your grade,
and your exam grades could be affected too because you may not be as prepared as you could be.

Grades on Assignments are posted on Canvas. It is your responsibility to verify these


grades are accurate. If you believe a mistake has been made, you should go to the TA office hours
to discuss it with him.
Students are given a ‘0’ if: If you do not turn them in on time, you will receive a 0. If my
TA who grades the assignments does not think you are exhibiting the amount of effort I expect,
you will receive a 0. If you receive a 0 on an assignment and believe you deserve a 100, you are
welcome to visit with me in office hours. I MAY overrule my TA’s decision.
If you are absent on the day the questions for the Assignment are GIVEN OUT
VERBALLY: It is your responsibility to ask a classmate for the questions assigned. I will NOT
answer emails on missed Assignments, and neither will my TA. One exception to this is if you
have university approved absence documentation for the date the questions are given out. If you
do have a university excused absence for the day I tell the class which questions are on an
Assignment, then you’ll need to email ME the University approved documentation ASAP. I will
reply with which questions are on the Assignment. (You can also still ask a classmate and not have
to rely on possible delays in email communication.) The Assignment is STILL DUE ON THE
DUE DATE IN CANVAS.
If you have a university excused absence on the day the Assignment IS DUE: The
ASSIGNMENT is still due on the due date unless you have University approved documentation
that would give you an excused absence on the DUE DATE. If that occurs, email me your
documentation, and remember to tell me which class you are in (MGMT 311-502)!! I will
respond to your email with instructions on how to submit the assignment. If you feel up to
submitting the assignment on time, even if you have an excused absence from classwork, then you
don’t need to email me.
You are also under the AGGIE HONOR CODE to be doing these assignments on
your own. I expect all students to abide by the CODE and to report anyone they find not
doing so. All reporting will be kept confidential.

3. Extra Credit: In every chapter we cover in the textbook you will find additional practice
activities in MindTap. I have included several activities for each chapter. The Brief Hypotheticals
will serve as extra credit. You MUST do the Brief Hypotheticals for each chapter prior to the
date of the exam on that chapter. This activity is open book/open notes….even open friend. You
have 15 minutes for each chapter’s Brief Hypotheticals, and you get 2 chances to score at least 70.
If you score at least 70 after 2 attempts, you will receive 1 point of extra credit on the exam
covering that chapter. So, the amount of extra credit available on each exam differs based on the
number of chapters on that exam. (Exam I: 5 points; Exam II: 5 points; Exam III: 4 points; Exam
IV: 3 points (because only parts of chapters make up the rest of Exam IV material.)

The Brief Hypotheticals we are using for this Extra Credit for each chapter are open and available
as soon as we finish a chapter. They should NOT be used as a review for the exam. And you should
NOT wait until the night before the exam to do them. If you wait and have technical difficulties,
points will be denied. There are no make-ups on extra credit.

Attendance Policy
The university views class attendance and participation as an individual student responsibility. Students
are expected to attend class and to complete all assignments.

Please refer to Student Rule 7 in its entirety for information about excused absences, including
definitions, and related documentation and timelines.

Makeup Work Policy


Students will be excused from attending class on the day of a graded activity or when attendance
contributes to a student’s grade, for the reasons stated in Student Rule 7, or other reason deemed
appropriate by the instructor.
Please refer to Student Rule 7 in its entirety for information about makeup work, including definitions,
and related documentation and timelines.
Absences related to Title IX of the Education Amendments of 1972 may necessitate a period of more than
30 days for make-up work, and the timeframe for make-up work should be agreed upon by the student
and instructor” (Student Rule 7, Section 7.4.1).

“The instructor is under no obligation to provide an opportunity for the student to make up work missed
because of an unexcused absence” (Student Rule 7, Section 7.4.2).

Students who request an excused absence are expected to uphold the Aggie Honor Code and Student
Conduct Code. (See Student Rule 24.)
