1.1 You shall fully indemnify us from and against any expense, loss, damage or liability which we
may incur as a consequence of the occurrence of any Event of Default or arising out of or in
connection with the performance or non-performance by you of any of your obligations
under this Sanctaon Letter.

By signing the counter part of this Sanction Letter you warrant and represent that:

existing under the laws of Bangladesh. You have full power and authority to borrow and
perform your obligations under this Sanction Letter and the other documents contemplated

3. AFFIRTiATIVE COVENANTS
3.1 use of the Facllitv/Facilities
3.1.1 You shal' use/utilize the Facility/Facllltles for the purpose(s) as stated ln Sandion.
3.2 Maintenance of Buslness
3.2.1 You shall maintain the corporate existence in good standlng in compliance wlth all applicable
laws and shall maintain the present charader of your business (applicable only when the
borrower is a company). You shall conduct your businesses and operations in accordance
with all applicable laws, shall pay all of your indebtedness and perform all of your
contractual obligations.
3.2.2 Any material or adverse change in your business condltlon will cause the amount due to us
from you immediately repayable.
3.3 I!-xes
You shall pay and discharge all taxes, VAT and other charges imposed upon you or against
any of your properties and assets from your own sources.
3-4 lnsurance
You shall maintain insurance on all your properties and assets, and shall ensure that
insLlrance on all your properties and assets is malntained with Insurance companies
acceptable to us.
3.5 Insoedion
You shall permit us and our representatives at all reasonable times to insped your
premises, facillties, actjvities, fixed and floatlng asset, books of account and records and you
shall cause your representatives, employees and accountants to give their full cooperation
and assistance an connedion with any such inspections.
3.6 Undertaklno
3.6.1 By accepting this Sandion Letter you undertake as follows:
3.6.1.1 You shall bear the risks of exchange rate fluctuation;
3.6.1.2 You shall submit copaes of audited/un-audited financial statements (balance sheevincome
statement/cash-flow statement as prepared at the end of the tinancial year) to us and shall
provide any other relevant financial/information as may be required by us;
3.6.1.3 You shall not extend any loans or advances, by whatever name to any of your directors or
shareholders or to a firm or company in which such directoG or shareholders may have any
interest (appllcable only when the bodower ls a company);
3.6.1.4 You represent and undertake that all informauon supplled to us in connedion with the
Facility/Faclllties are correct.
4. I{EGATIVE COVE ANTS

In additlon to the other undertaklngs herein, by accepting this Sanction Letter you further
covenant to us that, so long as any amount payable hereunder is outstanding:
4.1 Mercer. Acoulsitlon. Sales of Assets:
You shall not without our prior written consent, merge or consolidate with any other
company or sell, lease, transfer or otherwise dispose of all or any significant portion of any
of your properties or assets in any calendar year, except in each case, ln the ordinary
course of your business as conduded on the date hereof.

5. EVENTS OF DEFAULT
Each of the followang events and occurrences shall constitute an event of default (each an
"Event of Default") under this Sanction Letter:

You fail to pay when due and payable any portlon of the faclllty/loan amount with interest at
the rate as stated herein or revised from time to time and/or any other amount whlch you
are obligated to pay under this Sanction Letter or any other document to be executed by

7. SET-OFF
7.1 You authorize us to apply any credlt balance to which you are entiued on any of your
deposit(s) wlth us In satisfactlon of any sum due and payable from you to us hereunder but
unpaid for this purpose. we shall not be obllged to exerclse any right glven to us by this
Clause (applicable only if any deposit is made by the borrower with United Finance).
7.2 In case of multiple facilities availed or to be availed in the name of the Borrower/Lessee (as
the case may be), Unlted Finance shall reserve the right to set-off, utillze and adjust any of
the said facllitles from any repayment, surplus or balance lying ln any deposit account of the
Borrower/Lessee with United Finance. Further, lf there remains credit facllity, until
repayment of all facilities, United Finance shall not be obliged to transfer any leased/security
assets to the Borrower/Lessee and shall be entitled to repossess the Same for the purpose
of sale and utilize the proceeds thereof towards adjustment of the liability of the
Borrower/Lessee under any other faclllty.
a ADMINISYRATIOI{
8.1 Effective Date
All terms and conditions of this Sanction Letter shall be deemed to have taken effect on the
day mentloned above.
4.2 Entire Aoreement
This Sanction Letter and any other documents contemplated hereby shall constitute the
entire Agreement between the parties hereto and shall supeEede any prior expressions of
intent or understandings with resped to this transaction.
9 ASSIGNHET{TS
9.1 You shall oot be entitled to assign or transfer all or any of your rights, behefits and
obligations hereunder except with our approval.
9.2 We may, at any time, assign all or any of our rlghts, benefits and obligations hereunder.
10. REIi{EDIESA D WAIVERS
10. 1 No failure to exerclse, nor any delay in exerclslng, on our part, any right or remedy
hereunder shall operate as a waiver thereof, nor shall any single or partial exercise of any
right or remedy prevent any further or other exercise thereof or the exercise of any other
nght or remedy. The nghts and remedles hereln provided are cumulative and not exclusive
of any rights or remedies provided by law.
11. PERIOD OF FINANCIAL ARRANGE]IIENT
11.1 The Agreement constituted hereby shall remain in full force and effect until terminated as
provided herein or until the faclllty amount together with return/profit and other charges are
paid back to us by you in the manner provided for in clauses aforesald, whichever period ls
earlier.
11.2 The Aqreement constltuted hereby shall blnd and inure to the benefit of respective
successors of the parties hereto.
11.3 Provisions of the Agreement constituted hereby would be subjed to the Government and
Bangladesh Bank rules and regulations as introduced and enforced from time to tame.

If, at any time, any provision hereof is or becomes illegal, invalid or unenforceable in any

the law of any other iurlsdlction shall in any way be affeded or impaired thereby.
13. NOTICES
Any notice, request or other communication required or permitted to be given or made
hereunder to us or to you shall be in writing. Such notice, request or other communication
shall be deemed to have been duly given or made where it shall be delivered by hand, mail,
cable, telex or fax to the party to which lt is requlred or permltted to be given or made at
the address as mentioned herein before or changed address as applicable. Any
communication or document to be made or delivered to us shall be effectlve only \4hen
received by us.
14. TER]i,IINATION
We reserye the right to terminate the financial arrangement contemplated herein at any
time \,vithout assignang any reason whatsoever and recall the Facilities extended to you and
in that event, you have to settle all outstandlng dues with us immediately.
15. SETTLEHENT OF DISPUTE
Parties shall make their best effort to resolve any dispute arlsing out of this financial
arrangement though mutual discusslon failing whlch the dispute shall be referred to the
Court having iurisdiction over the subject matter. The Artha Rin Adalat constatuted under the
Artha Rin Adalat Ain 2003 shall be the Court having jurisdiction over the subject mafter and
we shall be entitled to recover any amount due from you to us through that Court,
