the forthcoming contractual stipulations with the project
owner.
This collaborative endeavor embodies a harmonious
convergence of specialized expertise, shared goals, and a
steadfast commitment to excellence. It represents a
united effort to orchestrate a transformative journey,
breathing new life into the envisioned architectural
marvels while strictly abiding by the highest standards of
quality, precision, and integrity.
Article 1:
The foregoing preface and the following documents are an
integral and complementary part of this Memorandum of
Understanding and any future contract between the
parties.
Article (2):
The legal description of the project covered by this
collaboration agreement is as follows: Enabling the second
party to execute the renovation project of 216 villas in
MURCIA within a specified and known duration of 12
months from the main project owner.
Article 3: Project Work Mechanism
I. Project Execution Handover
The first party undertakes to transfer the project awarded
to them to the second party. The first party's portion of
the project's value amounts to SAR 3,500,000 (Three
Million Five Hundred Thousand Saudi Riyals), excluding
taxes, out of the total project value of SAR 44,953,900.2
(Forty-Four Million Nine Hundred Fifty-Three Thousand
Nine Hundred Saudi Riyals and twenty halalas), exclusive
of tax. The primary owner reserves the right to refer back
to them, individually or collectively, for any matters
concerning project execution, including compensations or
expenses incurred due to any breaches in execution as per
the agreed-upon terms and specifications.
II. Confidentiality and Penalty
Both parties pledge complete confidentiality regarding
project-related information and this contract, refraining
from disclosing it to any third parties. In case of any breach
leading to the primary project owner's knowledge, the

‫ بما في ذلك التعويضات أو النفقات‬،‫أمور تتعلق بتنفيذ المشروع‬
‫المتكبدة بسبب أي إخالالت في التنفيذ حسب الشروط‬

second party shall be liable for a penalty of SAR 2,000,000
and compensations without resorting to legal
proceedings.
III. Project Site Inspection and Capability
Acknowledgment
The second party affirms having conducted visits and
inspections at the work sites, comprehended the nature of
the required tasks, their prerequisites, and assures their
complete capability to execute the specified work within
the designated timeframe.
IV. Contract Cancellation and Amendment
Neither party possesses the unilateral right to cancel this
contract. Any modifications or termination of this
agreement are subject to mutual consent and agreement
between both parties.
V. Selection of Project Manager
The appointment of the project manager shall be based on
mutual agreement between both parties, ensuring their
experience, competence, and approval by the consultant
and primary owner.
VI. Establishment of Independent Project
Management
Both parties agree to establish an independent project
management structure, responsible for task allocation and
overseeing responsibilities.
VII. Senior Management Meeting
A monthly meeting of senior management from both
parties shall convene, attended by the project manager,
financial manager, and procurement manager. This
gathering aims to facilitate project affairs and monitor
risks effectively.
VIII. Adherence to Project Specifications
The second party pledges to execute all project tasks in
accordance with the foundational documents, timeline,
quantity schedules, and specifications.

.‫إلى تسهيل شؤون المشروع ومراقبة المخاطر بشكل فعال‬

IX. Project Completion Commitment
The second party commits to completing all mentioned
project work within the specified deadline.
Article 4: Project Management.
Selection of Project Manager and their Authorities:
The appointment of the project manager will be a
collaborative decision made by both parties, ensuring a
candidate of paramount expertise and efficiency, satisfying
not only the requisites of both parties but also meeting the
approval of the consultant and the principal owner. The
designated project manager shall possess and exercise the
following authorities:
Oversight and Supervision of Project Execution: The
project manager will diligently review and oversee the
execution of the project. They will collaborate with
representatives from both parties to ensure adherence to
the established timeline and approved specifications.
Furthermore, they shall meticulously follow the
instructions and guidelines laid out by the primary owner
and the consultant to maintain alignment with the
project's objectives.
Engagement in Meetings and Correspondence: The
project manager will actively participate in meetings held
with the primary owner or the consultant responsible for
supervising the project. They will meticulously review the
minutes of these meetings to ensure a comprehensive
understanding of the project's progress. Additionally, the
project manager will supervise the project's execution,
monitor its progress, correspond directly with the primary
owner or consultant regarding any project-related matters,
and promptly provide both parties with copies of all
correspondences and records for documentation
purposes.
It's essential to note that all communication and
correspondence will strictly adhere to the official
documentation protocols approved by the first party,
ensuring clarity, accuracy, and conformity with the
project's outlined objectives and guidelines.

‫ سيقوم مدير‬،‫ باإلضافة إلى ذلك‬.‫فهم شامل لتقدم المشروع‬
‫المشروع باإلشراف على تنفيذ المشروع ومراقبة تقدمه‬

Article 5: Obligations and Rights of Both
Parties.
Discussion and Handling of Challenges During
Implementation
 The First and Second Parties commit to open, transparent
discussions to address any hurdles or issues that may arise
during the implementation phase. This includes a thorough
review of the justifications for delays, if encountered. Each
party shall appoint a dedicated representative responsible for
overseeing, coordinating, and ensuring ongoing
communication with the senior management of both entities.
 Furthermore, to streamline financial procedures, both parties
agree to establish a project-specific joint bank account. This
account will serve as a hub for depositing and transferring all
financial obligations linked to the project. Withdrawals and
deposits from this account will necessitate joint signatures
from the financial and administrative management of both
parties. This protocol aims to ensure rigorous oversight and
risk management, primarily benefiting the first party.
 The financial structure includes the second party being
entitled to withdraw 100% of the project's draw amounts into
their dedicated account. However, prior to this, a sum of SAR
3,500,000 from the advance payment will be deducted as per
the terms of a bank guarantee. It's crucial to note that the first
party does not possess independent authority to withdraw or
annul any sum from this account, except with explicit written
consent from both parties or following the project's final
handover, delivery, or complete closure.
Handling Obstacles or Issues for the Second Party
The First Party commits to addressing and discussing any
obstacles or issues encountered by the Second Party
during the project's execution. This includes a
comprehensive review and confirmation of the
justifications for any delays that may affect the Second
Party.

Obligations and Rights of the First Party:
The First Party undertakes the responsibility of pricing all
project-related work within the stipulated timeframe. This
will be based on submitted price lists, quantity schedules,
and specifications. In consideration of this commitment,

the Second Party will provide SAR 3,500,000 to the First
Party. This sum shall be remitted after exporting a 20%
bank guarantee to the principal project owner.
Additionally, the First Party agrees to relinquish the entire
project's profits to the Second Party as part of this
arrangement.
Obligations and Rights of the Second Party:
The Second Party bears the financial commitments
associated with the project. This encompasses bank
guarantees, relevant fees, administrative expenses,
project insurance, and all financial provisions required for
project execution. Furthermore, the Second Party agrees
to adhere to any necessary work and supply provisions
essential for the successful completion of the projects.
Article 6: Exchange of Correspondences
Medium and Confidentiality
All communications exchanged between the involved
parties shall be documented in either Arabic or English and
transmitted through fax, email, hand-delivery, or to the
designated addresses mentioned at the commencement
of this contractual agreement. In the event of any
disparities or differences between the languages used, the
content conveyed in the Arabic language shall hold
precedence and be deemed authoritative.
Both parties affirm their commitment to the utmost
confidentiality regarding any and all information, data, or
correspondence associated with this project. It is explicitly
agreed that neither party shall divulge or make accessible
any such confidential materials or information to any
external or third party.
The chosen modes of communication will serve as the
official channels for the transmission of information,
ensuring clarity and adherence to the stipulated terms and
conditions outlined within this contract. Additionally, the
parties acknowledge the significance of safeguarding the
sensitive nature of the shared data, underscoring the
importance of confidentiality and discretion in their
communications throughout the course of the project.

‫اإللكتروني أو التسليم باليد أو إلى العناوين المحددة المذكورة في‬
‫ في حالة وجود أي اختالفات أو‬.‫بداية هذه االتفاقية التعاقدية‬
‫ تكون األولوية للمحتوى‬،‫اختالفات بين اللغات المستخدمة‬

‫ستكون طرق االتصال المختارة بمثابة القنوات الرسمية لنقل‬

Article 7: Disputes
Resolution and Jurisdiction
Should any dispute arise between the involved parties that
cannot be resolved through amicable means, the matter
shall be subject to the jurisdiction of the commercial court
situated at the project site. Both parties acknowledge and
agree that any legal proceedings stemming from such
disputes shall be exclusively adjudicated by the said
commercial court.
The stipulation of this jurisdiction aims to facilitate the
expeditious resolution of any conflicts or disagreements
that might arise during the execution of this contract. It is
mutually understood that this provision ensures a fair and
equitable forum for resolving disputes, allowing for the
timely and efficient settlement of any issues that might
impede the successful completion of the project.
Article 8: Acknowledgment
Comprehensive Understanding and Acceptance
Both parties, having thoroughly reviewed and understood
all the clauses, terms, and conditions outlined within this
contract, hereby affix their signatures. It is mutually
acknowledged that each party comprehends the entirety
of this agreement and affirms complete awareness of its
contents, thereby disclaiming any plea of ignorance or
misunderstanding. This acknowledgment solidifies the
mutual commitment of both parties to abide by the terms
set forth in this contract, ensuring a shared understanding
and compliance with all its provisions.

This contract has been prepared in two original copies in
the English & Arabic language, and each party has received
a copy for execution. It becomes effective upon signing.

‫على أن أي إجراءات قانونية ناشئة عن مثل هذه النزاعات يجب‬

‫بعد أن قام الطرفان بمراجعة وفهم جميع البنود والشروط‬

Article 10: Ownership Upon Collaboration
Signing for Project Implementation
Transition of Contract Ownership
Following the formal signing of the collaboration for
project implementation and the defined share allocation
of Bedaa General Contracting Group in this collaboration,
this contract exclusively becomes the property of Bedaa
General Contracting Group. Identified as (Company:
[Name], Commercial Registration Number: [Number]),
Bedaa General Contracting Group assumes sole
ownership, rights, and responsibilities associated with this
agreement, signifying its exclusive authority and control
over all stipulations and clauses herein.
Article 11: Transfer of Funds
A Banking Agreement for Exclusive Fund Allocation
A comprehensive banking agreement shall be established,
stipulating that upon the transfer of Bedaa General
Contracting Group's designated share from the initial
payment, all ensuing project proceeds and financial funds
shall be meticulously and solely allocated to the second
party. This explicit allocation will encompass the
meticulous consideration of tax transfer to effectively
settle any ensuing obligations. This particular provision
explicitly absolves the first party of any ongoing
responsibilities, marking a clear delineation of financial
commitments and mitigating any further encumbrances
upon them.
Article 12: Validity Clause
Activation of Collaboration Terms
This collaboration shall only come into effect upon the
procurement of the bank guarantee, the successful
transfer of the advance payment, and the complete
allocation of Bedaa General Contracting Group's entitled
share. Following the fulfillment of these stipulations, the
