SEC Lawsuits
SEC Lands a Double Blow, Suing Binance and Coinbase
Picture a tranquil Monday morning, five cups of coffee deep, with the soothing sounds of nature and
playful dogs in the background. Then, a sense of déjà vu jolts the crypto world. News breaks about the
SEC filing lawsuits against Binance and its CEO, CZ. So, what are the allegations? Let's dive in!
Breakdown of Allegations:
1. Binance accused of selling unlicensed securities - The SEC seems uninterested in delving into how
cryptocurrencies fit their definition of a "security" when it comes to crypto exchanges.
2. Binance knowingly peddling unlawful securities An eyebrow-raising comment from Binance's CCO in
late 2018 adds weight to the claim, "we are operating as a fking unlicensed securities exchange in the
USA bro"
3. Several popular tokens ($SOL, $ADA, $MATIC, $ATOM, $SAND, $MANA, $ALGO, $AXS, and more)
dubiously labeled as "securities" (Except Ethereum, cue Vitalik's grin and fist-pump somewhere)
4. BNB Vault & Simple Earn platforms under scrutiny These crypto staking platforms may double as
investment schemes or securities, bringing back memories of Kraken's takedown...
5. Funds mingling allegations The SEC asserts that Binance/CZ mixed billions earned from yield programs
in an account controlled by CZ's company, Merit Peak Limited, before transferring them to third
parties.
6. Inflated trading volume claims Binance.US allegedly engaged in wash trading with a company called
Sigma Chain. In 2021, over $190M was transferred from two Binance entities to Sigma Chain, which
then splurged $11M on a yacht.
What's on the SEC's agenda?

1. Banning Binance from crypto participation and acting as a broker/clearinghouse
2. Imposing civil monetary penalties
3. Demanding disgorgement (disbursement) of ill-gotten gains
TLDR - The SEC seeks substantial fines against CZ. Binance's response? CZ's signature "4" tweet, implying
it's all nonsense. Binance also released a blog post echoing the sentiment.
Since the announcement, Binance has witnessed net outflows exceeding $900M, and $BNB experienced
an 8% dip on Monday. It's Dump O'clock, folks. Who else is getting FTX flashbacks? cough, cough
Now, let's shift our focus to Coinbase (unfortunately)...

lawsuit against Binance, Coinbase is the latest target. FTX can breathe a sigh of relief... for now.
Here's what the SEC alleges:

1. Coinbase operating as a non-registered securities exchange Despite the absence of regulatory

2. Acting as an unregistered broker by facilitating the buying and selling of securities for users
3. Operating as an unregistered clearing agency to ensure seamless securities transactions
4. Unregistered offer and sale of their staking program, following Kraken's footsteps
The SEC claims Coinbase has been breaking rules since 2019, yet they approved Coinbase's 2021 public
listing and IPO, even though many of these "securities" were already tradable.
Ironically, the U.S. government has used Coinbase to sell confiscated Bitcoin and will continue to do so
(the hypocrisy!)
Coinbase has 28 days to respond, and you can bet they will.
TLDR - What does this all mean for us crypto investors?

The SEC's lawsuits against Binance and Coinbase are an important reminder to us that the
cryptocurrency industry is still in its infancy, and that there is a lot of uncertainty about how it will be
regulated. Always tread lightly, especially if you're not a seasoned investor.
