Contract Agreement

This Contract Agreement (hereinafter referred to as the "Agreement") is made and entered into
as of [Date] (the "Effective Date") by and between:

Inaaya Med Global Private Limited

(Hereinafter referred to as the "First Company")

And

Professor Almarashi Medical Charitable Corporation

(Hereinafter referred to as the "Second Company")
Address: [Address]

Whereas, the Health Ministry of Yemen has approached Professor Almarashi Medical
Charitable Corporation and has requested their coordination and arrangement of a team of
skilled surgeons from India to come to Yemen and perform surgical procedures on Yemeni
patients, including soldiers and those in need;

And whereas, Inaaya Med Global has been identified as the Indian partner responsible for
overseeing the selection, interview, and persuasion of highly skilled and experienced surgeons,
as well as the preparation of multiple teams of surgeons from various specialties and
management of all Indian aspects of communication with Professor Almarashi Medical
Charitable Corporation;

Now, therefore, in consideration of the promises and covenants set forth herein, the parties
hereto agree as follows:

1. Roles and Responsibilities:

1.1 Professor Almarashi Medical Charitable Corporation (Second Company):

a) Coordinate with the Ministry of Health in Yemen to identify the surgical requirements and
patients in need.
b) Facilitate all necessary arrangements for the arrival and accommodation of the Indian
surgical teams in Yemen.
c) Manage the logistics and administration related to the surgical procedures, including pre
and post-operative care.
d) Ensure the provision of adequate medical facilities, equipment, and supplies for the
surgeries.

1.2 Inaaya Med Global (First Company):

a) Identify and interview skilled and experienced surgeons in India for their availability and
willingness to participate.
 b) Persuade the shortlisted surgeons to join the surgical teams and provide them with all
necessary details and arrangements.
c) Prepare and organize multiple teams of surgeons from various specialties, ensuring a
balanced distribution of skills and expertise.
d) Manage all communications and coordination with Professor Almarashi Medical Charitable
Corporation, including sharing regular updates on the progress.
e) Handle any administrative tasks required before and after the surgical missions, including
visa arrangements and necessary paperwork.

2. Term and Termination:

2.1 This Agreement shall begin on the Effective Date and shall continue until either party
provides written notice of termination with at least [Number of Days/Months] prior notice.

2.2 Either party may terminate this Agreement immediately in the event of a material breach by
the other party.

3. Confidentiality:

Both parties understand and agree to maintain the confidentiality of any information pertaining
to patients, surgical procedures, and any proprietary or sensitive information exchanged during
the course of this Agreement.

4. Compensation:

4.1 The compensation terms for the services rendered by Inaaya Med Global will be outlined
separately in a mutually agreed-upon agreement.

4.2 Professor Almarashi Medical Charitable Corporation shall reimburse Inaaya Med Global for
any pre-approved expenses incurred in organizing and managing the surgical teams.

5. Governing Law and Jurisdiction:

This Agreement shall be governed by and construed in accordance with the laws of
[Jurisdiction]. Any disputes arising out of or in connection with this Agreement shall be
submitted to the exclusive jurisdiction of the courts of [Jurisdiction].

6. Entire Agreement:

This Agreement constitutes the entire understanding between the parties relating to the subject
matter hereof and supersedes all prior discussions, negotiations, and agreements, whether oral
or written.
