Memorandum Of Understanding

This Memorandum of understanding (the “Agreement”) is made and entered into this
………….. ……………… 2023 (the “Effective Date”)

by and between

Hanumant Hospital, a hospital under trust of Pidilite Industries Ltd. at Tal. Mahuva,
Dist. Bhavnagar The party of the First Part

and

Apramey Cancer Services, represented by Dr. Ravindrasinh Raj, Dr. Gautam Unagar
and others at Surat The party of the Second Part

WHEREAS, the Hospital provide all type of medical services i.e. Party of First Part
WHEREAS, the Consultant has expertise in the area of Cancer related work i.e. Party
of Second Part;

WHEREAS, the hospital desires to develop the cancer department.

NOW, THEREFORE, the Parties hereby agree as follows:

Investment and Services

1. Hospital provide a minimum area of 5000 sq. fts. Plinth area (Carpet area) and
construction to made thereon, including Linac bunker and Cancer Services.
The construction area should be tentative atleast 7000 sq. fts. Carpet area
with all interior.

Team of Hanumant Hospital :-

1. General Surgeon - 1.
2. Physician – 1.
3. Anesthetist – 1 (or on call)
Primary emergency care and periodic care of admitted patient.
4. Para medical staff including medical officers and nurses.
5. House Kipping staff.
6. Marketing, Reception and Admin staff

2. The Consultants which are party of the second part will invest their side for
1. Linac,
2. Dosimetry,
3. Planning System and
4. Team required for Cancer Services
● Surgical Oncologist (5 days in a week)
● Radiation Oncologist (5 days in a week)
● Medical Oncologist (5days in a week)
● Radiation Safety Officer
● Radiation Physics
● Radiation Technologist

Roles and Responsibilities of Apramey Cancer Services

1. To get approval from AERB.

2. To provide quality diagnostic and treatment services to all the patients
attending cancer department.
3. To ensure availability of health care team.

Roles and Responsibilities of Hanumant hospital:

1. getting approved plan from local body - Graham Panchayat or Nagar Palika.
2. Maintenance of new premises.
3. Provison of existing infrastructure including operation theater, ICU,
emergency, inpatient, laboratory and radiological services for Diagnostic
radiation, surgical and Chemo patients.

Terms and condition:-

1. All marketing plans will be decided at monthly review meeting.

2. One representative of Apramey will monitor daily operations.
3. One point contact from Team Hanumant Hospital should be available.
4. Maximum 3 representative from each side will attend monthly performance
meetings.

 5. Every quarter board meeting should be comprised of maximum 4 directors
from each side.
6. Every decision taken during monthly performance review meeting should be
executed before next monthly performance review meeting by either party.
7. All medical legal cases will be taken as combined cases and dealt with joint
efforts.
8. Payment from government or patient will be billed and received by Hanuman
hospital and will be paid on monthly basis to Apramey.
9. CA from apramey Will audit the account every month.

Revenue sharing:

1. 80% of radiation packages and 50% of surgery and Chemo packages of

revenue will be received by Apramey.
2. 20% of radiation packages and 50% off surgery and Chemo packages received
by Hanuman hospital.

Diagnostic of radiological services are including in government scheme

so no separate revenue sharing model or MOU will be made.

Exit policy:

1. There is no exit from either side before 5 years from the Installation &
Working of Radiation Machine.
2. Either party should pay up the difference between total investment (CAPEX &
OPEX) with interest of 8%. pa with earning.

IN WITNESS WHEREOF, and intending to be legally bound, the Parties have duly
executed this Agreement by their authorized representatives as of the date first
written above.
