Model Agreement

THIS AGREEMENT between ________ (herein referred to as “MODEL”) who is engaging Love
Haley (herein referred to as ”AGENCY”) on the date per the electronic signature date to act as
an independent contractor for the specific project of providing social media strategy consulting
management services.

1. Purpose:

AGENCY is dedicated to simplifying MODEL's career journey, ensuring she feels comfortable
while earning the maximum possible income. We achieve this by implementing high-level
OnlyFans and social media strategies and establishing streamlined systems that reduce
complexities. Our aim is to make it effortless for MODEL to achieve her goals while enjoying
financial success.

2. Services:

AGENCY will simplify MODEL's career while maximizing earnings through high-level OnlyFans
and social media strategies, coupled with efficient systems to streamline MODEL's work with the
goal of making it easy for the MODEL to be comfortable while earning the most possible.

3. Exclusive Income Generation:

MODEL agrees to exclusively generate income within the adult entertainment and modeling
industry through AGENCY during the contract term. MODEL shall not engage in competing
income-generating activities or seek services elsewhere in this industry during this period.

4. TikTok, Instagram & OnlyFans Obligations:

During the contract term, MODEL agrees to the following TikTok, Instagram and OnlyFans
obligations:

● Go live on TikTok for a minimum of 30 minutes each day.

● Post a minimum of six (6) high-quality TikTok content pieces per day.

● Create and post a minimum of (6) high-quality Instagram Reels content pieces per week.

● Deliver custom OnlyFans content to the OnlyFans Dropbox within 24-48 hours after a

request has been made by subscribers on the OnlyFans platform.

● Provide specific and exclusive OnlyFans content on a weekly basis.

5. Access and Information Sharing:

MODEL agrees to the following access and information sharing:

● AGENCY will provide MODEL with a SIM Card if needed.

● MODEL will share login credentials for OnlyFans.

● MODEL will share login credentials for all other relevant Instagram and TikTok accounts.

● MODEL will upload content to designated Dropbox folders, with at least one content

piece per folder.

● MODEL will ensure compliance with posting requirements, including a minimum of six TikTok
posts per day and daily live sessions on TikTok.

6. Term:

The agreement lasts for X months, starting on [xx/xx/2023] and ending on [xx/xx/2024].

7. Partnership:

This Agreement does not constitute a partnership or joint venture between MODEL and
AGENCY.

8. Age Requirements:

MODEL confirms she's 18+ and provides ID (front and back copies of identification).

9. Copyright:

AGENCY co-owns content created during the agreement, with exclusive rights to use it for all
social media accounts, AGENCY's business, and MODEL's career during the agreement.

10. Payments:

MODEL will fully understand the payout process. Model will receive 40% of net profit. Agency
will receive 60% of net profit. Payout is once a month. Pay out is on the X day of each month.
AGENCY bank information will be connected on the platform (OnlyFans).

11. Marketing and Promotion Budget:

● AGENCY will allocate a budget for marketing and promotion activities, including but not
limited to online advertising, social media campaigns, and other promotional efforts.
● MODEL agrees to the allocation of the amount being spent for these activities during the
contract term.

● Additionally, MODEL acknowledges that a portion of the budget will be used to cover the
cost of software used by the AGENCY to manage MODEL's individual account.
 ● The total amount of funds spent during each month will be deducted from total net
payout.

12. Termination:

Upon termination of the agreement, AGENCY keeps promotional channels created during the
term of the contract, and MODEL gains revenue platform control after a period of 690 days from
the termination date.

13. Distribution:

MODEL understands that all content will be distributed online via social platforms, promotional
channels, and revenue-generating websites. AGENCY cannot share MODEL explicit content
with anyone who is not a part of AGENCY team.

14. Exit Fee:

If the MODEL chooses to terminate this Agreement prematurely, an exit fee of [Exit Fee
Amount] shall be payable to the AGENCY.

15. Liabilities:

● The AGENCY shall not be liable for any legal disputes, financial obligations, or actions
related to the content.

● The MODEL agrees to indemnify and hold the AGENCY harmless from any liabilities
arising from the content.

16. Governing Jurisdiction:

This Agreement shall be governed by the laws of the state of Florida, and any legal proceedings
related to this Agreement shall take place in Miami, Florida, USA.

17. Execution:

This agreement is held on DocuSign where MODEL electronically signs in the designated fields
completing the execution of this contract. Your electronic signature will be considered valid and
binding, just as if you had signed a physical copy of the contract.

IN WITNESS WHEREOF, the parties hereto have subscribed their signatures on the day and
year first above written.

This contract has been reviewed and approved by legal counsel to ensure its compliance with
applicable laws and regulations. It is legally binding upon both parties.
