CONTRACT AGREEMENT OF

This IT-BPM Contract ("Contract") is entered into on
October 8, 2023, between:

BLOMMING BLOSSOM FLOWER SHOP, a company


registered under the laws of the Philippines, with its
principal place of business in Dumaguete City
(hereinafter referred to as the " FLOWER SHOP
Company").

AdVantage Media Group, an advertisement company


registered under the laws of the Philippines, with its
principal place of business in Dumaguete City (here in
after referred to as the "Service Provider").
DESCRIPTION OF WORK
The vendor will deliver an advertising campaign to
promote products, services, or brands and create
persuasive messages for the Blooming Blossom Flower
Shop Company.

Duties and Responsibility

Client Responsibilities:
Objective Definition: The purpose of this advertising
campaigns is to promote the product and services of the
company and persuade the people to buy.

Resource Provision: Provide necessary assets, such as


branding materials, product information, and access to
relevant systems or platforms.
Communication: Maintain regular and open
communication with the service provider to discuss
creative concepts, campaign progress, and feedback.

Budget and Payment: Allocate and provide the agreed-


upon budget for the advertising campaign and ensure
timely payment according to the contract terms.

Feedback and Review: Review and provide feedback on


creative materials, ad copy, and campaign performance
reports to align with brand guidelines and objectives.

Compliance: Ensure that all advertising materials and


practices adhere to legal and regulatory requirements,
including advertising standards and consumer protection
laws.

Service Provider Responsibilities:


Campaign Execution: Develop and execute the
advertising campaign in line with the client's objectives
and branding guidelines.

Creative Output: Create compelling and effective


advertising materials, including ad copy, graphics, and
multimedia content.

Reporting: Provide regular reports on campaign


performance, including metrics like reach, engagement,
and conversion rates.

Problem Resolution: Address and resolve any issues or


concerns that may arise during the campaign to minimize
disruptions and optimize results.

Adherence to Standards: Ensure that all advertising


materials and practices comply with industry standards
and regulations.
Optimization: Continuously monitor and optimize the
campaign to maximize its effectiveness and ROI

Terms and Conditions


1. Scope of Work
 Campaign Strategy and Planning
• Conduct market research to identify the target
audience and competitors.
• Develop a comprehensive advertising strategy and
plan.

 Creative Development
• Design creative visuals and content for the
advertisement campaign.
• Create compelling ad copy and graphics that align
with the flower shop's brand.

 Ad Placement and Management


• Utilize digital advertising platforms to place and
manage advertisements.
• Monitor ad performance and make necessary
adjustments for optimization.

 Reporting and Analysis


• Provide regular reports on the campaign's
performance, including key metrics and ROI(Return
on Investment).
• Analyze data to make informed decisions and
improvements to the campaign.

 Budget Management
• Manage the allocated budget for the campaign
efficiently.
• Ensure that the campaign stays within budget
constraints.

2. Payment Terms

Payment terms in an ITBPM (Information Technology


and Business Process Management) contract with
Blooming Blossom Flower Shop would be somewhat
different from those in a typical retail transaction. In an
ITBPM contract, the payment terms are typically more
complex and structured. Here are some possible
payment terms you might encounter:

Fixed Monthly Fee: You might agree to pay a fixed


monthly fee for the ITBPM services provided by Blooming
Blossom Flower Shop.
Hourly or Per Task Billing: Payments could be based on
the number of hours worked or the specific tasks
completed.

Milestone Payments: Payment is made upon reaching


predefined project milestones or completion of specific
phases of work.

Retainer: You might pay a retainer fee to secure ongoing


services, with additional fees for services rendered.

Payment upon Delivery: Payments are made upon


successful delivery of ITBPM services or completion of
projects.

Performance-Based Payment: Payment terms may be


linked to the performance or achievement of specific key
performance indicators (KPIs).
Escrow or Trust Account: For large projects, payments
might be placed in an escrow or trust account and
released based on predefined conditions.

Net Payment Terms: Depending on the agreement, net


30, net 60, or net 90 payment terms could be applied,
meaning payment is due within 30, 60, or 90 days of
invoice receipt.

Penalties and Discounts: Terms might include penalties


for late payments and discounts for early payments.

The specific payment terms in your ITBPM contract with


Blooming Blossom Flower Shop would depend on the
nature of the services, the agreement reached, and the
negotiation between both parties. It's important to
carefully review the contract to understand the payment
terms and obligations.

3. Intellectual Property Rights


3.1 The Client shall retain all rights to any pre-existing
intellectual property provided to the Provider.

3.2 The Provider agrees to grant the Client a license to


use any intellectual property created during the project
for the purpose of the advertisement campaign.
4. Confidentiality

4.1 The Parties agree to maintain the confidentiality of all


project-related information and not disclose it to any
third parties.

5. Representations and Warranties

5.1 The Provider represents that it has the necessary


expertise and resources to perform the services.

5.2 The Client represents that it has the authority to


engage the Provider for this project.
6. Liability and Indemnification

6.1 The Provider's liability is limited to the total fees paid


by the Client for the project.

6.2 The Client agrees to indemnify and hold the Provider


harmless from any claims or losses related to the project.

7. Termination

7.1 Either Party may terminate this Agreement with


written notice if the other Party breaches its obligations.

8. Governing Law

8.1 This Agreement shall be governed by and construed


in accordance with the laws of [Jurisdiction].

9. Amendments
9.1 Any changes to this Agreement must be made in
writing and signed by both Parties.

10. Entire Agreement

10.1 This Agreement constitutes the entire


understanding between the Parties and supersedes all
prior agreements or understandings, whether written or
oral.
