Dear Sir,
With reference to the above this is to inform that, your bid for the work of annual contract
for engaging outsourced agency for attending annual maintenance & emergency/breakdown work at
various Substations under EHV O&M Dn. Kalwa is accepted with details as per schedule ‘A’
attached herewith subject to following terms & conditions & terms & conditions of this office
tender documents under reference [1].
1] Value of work contract:
On the basis of the estimated quantity mentioned in the Schedule “A” the total cost of the
contract to be executed by you is Limited to contract value Rs. 9,96,761.76/- (Rs. Nine Lakh
Ninety Six Thousand Seven Hundred Sixty One & Paisa Seventy Six Only) inclusive of
GST & cess. The said value is inclusive of all material, T&P, labour & transportation charges
taxes etc. up to site.
2] Execution of work under this contract :
a] You will have to execute the work as per instructions & under supervision of Substations In-
charge. Work should be carried out as per PWD & MSETCL’s works and specifications.
b] No Tools will be provided to you. All manpower as well as T&P & all material required for the
job will be arranged by you.
3] Period of work: Up to 31.03.2024. Time being the essence of the contract the time limit shall
be strictly adhered to.
4] Penalty: If the work is not carried out within stipulated time, you will be liable for penalty @
1/2% per delayed week or part thereof subject to maximum upto 10% of the contract value
excluding GST and subject further to ‘Force Majeure’ conditions. 18% GST will be extra
charged.
5] Security Deposit : Security deposit of Rs. 99,676/- shall be paid by you in the form of
FDR/bank guarantee. In the event of unsatisfactory performance of the contract this amount
shall be forfeited. SD/bank guarantee will be refunded after satisfactory completion of work.

 6] Submission of bills : After the completion of work as per work order you will have to submit
bills in triplicate in the name of E.E.EHV O&M Dn., MSETCL Kalwa along with advance
stamp receipt, work sheet, certificate from the Engineer-in-charge for having completed the
work satisfactorily must be submitted.
7] Payment : Payment in the form of R.A. bills for each substation for the work actually carried
out will be given to you [after deducting I.T./W.C.T. & other applicable taxes as per Govt.
rule] by cheque against receipt of the bills as above certified by the work In charge for
[
satisfactory and timely work completion subject to availability of funds.
8] You shall be abiding with all Govt. Rules statutory, regulations, status for this work including
workman compensation act. Any deviation will be at your cost and risk.
9] The insurance of your labours will have to be done at your cost. If failed to do so, any
compensation or claim arise will be at your responsibility.
10] Payment Authority : E.E. EHV O&M Dn., Kalwa.
11] The registration of your works with sale tax office is necessary under the work contract rule,
1986 and WCT if applicable will be deducted from your bill as per rule.
12] Work should not be carried out in Electrically Live AREAS. before carrying out work it should
be ensured that live lines/equipment are completely isolated from mains as per I.E. rules.
13] Any accident compensation, damages, losses to the MSETCL property and person will have to
be fully indemnified. In that case the decision of the undersigned will be final and binding on
you.
14] All statutory rules and regulations of MSETCL work contract are also applicable for this
contract.
15] You will be responsible for safety of your employees and also safety of the, MSETCL’s
property. If any damage occurs to the MSETCL’s property or person during the execution, of
contract you will be have repair it at your own cost. Further, while executing the work if any
accident occurs to the outsider or your employee the compensation for the same shall be given
by the contractor & MSETCL will not bear any responsibility for the same.
16] Agreement for the work on stamp paper of Rs. 500/ - is to be submitted. Until the agreement is
executed, the MSETCL will not be liable to pay, nor shall the contractor be entitled to claim
amount due or payable under the contract. The agreement should be executed before
starting of work. The necessary stamp duty for the agreement shall be borne by the
contractor.
17] EXECUTION OF THE WORK: Immediately after receipt of the work order, the contractor
shall take prompt action in planning the work in consultation with the respective Substation In-
charge of various substations. He should also take steps for timely procurement of the
necessary material and tools and plant. The program should be finalized quickly and the
respective Substation In-charge of various substations should be approached to make the
structures/ equipment safe for works wherever necessary. Having finalized the program the
schedule shall be strictly adhered to, as arranging frequent outage is not possible. The work
should be carried out to the full satisfaction of Executive Engineer.
18] MATERIAL APPROVAL & SUPERVISION OF THE WORKS:
The works shall be under the overall supervision & shall be subject to the approval of the
Executive Engineer, concerned or his designated representative. The material to be used in
execution of the works must be got approved from the Executive Engineer EHV (O&M)
Dn. Kalwa and only approved material should be used.

19] Operating Authority: - This contract will be operated by the respective Substation In-charge
of various substations for their respective works.

20] CONTRACTOR’S EMPLOYEES:

The contractor shall employ and provide onsite only such employees who are skilled and
experienced for execution and supervision of works. The contractor shall provide housing
accommodation to his employees. He shall also be responsible for any injury/accident to his
employees. Payment of compensations etc. as may required to be paid eventually shall be
borne by the contractor himself. The contractor should ensure that his staff uses the requisite
safety equipment. The employees should be duly insured against any such eventuality. The
proof of insurance should be submitted to this office along with order acceptance letter.

21] SITE CLEARANCE:

The contractor shall, during the progress of work, keep the site reasonably free of all
unnecessary obstructions and shall store the material neatly so as not to cause any obstruction
for normal working/operations. Similarly on completion of the works, the contractor shall clear
away and remove from the site all surplus materials, rubbish, and temporary work of any kind.
The site should be kept clean.

22] SUB-LETTING OF CONTRACT: The contract, or any part thereof shall not be assigned,
transferred, or sub- let without the prior written permission of the undersigned. Even if such
permission is granted, it shall be the responsibility of the principal contractor to whom the
work order was originally issued, to execute the works as per the terms of the contract.

23] INSURANCE: The contractor has to do the insurance before starting of work from
government insurance fund for the total value of the order plus 10% to cover freight sales
tax and other incidental charges & for workmen engaged to complete the contract work
under appropriate insurance policy from United India Insurance Co. Ltd., as per the address
given below. The insurance premium shall be paid by the contractor at his cost.

24] No accommodation / transportation will be given by MSETCL to any agency.

25] TAX DEDUCTION AT SOURCE: In accordance with Income Tax Act 1961 I.T. will be
deducted at source at the prevailing rates from the bills. Similarly, any other taxes deductible
at source such GST & cess, if applicable to this particular contract, as per statutory provisions
(laid down by Central or State Government) will also be deducted from the bills at the
prevailing rates.

26] TERMINATION OF CONTRACT: The undersigned reserves the right to cancel the contract,
after giving due notice to the contractor, in the event of the breach of contract in any respect.

27] APPLICABILITY OF GENERAL CONDITIONS OF CONTRACT: Notwithstanding

anything stated herein, the Board’s General Terms and Conditions of Contract shall be
applicable to the contract, as far as they are applicable to this contract.

28] JURISDICTION: All disputes, differences related to the tender/contract shall be subject to the
exclusive jurisdiction of Thane District Court/High Court Mumbai.
