LEAVE AND LICENSE AGREEMENT

BETWEEN

Dr. R. V. RAMANUJAN

AND

Mr. AKSHAY KUMAR


LEAVE AND LICENSE AGREEMENT

THIS AGREEMENT is made and entered into at Chennai on the 3rd of August 2021
between Dr. R. V. RAMANUJAN, s/o Prof. R. Vijayaraghavan, aged about 59 years,
hereinafter referred to as the LICENSOR [which expression shall unless repugnant to
the context or meaning thereof include his heirs executors, administrators and
assigns] of the One Part,

AND
Mr. AKSHAY KUMAR, s/o. Mr. Ashok Kumar, aged about 35 years, K 26/8, PHATAK
RANGIL DAS, CHOWKHAMBA, VARANASI -221001; hereinafter referred to as the
LICENSEE [Which expression shall unless repugnant to the context or meaning thereof
include its successors and assigns] of the Other Part,

WHEREAS
[a] THE LICENSOR is the owner of the schedule mentioned B7, Block 2,
No. 320/2A, 2B, Appaswamy Real Estates, Cityside, Kottivakam,
Chennai - 600 096; consisting of 3 BHK [hereinafter called ‘the said Premises’].

[b] At the request of the LICENSEE, the LICENSOR has agreed to allow the LICENSEE
to use the said Premises along with fixtures and fittings consisting of fans, tube
lights and sanitary fittings on leave and license basis on the terms and
conditions hereinafter appearing.

NOW THEREFORE THIS AGREEMENT WITNESSETH AND IT IS HEREBY AGREED BY AND


BETWEEN THE PARTIES HERETO AS FOLLOWS:

[1] This agreement shall be deemed to have commenced from 1 September 2021.

[2] The LICENSOR hereby gives and the LICENSEE hereby takes the said premises
on leave and license basis for a period of 11 months with effect from 1
September 2021.

[3] THE LICENSEE shall pay to the LICENSOR on or before the 10th day of each
calendar month a sum of Rs 30,500/- p.m. [Rupees THIRTY THOUSAND FIVE
HUNDRED ONLY] being the payment towards license fees and/or
compensation for the use of said premises. Parking charges, if any, will be paid
separately to the Licensor.

[4] Notwithstanding the period herein above agreed upon:

[a] The LICENSOR shall be entitled to determine/ terminate this agreement


in the event of the LICENSEE committing breach of any of the terms and
conditions contained herein, by giving one month’s advance written
notice to the LICENSEE.

[b] The LICENSEE or LICENSOR can terminate the lease after giving two
month notice in writing or rent in lieu thereof.

[c] This agreement is valid as long as Licensee holds job in Chennai.

[5] THE LICENSOR shall pay society maintenance charges, parking charges, water
charges, assessments etc., payable to the concerned authorities in respect of
the said premises. The charges for consumption of electricity and telephone, if
any, during the existence of this agreement shall be paid by the LICENSEE. Any
unpaid amount of the electricity charges, telephone charges or other charges
or damage in the premises shall be deducted from the security deposit.

[6] The LICENSEE will carry out necessary repairs at their own expenses.
[7] THE LICENSOR hereby confirms that they have taken necessary permission
from the concerned authorities, if any, required for giving the said premises on
leave and license basis to the LICENSEE.

[8] Upon termination of this agreement, the LICENSEE shall be entitled to remove
and take the furniture fittings, if any, lying in the said premises and exclusively
belonging to the LICENSEE for which the LICENSOR shall have no objection.

[9] It is agreed that stamp duty in respect of this agreement and registration of
this agreement shall be borne by LICENSEE only.

[10] If the compensation for the licensed premises remain unpaid for a period of
one month after the same has become due, it shall be lawful for the Licensor
to terminate and revoke the agreement by giving one month notice in writing
and upon such termination the licensor shall be entitled to receive from the
Licensee the vacant possession of the Licensed premises.

[11] Nothing contained herein shall be construed as creating any right, interest or
tenancy in favour of the Licensee in or over the Licensed premises or any part
thereof or transferring any interest therein in favour of the Licensee, other
than permission granted to use and occupy the premises as Licensee for the
period specified. The License is purely temporary for the period provided
therein for occupation as residence. It is understood that the Licensee shall not
file a suit against the Licensor for any tenancy rights or for fixation of standard
compensation. It is specifically agreed and understood that this agreement is
for leave and license and no other rights is created or intended to be created
into or upon the premises in favor of the Licensee.

[12] The Licensee must pay a sum of Rs. 1,50,000/- (Rupees One Lakh Fifty
Thousand only) as security deposit on 3 August 2021. The Lessor will retain the
Security Deposit and shall not pay any interest on this security deposit. This
security deposit shall be returned to the Licensee after vacating the said Flat.
Unpaid charges, charges to rectify damages caused during the lease and any
additional charges to clean the property will be deducted. Balance amount will
be returned to the Licensee after vacating the Flat.

[13] It is agreed between the parties that breach of any terms and conditions of the
lease deed shall entitle the landlord to terminate the license forthwith and in
such event the Licensee shall not have a right to insist upon the termination of
tenancy or notice of intention to terminate the license from the Licensor.

[14] The Licensee shall not make any additions or alterations without prior, written
consent of the Licensor. The Licensee shall be responsible to keep the premises
in a neat and good condition and Licensee shall allow the Licensor or his
authorized representative to inspect the premises.
[15] The Licensee shall not use the premises for any other purposes other than the
purpose for which it has been let out.

[16] The Licensee shall obtain permission from the Licensor in writing in case of any
change of name or change in the nature of business. The address for service
on the Licensee will be the address mentioned in the schedule hereunder.

[17] The Licensee shall not sublet the premises or assign the same to third parties.

[18] The Licensee agrees not to do any illegal, unlawful and objectionable trade or
business in the premises and further shall not store any explosive, inflammable
or combustible substances.

[19] Parking space is only for vehicles owned by Licensee. Licensee shall ensure that
the parking space is not used by any other vehicle.

IN WITNESS WHEREOF the parties hereto have and hereunto set and subscribed their
respective hands the day and the year first herein above written.
