TERMS AND CONDITION

I. THE ORGANIZER shall provide the following :

i. Artists / Performers
1. BEN & BEN
2. MAKI
3. CUP OF JOE (TBC)
4. KENANIAH ( TBC)
ii. Transportation
1. Airfare ( 60 Entourage )
2. Van Services ( 5 Grandia Toyota )
iii. Hotel Accommodations & Food ( Artists & Production)
1. Accommodation w/ Bfast at 85 pax
2. Lunch Buffet at 60 pax
3. Dinner at Airport with VIP at 50 pax
iv. Host
v. Lights, Sounds, Staging & 3pcs 10x14 ft LED’s
1. 3 Tents & 2 Portalet
2. 4 set GenSet
vi. Photo & Video Coverage
vii. Live Streaming
viii. Production Staff at 25 pax

II. THE Second Party shall provide:

a. 50% down payment amounting to Php 4,100,000.00 net and upon


submission of requirements (signed agreement, bank details, and valid
ID’s
b. Full payment 15 days before the event stated above amounting to
Php 4,100,000.00 net
c. Any assistance needed by the Organizer as follows :
i. Alignment meetings
1. Department
2. Security & Safety
3. Other matters
ii. Letter of Request to the following :
1. CAAP
2. Uniformed Personnel
3. Other assistance needed by organizer in line with
production needs without demand for additional financial
aspects.

III. POSTPONEMENT OR CANCELLATION

a. Should the event be prevented, rendered impossible or unfeasible, by


any act or regulation of public authority or bureau, acts of God, civil
tumult, strike, epidemic, interruption or delay of transportation services,
war conditions or emergencies, or any cause beyond the control of the
Second Party and the Organizer, it is understood and agreed that there
shall be no claim for damages by either party under this agreement.
Any deposits or payments received by either party shall be considered
deposits or payments for the re-scheduled Event to be mutually agreed
upon by both, changes in artists line up for consideration. However,
should the parties fail to agree on a re-scheduling of the said Event, the
same shall be deemed terminated and aborted, in which case, the
Organizer and the Client, none of them being at fault for cancellation,
shall conduct a reconciliation of their account mutually agreed upon.

b. Should the Organizer cancel the performance in the Event for reasons
not attributable to the Second Party the legal obligation of the Second
Party to refund what had been paid and to pay the fees for damages
shall be immediate without need for demand.
c. This Agreement cannot be assigned or transferred without the written
consent of both parties. The waiver of any breach of any provision of
this agreement shall not be deemed a continuing waiver.

d. Copyright for the performance to be rendered during the Event shall be


owned by the First Party, with all rights thereto, as provided for under
relevant laws. This does not however, infringe on the moral rights of
the Producer over the performance.

e. This Agreement contains the complete understanding of both parties


and may be amended, supplemented, varied, or discharged, only
through writing, mutually signed by both parties, the validity,
construction and effectively of this Agreement shall be governed by
laws of the Republic of the Philippines.
