Dear Abhishek,

Based on our discussion, we are pleased to offer you an employment in our organization as “CENTRE
OPERATIONS EXECUTIVE”. Your place of posting will be at “LUCKNOW”.

You will be reporting to “ASSISTANT GENERAL MANAGER”.

You will be paid emoluments as detailed in Annexure – A.

Your employment with us will be governed by the Terms & Conditions as detailed in Annexure – B.

Your offer has been made based on information furnished by you. However, if there is a discrepancy
in the copies of documents or certificates given by you as a proof of above, we retain the right to
review our offer of employment.

Please confirm acceptance of this employment offer within 2 working days from the offer receipt.

Further we expect you to join our organization on or before “December 15, 2023”.

Annexure B

1. Compensation: Your remuneration is strictly confidential; kindly do not share this


information with other employees and outsiders.

2. Place of Posting & Assignment: The employee’s headquarter town/place of posting/station


is as indicated in the appointment order. The employee is liable to be transferred to any
part of India or any place of business of the company whether existing or acquired later in
any part of India at any time. The employee is also liable to be deputed to work in and/or
assigned work to our sister concerns and /or subsidiaries or any other
company/organization as per the arrangement and/or agreement which the
company/organization has and/or may have such other companies / organizations without
any extra payment. The company has the discretion to transfer the employee to any of the
subsidiary company is or not in the existence at the time of commencement of this
employment and whether or not such transfer involves a change in working hours.

3. Probation: The Probation will be for a period of Six Months from the Date of Joining.The
employee will continue to be on probation unless and until he is expressly informed in
writing confirming him in the regular services of the company. During the probationary
period the services are liable to be terminated with at any time at the sole discretion of the
company without any notice/compensation or assigning any reason thereof. During the
probationary period the employee’s job performance and antecedents will be thoroughly
assessed/evaluated and only on satisfactory completion of his probationary period he will
formally be confirmed in writing in the regular services of the company on such terms and
conditions as may be decided by the company.

4. Touring: The employee is liable to travel as required by the company from time to time.

5. Whole Time Service: During the period of employment the employee shall not secure any
other Post or work part time While in the service of the company, the employee shall
devote the whole of his time to the business of the company to his best of his ability and
shall not directly or indirectly be connected with, concern, Employed or engaged in any
other business or activities whatsoever, save with the written permission from the company
and shall not accept any emoluments, commission or any honoraria of whatsoever from any
other party.

6. Supervision: The employee shall work under the supervision and control of such
persons as may be decided by the company from time to time. The employee shall
diligently and faithfully carryout the instructions given from time to time either
orally or in writing by his superiors and/or persons under whom he is placed to the
best interests of the company.
7. Hours of work: The employee may also be required to work on holidays, weekly off days and
after office hours for which he shall not be paid anything extra. His hours of attendance and
weekly off shall be regulated to suit the duties entrusted to him from time to time.

8. Confidentiality: During the course of his employment shall keep confidentially the
informations of the company which may be known to him by any means and shall use at
only in a duly authorized manner. Upon relinquishment of services of the employee for any
reason, the employee shall return all records or other information of the company which
have been given to him in the course of his employment or which may have come into his
possession by any means and that he shall not attempt to make or retain copies by any
means whatsoever of any data, informations and records of the company.

9. Maintenance of Equipment: The employee will be liable to maintain all the equipment
provided to him in order to execute his official responsibilities in proper working condition.
The employee shall also be liable to keep the maintenance expenses on the above said
equipments within pre-specified limits, the excess whatsoever above the limit due to any
external reasons also shall be totally borne by the employee. The employee shall also fulfill
all statutory obligation issued from government from time to time regarding the usage of
the above equipments. The employee is prohibited from using this equipment which will
either execute or abet unlawful activities specified under Indian penal code.

10. Retirement: The employee shall retire on his reaching the age of 60 or either if found
medically unfit for the job assigned to him at the sole discretion of the company. The age or
date of birth already given by the employee in his application shall be treated as binding and
final. The company may at its sole discretion extend the term of employment beyond the
age of retirement on such terms as specifically decided and agreed.

11. Bar on Borrowings/Accepting Gifts: No employee shall borrow money from, otherwise place
himself under pecuniary obligation to another employee or any other person with whom he
is or likely to have official dealings. The employee shall not directly or indirectly accept gift,
gratuity or reward from any person with whom he is or is likely to have official dealings.

12. Business Transactions with Relatives: Except with the prior consent of the management the
employee shall not enter into any contract or have any business transactions or dealings
with any relative or with any firm or company in which he himself or his relative is
interested. For the Purpose of this clause relative means up to first degree relations of self
and wife. First degree relations will be father, mother, sister, brother, wife and children.

13. Service Conditions: In all other service matters the employee will be governed by company’s
rules and practices relating to other members of the employee’s category in general in so far
as they are not inconsistent with any provision of this instrument.
14. Termination
a. Termination on Incapacity: In case during the continuance of employment the
employee be incapacitated by reason of illness or accident whether within or beyond his
control from attendance to his duties for a period of three consecutive months or
periods amounting to any aggregate of three months in any one year, the company may
on its discretion terminate his employment without any period of notice or any payment
in lieu of notice.

b. Termination on Insolvency: If the employee becomes bankrupt or be adjudged insolvent


or compound with his creditors, the company shall be entitled to terminate the
appointment forthwith without any notice or payment in lieu of notice.

c. Termination on Misconduct, Breach of any Service Conditions, Refusal etc.: If the


employee shall at any time be guilty of misconduct, commit any breach of service
conditions or refuse willfully or neglect to perform to the satisfaction of the company
any of the duties developing upon him or commit any other act of misconduct, the
company may at once, without any previous notice terminate the service of the
employee.

d. Termination due to Falsification of Records/Information: If any details furnished by the


employee in his bio-data for securing job in the company are found to be false, his
services shall be terminated forthwith without any notice or salary in lieu thereof.

e. Company’s Decision on Termination to be final and binding: The company’s decision as


to the occurance of any events mentioned in clause no. 14, 15,16 & 17 above shall be
final and binding on the employee and the employee shall not be entitled to question
the same on any ground whatsoever.

f. Termination by Notice: Without prejudice to clause no.14, 15 & 16 above, the services
of the employee may be terminated at any time either party giving to the other one
month notice or one month salary in lieu of notice.

15. Not to Represent Company after Termination/Resignation/Retirement: The employee


agrees that he will not at any time after the termination of his employment or resignation
or retirement, personality or by his agent directly or indirectly represent himself as being in
any way connected with or interested in the business of the company.

16. Restriction on Future Avocation: Having regard to the fact that by virtue of his
employment, the employee have access to the operation and/or processes, secrets and/or
business of the company, he will not engage, directly or indirectly, in any competitive
business or activities or take up employment detrimental or prejudicial to the interest of
the company of which will be the sole judge, within a period of three years from the date he
ceases to be in the employment of the company.
17. Addition & Alteration to Service Condition etc: The employee shall in addition to the
general service conditions/specifications said here in be governed by other rules,
regulations practices. Terms, procedures and policies as are in force or may be framed by
the company from time to time. The above terms may be modified by the company from
time to time in writing and such variation shall be binding on the employee.

18. Jurisdiction: Any dispute arising out of employment or terms of services shall be subject to
the jurisdiction of a competitive court in Hyderabad.

19. Non-Compete: The employee shall not, both during the term of his/her employment and
following the effective termination of his/her employment, recruit or attempt to recruit,
directly or indirectly (for instance through a temp agency) any employee of the Company or
have direct or indirect recourse to the services of those employees on a self-employed
basis. You shall not own, manage, operate, consult or be employed in a business
substantially, similar to, or competitive with, the present business of the Company or such
other business activity in which the Company may engage during the term of employment.

The above terms and conditions are based on the company’s policy, procedures and other rules
currently applicable in India and are subject to amendments and adjustments from time to time. In
all matter including those not specifically covered here such as traveling, retirement, etc. you will be
governed by the rules of the company as shall be in force from time to time.
