1 OBJECT
1.1 Scope of work
This offer refers to the supply, fabrication and installation of 3x12 pieces of piping and supports for CH4 O2
and cooling water for the furnace burners and modification of the burners in SAINT GOBAIN ISOVER ,
Ploiesti Plant.
The Contract represents the entire agreement of the Parties on the subject matter hereof and all prior
negotiations, declarations or agreements, either written or oral, and related to the said subject matter shall be
construed as being null and void, provided they have not been expressly reiterated herein.

1.3 Description of supplied work
IMSAT will provide all steel profiles , piping materials (pipes, fittings, flanges etc.), , flexible connections and no
return valves, supports , manpower, hand tools and the consumables needed for the installation of the
system.
ISOVER will supply by himself all valves.
1.4 Limits of supply
Our Offer was conceived considering that the steel support and isometrics will be manufactured in our shop in
Mioveni , Arges.

The support will be assembled on site from HILTI/SIKLA modular system.
ADIITIONAL WORKS
Additional works will be made only based on supplementary order issued by the purchasing department of
ISOVER
Any modification of quantities will be subject to price revision.
Any delays of activities for causes not attributable to the Supplier can lead to the delay of the final deadline
and to price revision. The supplier is bound to inform the customer in a reasonable time (5 working days)
about the impact to the deadline and the price.
2 DELIVERY CONDITIONS
DAP – SAINT GOBAIN ISOVER Plant , Ploiesti, Judetul Prahova
3 PRICES
Our offer is valid for the entire package listed at point 1.3 & 1.4.
The global amount for the whole works, considering the drawings above is:
58,100.00 €
Taxes and fees not included (VAT)
- Extra work hour rate: 17.50 €/h
OFFER VALIDITY
Our offer is valid for a period of 15 days from the date of transmission.
4 TIMING
- TBD - the time schedule will be decided prior receiving an official purchase order from ISOVER.
5 EXCLUTIONS
- No special lifting/rigging equipment is included such as :

o Mobile Crane
o Telehandler ( Manitou)
- Civil works
- “Erection All Risks insurance” is not included
- Any design and/or calculation of loads for the piping supports.
- Any insulation works of the piping installed
- Any design of the “Good for fabrication” drawings
- Electrical Works
- Works and services that are not specified in this offer
- This offer stays valid as built on the premises that for ISCIR/ANRE conditions, if any, the design shall
be completely free issued by ISOVER. IMSAT does not stand as ANRE manufacturing certified
company.
Any change in the scope of work, or in planning milestones, will be subject of price deviation.
6 TERMS OF PAYMENT AND SCHEDULE
o 30% - down payment for material purchase

o 70% - at the end of installation works against final WPR signed by SGI representative.
7 INTELLECTUAL PROPERTY
All documents delivered under this contract will be the exclusive property of ISOVER , upon transmission.
8 WARRANTIES, CLIENT CLAIMS AND CONTRACTUAL LIABILITY

Warranty will be granted as follows:
Normal warranty will be granted for 12 months after the signing of the Final Reception Report between
ISOVER and IMSAT.
In case ISOVER shall be entitled to make a claim for IMSAT’s breach or nonconformity of the works and /or
equipment, provided that:
a) The claim is accompanied by the proof that the respective breach of nonconformity is due to
IMSAT or one of his representatives/employees/collaborators;
b) The claim is made in writing, within 48 (forty-eight) hours after the date of the circumstances for
making the claim become known or ought reasonably to have become known to ISOVER;
c) The financial claim must be accompanied by the acquisition proofs of the respective materials
and/or equipment, requested by ISOVER from IMSAT;
d) IMSAT is awarded, within a reasonable time frame, the option to repair / replace on his own
expense and account the material and equipment;
Failure by ISOVER to comply with the above requirements shall be a valid reason in its own right for IMSAT
to reject the claim.
If any delay damages are applicable to IMSAT, those shall be discharging, thus the only remedy in case of
delay in execution. The percentage of penalties shall be as those that IMSAT is entitled to apply in case of

ISOVER’s late payment. The maximum amount of the said delay damages shall be limited to 10% of the
order.
The liability of IMSAT is strictly limited to the obligations defined by the contract and shall be responsible
only for direct damages. Under no circumstances, IMSAT will be responsible for the indirect, consequential
damages or immaterial possibly undergone by the buyer, such as, for example; the trading losses, the losses of
business or profit etc.
IMSAT’s maximum liability for any loss or damage arising under, resulting from or connected with this
contract or from the performance or breach of any obligation imposed hereunder, including that for personal
injuries shall be limited to 10% of the contract price.
The insurance policy provided by IMSAT and accepted by ISOVER as abiding by the contractual
requirements is the Insurance Policy no 2019/XFR0051243LI/496737 of 19/12/2019 issued by Axa Corporate
Solutions Assurance; this shall constitute an appendix hereto.
Considering the worldwide current situation (COVID-19 virus), please take into account that the contractual
terms may not be fulfilled and any delays are not attributable to IMSAT. In this case and if any measure
regarding its employees have to be taken, IMSAT will notify ISOVER as soon as it becomes aware about any
such situation. Measures regarding IMSAT’s employees include, but are not limited to, travel restrictions in
and out of the countries implicated.
FORCE MAJOR
Force major exonerates responsibility of both parties for not fulfilling one’s obligations totally or partially.
Herewith, force major means any unforeseen and insurmountable event occurring independently from the will
of the parties after the validation of this contract and which obstructs partially or entirely the implementation
by the parties of their contractual obligations.
Both the start and the end of the force major justified according to the Romanian legislation shall be notified
by the ascertaining party to the other party within 10 days. Otherwise, the culpable party will not benefit of the
effects of force major.
If force major leads to postponement for more than 3 months of the obligations assigned to the parties, they
shall meet and take a decision on the future implementation of their contractual clauses
SPECIFIC CONDITIONS RELATED TO COVID 19
The Client acknowledges that
I. Even if they are known at the moment of the proposal/purchase order/contract, any part of/ the whole
products and/or services to be performed in accordance with the present proposal/purchase order/contract may
be impacted by the sanitary measures taken by the government related to COVID-19 epidemics and the
exceptional situation that such measures create;
II. Such exceptional situation may result in a stoppage, hindrance or delay in IMSAT’s ability to produce,
deliver or provide the products and/or services, whether such stoppage, hindrance or delay is due to measures
imposed by the authorities or voluntarily implemented by IMSAT and/or its suppliers/subcontractors as a
preventive or curative measure to avoid any risk of contamination of their employees ;
III. The delivery and/or completion schedule is provided for information purposes only.

As a consequence, the Client acknowledges that:
- such circumstances shall be considered as an excusable cause of delay and shall not expose IMSAT to
contractual sanctions, including, without limitation, liquidated damages, penalties, damages or termination for
default. However, should this excusable delay last more than three (3) months, each party may unilaterally
terminate the contract/order without incurring any liability, by sending a registered letter with
acknowledgement of receipt,
- if such circumstances make the performance of the contract disproportionate and/or more onerous, both
parties will meet to adjust the terms of the contract, including price conditions and delivery/performance
schedule. If the parties fail to reach such an agreement within a reasonable period of one (1) month, either
party is entitled to unilaterally terminate the contract/order without incurring any liability, by sending a
registered letter with acknowledgement of receipt.
