TERMS AND CONDITIONS ON BOTH SIDES OF THIS PURCHASE ORDER ARE MATERIAL PARTS THEREOF WITH WHICH SELLER MUST COMPLY.
INVOICE MUST BE BASED ON SAME PRICE UNIT AS SPECIFIED ON THIS ORDER.
 1. Buyer reserves the right to cancel all or any part of this order if merchandise is not delivered on dates specified herein, but
acceptance of merchandise after such specified delivery dates shall in no way bind Buyer or Buyer's customer to accept future
deliveries on any order, or constitute a waiver of any rights we might have with respect to Seller's failure to deliver goods on time.

2. Buyer reserves the right to return at Seller's expense all merchandise sent in any case in which Seller fails to comply with any of
our instructions, or where merchandise is in excess of quantity ordered or differs from sample or specifications from which order was
placed.

3. Merchandise shipped later than the 25th of any month but carrying E.O.M. terms will be paid for as though shipped on the first of
the following month.

4. It is understood that weights, measures, sizes, and particulars stamped on the merchandise or containers comply with City,
State, and Federal laws. Seller further warrants compliance and conformity to all applicable Federal and State laws, including but not
limited to, Pure Food and Drug Laws, Robinson-Patnan Act and also Fair Labor Standards Act, Federal Hazardous Substances
Labeling Act, and all applicable Federal Trade Commission rules and regulations. Seller's invoice shall bear the separate guarantiel
provided for under Federal acts.

5. By accepting this order Seller agrees to indemnify and hold Buyer and Buyer's customer harmless against all claims, loss,
damage and expense, including legal fees, which Buyer or its customers may incur resulting from infringement or alleged infringement
of trade mark, patents or other property rights or from breach of warranty, express or implied, with respect to merchandise purchased
hereunder. Buyer's customers, or Buyer reserve the right to return any merchandise with respect to which a claim of patent, property
rights, trademark infringement, unfair competition, or breach of warranty is made.

6. This order must be executed in accordance with its terms and the laws of this state and no deviation therefrom will be
recognized. Any acknowledgement or confirmation of this order by Seller shall not vary or modify the terms and conditions hereof
unless we so agree. If Seller refuses to accept this order exactly as written, Seller must so inform our Purchasing Department
immediately.

7. All risk of loss or damage in transit shall be borne by Seller.

8. Bill of lading must be attached to any invoice on which freight charges appear.

9. Acceptance of all or any part of the merchandise covered by this order shall not be deemed a waiver of our right to cancel or to
return all or any part thereof because of failure to conform to order or samples, or by reason of defects, latent or patent, or othc breach
of warranty or to make any claim for damages incurred thereby. Such rights shall be in addition to any other remedies afforded by law.

10. Seller represents and warrants that all articles covered by this purchase order meet or exceed the safety standards established
and promulgated under the Federal Occupational Safety Health Act (public law #91-596) and its regulations in effect or proposed as of
the date of this order.

11. The provisions of Section 202 of Executive Order 11246, relating to, equal employment opportunity, and the rules and
regulations issued pursuant to Section 201 thereof, and hereby incorporated by reference, and the Seller represents by acceptance 01
this purchase order that it will comply with such Executive Orders and rules and regulations and amendments thereto, to the extent the
same are applicable to the manufacture or sale of the goods hereunder.

12. Sale or use tax, if applicable must be included as a separate item on original invoices unless vendor has been furnished a
certificate of resale.

Parts, Equipment and Contractual Confirmation:

Seller agrees to comply with the provisions of the Occupational Safety and Health Act of 1970 and the standards and regulations issued
there under and warrants that all goods furnished under this order will conform and comply with said standards and regulations. Seller
further agrees to indemnify and hold Ampacet harmless for all damages suffered by Ampacet as a result of Seller's failure to comply
with the Act and the standards issued thereunder and for the failure of the goods furnished under this orde to so comply.

Seller will not unlawfully use, manufacture or install any patented article, and shall indemnify and save Ampacet harmless against all
liabilities and damages which Ampacet may sustain by reason of the use, manufacture or installation of such patented article and to
defend any action, whenever instituted, brought against Ampacet, founded upon the claim that any such article, or any part thereof,
infringes any such patent.
