1. Write an article on the following: “Critically analyze ‘Non-Compete

Clauses’ in employment agreements, by taking into consideration various
case laws laid down by the Indian Courts in that respect.” – 5 Marks

2. Draft a Franchise Agreement.

Understanding between the parties is as under:

“Growth Guide is a company established for providing education and

training to students related law, medical and engineering streams for
various entrance exams. They have world class faculty and have
developed courses and programmes for the said purpose. They are based
in New Delhi. Growth Guide wishes to expand and grow their business in
Pune. Success Sphere Pvt. Ltd. is interested in entering the education
industry and wishes to obtain relevant rights from Growth Guide and set
up a centre in Pune.”

This being the basic understanding, the students shall incorporate all
other relevant clauses and terms.
