Between
Sahaj Retail Limited (SAHAJ), a Company incorporated under the Companies Act, 1956, having its
registered office at 45, Radhanath Chowdhury Road, Tangra Industrial Estate II Kolkata-700015
(hereinafter referred to as the "SAHAJ”) which expression shall unless repugnant to the context
hereof include its successors in title, legal representatives, permitted assigns) of the ONE PART.
And
which expression shall unless repugnant to the context hereof include its successors in title, legal
representatives, permitted assigns) of the OTHER PART.
AND WHEREAS SAHAJ is an IT enabled Service Provider and is engaged in the business of delivery
of Services and/or Products through IT infrastructure and IT platform through which business is operated
in accordance with distinctive system and plan followed by the business of e-services utilizing and
comprising certain proprietary making confidential information, standards, techniques, projects,
packages, identifying schemes, management methods and standard operational procedure and has spent
considerable time, effort and money in development and implementation of the aforesaid business
activities carrying under the name of the franchisee who desires to obtain the benefit of working with
SAHAJ as a franchisee, to operate the Sahaj business under, “Sahaj Retail Ltd”.
AND WHEREAS, the franchisee desires to obtain the benefit of knowledge, skill, expertise and
experience of “Sahaj Retail Ltd.” and as a franchise to operate the said business of Sahaj in delivery of
services and products.
AND WHEREAS, Sahaj has established substantial reputation and goodwill and have acquired
intellectual property (IP) rights in the said business. Whereas the franchisee who desires to do the said
business has to maintain the identity and the reputation of the network being identified by its common
name and symbol “SAHAJ”.
AND WHEREAS the Franchisee who recognizes the benefit and desires to deliver the services have to
acknowledge the necessity of confirming the standard and the uniform system of the said business.
1. Sahaj hereby grants right, license & permission to operate the SAHAJ Centre in geography as
allocated to the Franchisee for a period of five (5) years from the date of signing of this Agreement. T
hereof, the business system of delivery of services through IT enabled centre under its proprietary
marks in accordance with its system as implemented by Sahaj, unless earlier terminated pursuant to
this Agreement. The Agreement shall initially be for the period of 5 years and at the end of successful
completion of 5 years, the agreement may be extended by further period as decided by Sahaj or on
mutual agreeable term.
2. The franchisee has to meet the eligibility criteria as defined by SAHAJ for becoming a franchisee. The
franchisee will need
to complete the KYC formalities in case of Govt projects as per the Govt. CSC 3.0
eligibility criteria and for any other project or services as required , including Computer certification,
training certification as defined by SAHAJ both for Govt. and Non Govt. projects criteria.
3. The Franchisee shall display the name and logo as defined by SAHAJ project wise/service wise in
such a manner and upon such part or parts of the premises of the Franchisee as SAHAJ may from
time to time direct.
4. The franchisee shall be actively involved in branding of SAHAJ CENTRE and marketing process of
the given products and services and devise innovative methods for attracting more and more customers
to the centre. The franchisee shall also sensitize the citizens about the benefits from the SAHAJ
CENTRE and will promote the use of the same in its designated area through promotion, campaign,
and advertising. This activity is mandatory & obligatory on part of Sahaj Mitr/franchisee to remain &
continue in SAHAJ business.
5. SAHAJ agrees that all times during the continuance of this franchise agreement:
a. To permit the Franchisee to operate and promote the business under the trade name “SAHAJ
CENTRE” in accordance with the terms of this Agreements.
b. To provide to the franchisee with the entire know-how and assistance in carrying on the said
Business in delivery of various services and products.
c. To provide access to the Portal of SAHAJ to operate the business in delivery of products and
services and to operate through SKASH wallet developed by SAHAJ. The wallet developed by
SAHAJ is a closed loop wallet used in delivery of services of various third parties, as SAHAJ
is a facilitator and aggregator of services and products. Portal of Sahaj herein defined as a
website /app or any other digital communication mode which may be used by the customers to
avail various services provided by SAHAJ.
d. To roll out products and/or services from time to time through this centre as per specification
defined by Sahaj.

e. Revenue sharing models will be intimated and implemented by SAHAJ to the Franchisee from
time to time for its various services/products. SAHAJ will be the final authority to decide on
the margin of products and services.
For the smooth implementation and functioning of SAHAJ business and to widen the
scope for delivery of products and services, SAHAJ will issue directions from time to time
and recommend changes/alter/amendments in the agreement.
In context to the above, SAHAJ reserves the right to make amendment changes/alteration
in the terms and conditions under this agreement, including transaction charges/fees/etc.
without any prior notice to SAHAJ MITR and all such changes/alterations/amendments
done earlier and upcoming shall be dealt as a part of this agreement and will be binding on
the SAHAJ MITR during the entire tenure of his/her engagement with SAHAJ. For
Government projects the Government guidelines will be applicable.
6. The Franchisee agrees at all times during the continuance of this Agreement:
a. The “SAHAJ MITR” is an exclusive trademark of SAHAJ as granted under this agreement
to be used exclusively within the specified territory. SAHAJ MITR is not to dispute or
impugn the validity of the said Trade Mark.
b. To comply with and follow exactly SAHAJ’s method of operating the said business and the
manner in which the same is to be carried on and not to use any additional trade name or
symbol and not to do or permit anything which is additional or not in accordance with the
system without prior consent by writing from SAHAJ and not to claim any right of
ownership to the Trademark of Sahaj.
c. To operationalize the centre, the franchisee shall provide such number of G2C Services
and/or such number of B2C services to the citizens / residents within a period of 30 days as
intimated by SAHAJ.
d. To ensure that adequate financial resources are available to the Franchisee by way of initial
investment and working capital and otherwise to ensure that the Franchisee is able to fulfill
all the obligations herein contained to do business under Sahaj.
e. To ensure that the Business conforms to other Business operated in accordance with the
system with regard to service and image of SAHAJ and the Franchisee acknowledging that
such conformity is of the utmost importance to the successful operation of the business and
the protection of the goodwill attaching to the Intellectual Property marks.
f. To engage such number of staff of skilled and competence that will be required for the
successful operation of this business and also to ensure that such staff including their time to
time replacement are trained in the system for carrying out SAHAJ business operation
effectively.

g. To use only such letter heads, invoices, signs, display materials, promotional literature,
equipment and other items in connection with the business as shall be approved in writing by
SAHAJ and immediately to desist from the use or display of any signs materials or objects
as SAHAJ directs. Franchisee shall ensure to maintain proper management of the documents
received from the citizens record keeping in all aspect, for desired period, in well maintained
standard way/ sending of physical documents to the record keeping agency/ maintain track
record of documents/ postal / courier evidence etc. as per rules and regulations of Sahaj and
delivery of certificates/ cards to the citizens & records/ documents to the organizations.
h. The Franchisee shall have to procure the minimum required equipment and infrastructureas
specified by SAHAJ to ensure that the entire system works smoothly. All maintenance of
the machines and equipment for the term of the agreement and after that shall be borne by
the franchisee only.
i. Not to operate the business or any part of the system at any location other than the
premises/centre approved by SAHAJ.
j. Not to sell, assign, transfer, charge, hypothecation or sub-license the business and/or the
Trademark thereof, without the prior written consent of Sahaj in accordance with the terms
of this Agreement; The Sahaj Mitr ID and business of the franchisee can only be transferred
to his/her blood relation but with due prior approval of SAHAJ.
k. Not to render any service which does not conform to or conflicts with the standards
associated with SAHAJ or which SAHAJ does not approve;
l. Not to install or alter, erect or display any sign or other medium of advertisement whether
inside or outside the premises without seeking and obtaining the prior written consent of
SAHAJ.
m. Not to use or publish any advertisements, Signs, display board or other forms of publicity
whether or not relating to the business of Sahaj at premises unless the same is first been
submitted and accordingly approved by SAHAJ in writing.
n. Not to use any of the Intellectual Property as part of its corporate or business name other than
in accordance with the terms of this Agreement.
o. Not to use illegal version of computer software and/or the hardware in the computers to be
installed and operated in the SAHAJ CENTRE.
p. Shall be solely liable for any claim, monetary or otherwise arising out of any wrongful,
illegal or fraudulent act or wrongful use of the Portal and/or the Products/Services provided
by SAHAJ.
q. Franchisee agrees and assures that he shall strictly adhere to and comply with all the rules,
regulations, terms, conditions, instructions, directions, orders as received by him/her from
time to time from SAHAJ or from Govt. in case of any Govt. Project as the case may be in
any manner whatsoever.
7. Franchisee shall pay a non-refundable registration fee to SAHAJ and a non-refundable joining fee as
applicable for each State, and the same shall be payable on signing of this agreement by franchisee.
The joining fee and registration fee may vary from State to State and from time to time, and the said
fees payable by the franchisee are for the purpose of utilization of SAHAJ’s Brand name, use of
SAHAJ’s infrastructure in delivery of products and services through SAHAJ’s Portal and e wallet.
The joining fee and registration fee are subject to State Govt. approval and guidelines in case of Govt.
projects. Franchisee shall pay a non-refundable amount towards “Portal Maintenance charges” with
different Options monthly/quarterly/half yearly/ annually. SAHAJ will charge Re. 0.01 to Rs. 1.00
minimum, depending on the different category this will increase or decrease per transaction on all
kind of services availed from its franchisees based on transactions, towards statutory compliance,
Training, capacity building, & CRM support, marketing and awareness campaigns, which are subject
to change from time to time without prior notices. Franchisee who is already active & running its
centre shall be liable to pay One Time Transition fee under this agreement wherever applicable.
8. Franchisee shall be liable to pay a onetime Refundable Security Fee/ Deposit wherever applicable.
The said security fee/ deposit shall be deposited in digital mode only. This security fee/deposit shall be
refunded by Sahaj in a period of three (3) months after termination of this agreement subject to the
realization of any amount payable to SAHAJ by the franchisee/ SAHAJ MITR, if any. Annually there
will be reconciliation and accounts will be settled accordingly.
9. Franchisee shall bear all the Capex and Opex expenditures/charges as may be incurred for keeping the
centre active and operationalize. SAHAJ shall in no way be responsible to pay and/or bear the said
Capex and Opex expenditures / charges on behalf of the franchisee.
10. Franchisee shall be liable to pay Infrastructure Support Fee to SAHAJ for keeping the standard of the
centre upto the mark by providing infrastructure support for the service provided by SAHAJ as per
Company’s policy.
For the smooth implementation and functioning of SAHAJ business and to widen the scope for
delivery of products and services, SAHAJ will issue directions from time to time and recommend
changes/alter/amendments in the agreement.
In context to the above, SAHAJ reserves the right to make amendment changes/alteration in the
terms and conditions under this agreement, including transaction charges/fees/etc. without any prior
notice to SAHAJ MITR and all such changes/alterations/amendments done earlier and upcoming
shall be dealt as a part of this agreement and will be binding on the SAHAJ MITR during the entire
tenure of his/her engagement with SAHAJ. In Govt. Project, Govt. guidelines will be applicable for
any changes/alteration of any charges/fees.
20. SAHAJ is only an aggregator / distributor of product(s) / service(s) on behalf of its various service
provider(s). Therefore, SAHAJ shall not be liable / responsible for any defect / deficiency / delay /
damage(s) / losses to the customer / consumer for the product(s) / Service(s) of any third party or
parties.
Notwithstanding anything contained in this Agreement, liability of SAHAJ shall be limited (if
admissible) in the case of any mistake/act/omission/ commission by SAHAJ or its employee(s) /
representative(s) / agent(s) / contractor(s) up to the amount of net commission received. SAHAJ shall
also not be liable/ responsible in any manner for any third party claim.
21. Franchisee will not borrow or lend moneys or give guarantee or create any encumbrances on the
business in name of SAHAJ or assign or create any third party right or interest in the said business.
The rights given under this agreement is exclusively for the franchisee only.
22. Franchisee will not deal in cash with the employees/officers of SAHAJ and all transactions are to be
routed through Bank accounts, wallet, and by mode of cheque or demand drafts. Cash dealing is
strictly prohibited under any circumstances. If any franchisee is found to be dealing in cash with
SAHAJ representatives, SAHAJ will not be liable for any such transactions.
23. Franchisee will indemnify and always keep indemnified SAHAJ and its employees and Directors,
Partners against any loss, illegal activities done by franchisee, any act which is prohibited by law and
/or damage and/or any third party claim that SAHAJ may suffer, as a result of non-compliance or
breach of any of the terms of the said agreement and that of the SAHAJ franchisee business.
24. Use of Confidential Information: Franchisee agrees, unless required by law, not to make the
Confidential Information available in any form to any third party or to use the Confidential
Information for any purpose other than for the performance of the agreement between the parties.
Franchisee shall keep confidential all the details and information with regard to the scheme including
system facilities, operations, management and maintenance of the system facilities.
25. This above clause will not be construed to prohibit the franchisee to provide the information to the
Statutory Authority under any law with a written intimation from SAHAJ.
26. Franchisee agrees to hold each of the Confidential Information in confidence during the Term of the
Agreement and for a period of three (3) years after termination of the agreement.
27. Parties shall have the right to terminate this Agreement at any time, with or without cause, during the
Term of this Agreement upon thirty (30) days' prior written notice (the "Notice Period") to other party.
In case of any of the breach of clauses of this agreement, Franchise can be terminated on sole
discretion of SAHAJ and on immediate basis. The franchisee to indemnify for all losses or claims on

SAHAJ for any breach of this agreement. That termination of this agreement shall be without prejudice
to any rights or liabilities accrued until the date of termination.
28. Upon the termination of this Agreement, Franchisee undertakes to:
29. Franchisee to protect SAHAJ and its employees, Directors , Partners against any loss, claim, liabilities,
expenses or damages arising out of any crime committed by Franchisee via internet and computer
network during operation under this agreement, dealing particularly with infringements of Intellectual
Property and copyright, computer related fraud, protection of IT Infrastructure and data from any virus
attack, unauthorized access/ modifications/ deletion of data, child pornography, hate crimes and
violation of any network security.
30. Franchisee shall indemnify SAHAJ and its employees, Directors , Partners and hold SAHAJ and its
employees, Directors , Partners harmless from and against any and all claims, costs, damages, losses,
liabilities and expenses including lawyer costs arising out of or in connection with any act of
corruption including bribery, extortion, fraud, deception, collusion, cartel, abuse of the services,
embezzlement, trading in influence, money laundering, or any similar activity in relation to the
business operation
31. Non-operation of SAHAJ CENTRE – If a SAHAJ CENTRE is not being run by the Franchisee- Sahaj
Mitrs/ Village Level Entrepreneurs or remain non-operational for a period of 30 days from the date
approved by SAHAJ, a penalty of Rs. 200.00 per additional day of delay of not opening or running the
SAHAJ CENTRE will be imposed on the said SAHAJ MITR running the Centre. This penalty may
vary from state to state and territory wise.
32. Performance Clause:
a. On failure to achieve the benchmarked targeted numbers, SAHAJ will reserve the right to
levy a onetime non-performance charge @ Rs.1500/- valid for the next quarter. The onetime
charge will be deducted from the SKASH wallet as retention money without prior

intimation.
b. The SM shall always maintain minimum balance in the SKASH wallet as mentioned or
updated in the link on the Sahaj Portal from time to time. In case of non-availability of
minimum balance, any recovery can be made from the SKASH of the wallet at a later stage.
c. In case the franchisee fails to meet the benchmarked numbers consecutively for two
quarters, SAHAJ reserves the right to terminate the agreement with immediate effect. On
achieving the next quarterly benchmarked numbers the 50% of the SKASH retention money
will add back to the Franchisee wallet. The balance 50% will be refunded after attaining the
subsequent quarterly benchmarked numbers target.
d. If the franchisee fails to perform its duty or achieve benchmarked numbers target in
Delivery of services or cannot maintain its SAHAJ centre properly to the satisfaction of
SAHAJ or cannot operationalize its SAHAJ centre, SAHAJ reserves the right to terminate
the agreement with immediate effect.
e. Franchisees are bound to provide receipt of service delivery charges; display & adhere to the
rates of services as determined by SAHAJ for B2C services and Govt. for G2C services.
f. Franchisee shall abide by and adhere to and comply with all the instruction including rates,
charts, brands etc. received from Sahaj or Govt. Franchisee shall not overcharge for delivery
of any services to any citizen. The Sahaj Centre shall function and remain operational on all
working days and such other day including the timing of operating the centre as per the
guidelines of Sahaj/Govt. guidelines.
g. Sales Force Clause:
The objective of SAHAJ MITR agreement is that the franchisee must perform various
marketing & other related activities and sell all available services & products. The
franchisee also need to identify minimum two resources before the agreement is entered
into. The resources can either be from family members, kin/kith who may be trained by
our alliance partners to become a very good sales force for SAHAJ or any professional
sales force. However SAHAJ reserves the right to provide them the required training
whenever there is a demand for that. The franchisee or the people associated with
Franchisee shall not be considered as employee of Sahaj at any point of time, and the
relationship is based on Principal to Principal basis.
33. Insurance:
SAHAJ Centre has to be insured and the entire expenses for getting the office and the
equipment insured including premium payment with Insurance Company shall be borne by the
franchisee. The policy and its renewal copies are to be forwarded to SAHAJ as part of compliance
on yearly basis.

A. If you are a Banking Correspondent Agent, the below mentioned rules and penalty shall be applicable to
you.
Penalty clause for Non - Performance: To be fixed by the Zonal Authority of the Bank in coordination with
Business Correspondent (Corporate – BC SAHAJ )
1. Any BC Point/ BC Agent/ VLE OR SM / CSP/ Sahaj Centre engaged by Sahaj if fails to perform up
to the minimum stipulated level of performance criteria as set by Sahaj or the Bank & beyond six
months period of their engagement, the said BC point /BC Agent/SM to be removed/ replaced by
Sahaj with immediate effect.
2. Actual payment to BC Agents/SM shall exclude transaction of accommodating nature, round tripping
nature. BC Point/ BC Agent/ VLE/ CSP/ Sahaj Centre (engaged by Sahaj) to perform ICT biometric
Micro ATM/ FI Kiosk based FI/ banking transactions of customers & as per the guidelines and
instructions of SAHAJ.
3. All the changes/ guidelines (guidelines are available in the link on Sahaj portal) brought in by the
Bank regarding operation of BC, and issued from time to time, would be applicable & binding on the
BC Point/ BC Agent/ VLE/SM/ CSP/ Sahaj Centre.
4. Without prejudice to the bank’s or Sahaj’s right to terminate the agreement, for any defective service
or inability to provide the service for any reason or for non-functioning of the BC Point/ BC Agent/
VLE/SM/ CSP/ Sahaj Centre for any reason, beyond 5 (five) working days continuously, a penalty @

Rs. 500 per day (from the 6 day onwards) will be levied & charged on each of the BC Point/ BC
Agent/ VLE/ CSP/ Sahaj Centre.
5. Each BC Point/ BC Agent/ VLE/SM/ CSP/ Sahaj Centre has to enroll resident for account opening
and process transactions all together at least -200- per month failing which penalty of Rs. 500 per
month per kiosk will be imposed at the discretion of SAHAJ. This clause will not be applicable during
only first month of issuance of KO Code to BC Point/ BC Agent/ VLE/SM/ CSP/ Sahaj Centre.
6. In case of non-functioning of the BC Point/ BC Agent/ VLE/SM/ CSP/ Sahaj Centre for any reason,

beyond 5 working days continuously a penalty @ Rs. 5000 per day (from the 6 day onwards) will be
levied & charged on each of the BC Point/ BC Agent/ VLE/SM/ CSP/ Sahaj Centre.
B. If you are an IRCTC agent, the below mentioned rule shall be applicable to you.
1. If any SM availing IRCTC services, an annual charge for it’s maintenance will be deducted from the SM
and necessary update relating to that will be reflected on the portal.
C. If you are a Dealer and/or doing Fastag business in association with Sahaj, at the time of signing of this
D. If you are a Dealer and/or doing UIDAI business in association with Sahaj, at the time of signing of this
SM Agreement you are also agreeing to abide by the Terms & Conditions of UIDAI which is a part and parcel
of this Agreement. In case of any breach of the said Terms & Conditions, you hereby undertake to
indemnify and keep Sahaj at all times indemnified from and against all losses or damages.
E. If you are a MSK Operator and/or doing business in association with Sahaj, at the time of signing of this
SM Agreement you are also agreeing to abide by the Terms & Conditions of MSK Operators which is a part
and parcel of this Agreement. In case of any breach of the said Terms & Conditions, you hereby undertake
to indemnify and keep Sahaj at all times indemnified from and against all losses or damages.
This annexure is part and parcel of the agreement and shall be read together with the agreement.
