This Agreement made as on 11 April 2024 between Sigma HR solutions (GST No:-27BCGPJ2840E1ZV) & Automatic Infotech (AI)

Technologies Private Limited (GST No-27AAYCA1899G1ZX) having its office at 2 Floor,Uday Chambers, Nagar Road, Wagholi, Pune
412207 (here in after referred to as “the PARTNER” which expressions shall unless repugnant to context or meaning there of mean to
include its successors in interest, administrators and permitted assigns).

AND

Automatic Infotech (AI) Technologies Private Limited (GST No-27AAYCA1899G1ZX) having its office at 301, 3, Kapil Upavan Plaza,
Shri Swami Vivekanand Marg, Bibwewadi, Pune, Pune, Maharashtra, 411037. Here in after referred to as “Company " which
expressions shall unless repugnant to context or meaning there of mean to include its successors in interest, administrators and
permitted assigns. WHEREAS the COMPANY has expressed its desire to avail the services of PARTNER in respect of professional IT,
Non-IT & ITES services and PARTNER has agreed to provide the services on the terms and conditions mentioned below. NOW
THEREFORE in consideration of the foregoing and the mutual covenants and promises contained herein, the Parties intending to be
bound legally agree as follows:
The Placement fees will be as follows:

Parameters Terms

Rate* 8.33% for all level of CTC

Replacement days 90 days from the DOJ

Payment Days 90 Days from the DOJ

*Excluding GST

PAYMENT TERMS AND CONDITIONS

Payment would be made within 90 Days from the DOJ of the candidate joining the company.
In case the candidate leaves the organization or terminated by the company within 90 days , a free
replacement of theposition will be provided by the Partner at no extra cost for that position.

1.PARTNER will not be responsible for reimbursement of cost of rail/airfare for the candidate/scaled for
interviews.
2.PARTNER shall not be liable for any loss or damage to property, loss of profits or any other loss or for
injury to persons arising directly or indirectly from any actor omission of any candidate/introduced by
PARTNER.
3.The candidates referred by PARTNER for requirements would be in the strictest confidence and
no reference about them without prior authorization from COMPANY'S office would be expected
from PARTNER.
4. The resume/profile sent by PARTNERcontains information as furnished by the candidate
.Although accurate to the best ofour knowledge, PARTNER does not warrant the accuracy of the
information provided by the candidate.
5. During the term of this contract, PARTNER will not offer any employment opportunities to any of
the employees of the COMPANY directly or indirectly.
6. The terms listed in this Letter of Engagement are valid for 12 (twelve) months from the date of signoff
of this proposal

GOVERNING LAW AND JURISDICTION

This Agreement shall be governed by and construed in accordance with Indian Law and the parties hereto
unconditionally and irrevocably agree to submit to the exclusive jurisdiction of competent court at Pune,
in India with regard to any questions, claims or disputes arising out of or in connection with this
agreement.
