requirements. The full details are outlined below for your evaluation.

Our Service:

Skybiz shall provide Department of Justice - Office of the City Prosecutor Davao City

the terms and conditions of this proposal. The provision of service shall include the

following:

 Design and Planning of the service to be provided (for new clients and only if

applicable.

 Installation and configuration of SKYBIZ-provided equipment at the customer

premise.

 Standard testing of the Service.

 24 x 7 NOC Technical Support.

 Personalized Account Management.

Notes:

 The price quoted does not include out-of-scope fees.
 SKYBIZ Fiber Connect is only available in selected buildings within Metro Manila.
 Service Level is Service Availability of 99.5% and 4 hours MTTR.

Terms and Conditions

1. Implementation Period - The proposed service installation is estimated to be completed


within _____5______ working days from awarding of the purchase order, submission of all
required documents, and availability of the client-provided equipment/deliverable.
2. Customer Responsibilities – For the service order to be processed, the Customer shall:

a. Submit the following documentary requirements upon acceptance of this proposal


(please check the item that applies):

□ Photocopy of Business Permit
□ Photocopy of Proof of Billing
□ Photocopy of Valid ID
□ Addendum Contract

b. Ensure the following are ready and available from the time of installation and while the
service is being provided:
 Adequate power supply including standby gen set and UPS/AVR unit to ensure
24-hour uninterrupted operations
 Provision of inter-facility cable runs, entrance conduits, and proper grounding for
all equipment attached to SKY’s facilities.
 In-house wiring. (In the absence of in-house wiring, SKYBIZ may provision or the
necessary wiring chargeable to the Customer).
 Installation and activation may go beyond 30 days if it’s outside SKYBIZ service
areas and it requires a new build of network and facilities.

3. Billing - The service will be billed in advance every month.


 The bills will be released during the first week of the month with a due date on
the 21st day of the same month.
 Non-payment for over 30 days will result in service suspension.
4. Payment Terms - The payment terms are as follows (please check the box that applies)

5. Force Majeure – SKYBIZ shall not have any liability whatsoever or be deemed to be in
default for any delay or failure in the performance under this Agreement resulting from
acts beyond its control, including without limitation acts of God, acts of regulations of
any governmental or supranational authority, war or national emergency, accident, fire,
lightning, riot, strikes, lock-outs, industrial disputes (whether or not involving SKYBIZ
employees) or epidemics.

6. Cancellation of Order - Should the customer cancels the order before the service
activation, the customer will reimburse to SKYBIZ the actual expenses incurred in the
installation.
7. Contract Term and Pre-termination Charges – This agreement will be for a minimum
of ______24_______ months commencing on the acceptance date and automatically
renews for additional ______24_______ months unless a written notice of termination from
the customer is received (30) days before its expiration. Should the customer decides to
pre-terminate its service within the contract period, the customer will be charged
depending on the remaining months of the contract term. Please note that the internet
modem or digital cable box remains a SKY/SKYBIZ-owned property and must be
returned upon disconnection (even if disconnection happens within lock-in or outside
the lock-in period). The modem or digital cable box will be pulled out once the client
disconnects their subscription, and the customer is charged a service fee. The unreturned
modem or cable box will be charged to the client.

8. Validity of Proposal – This proposal shall be valid for 30 days from the date of receipt by
the customer or until notice from SKYBIZ Account Manager.

9. Confidentiality Statement - This proposal contains proprietary information and is


released for the sole use of the customer. Disclosure to third parties is permitted only
with written authorization from SKYBIZ.

10. Data Privacy Compliance – SKYBIZ shall comply, and/or cause its officers, employees,
personnel, representatives, agents, and/or any and all persons authorized to process
Personal Data, to comply, with the requirements provided under the Data Privacy Act, its
implementing rules and regulations and the relevant issuances of the NPC, when
processing personal information and sensitive personal information (“personal data”)
which may be collected, obtained, processed or accessed from your company’s
employees, personnel, agents or representatives in connection with the negotiation,
execution, implementation or termination of this proposal or agreement. This shall
include, but shall not be limited to, the following:

a. Process Personal Data only upon and strictly in accordance with the written
instructions of the Customer, including transfers of personal data to another country as
applicable, unless such transfer is authorized by law;
b. Ensure that an obligation of confidentiality is imposed on its officers, employees,
personnel, representatives, agents, and/or persons authorized to process the Personal
Data;

c. Implement appropriate physical, technical, and organizational security measures


as may be applicable, pursuant to the Data Privacy Act, its implementing rules and
regulations, and the relevant issuances of the NPC;

d. Not engage another processor without the prior written consent of the Customer;
provided, that in case the prior written consent of Customer is secured for the
engagement of another processor, such arrangement shall ensure that the same
obligations for data protection under this Agreement be implemented, considering the
nature of the processing involved;

e. Assist the Customer, by appropriate physical, technical, and organizational


measures and to the extent practicable, fulfill the obligation to respond to requests by
data subjects relative to the exercise of their rights under the Data Privacy Act;

f. Assist the Customer in ensuring compliance with the Data Privacy Act, its
implementing rules and regulations, other relevant laws, and the relevant issuances of
the NPC, considering the nature of the processing and the Personal Data available to and
accessible by SKYBIZ;

g. At the discretion of the Customer, delete or return to it all Personal Data upon
the expiration of the term for the provision of services relating to the processing under
the Agreement; provided, that this includes deleting existing copies unless further
storage is authorized by the Data Privacy Act or other applicable laws;
h. Make available to the Customer, to the extent practicable, all information
necessary to demonstrate compliance with the obligations provided under the Data
Privacy Act and its implementing rules and regulations, and allow for and contribute to
audits, including inspections, conducted by the Customer or third-party auditor, upon
the instruction of the Customer;

i. Immediately inform the Customer if, in the opinion of SKYBIZ, an instruction of


the Customer infringes the Data Privacy Act, its implementing rules and regulations, and
the relevant issuances of the NPC;

j. Notify the Customer of any breach of security leading to the accidental or


unlawful destruction, loss, alteration, unauthorized disclosure of, or access to, Personal
Data obtained, collected, received, transmitted, derived, or otherwise accessed, directly
or indirectly, during the negotiation, execution,

implementation or termination of the Agreement (“Personal Data Breach”). SKYBIZ shall


notify the Customer in writing within forty-eight (48) hours upon knowledge of, or when
there is reasonable belief by the company that a Personal Data Breach has occurred.

The notification shall describe the nature of the breach, the Personal Data possibly
involved, and the measures taken by SKYBIZ to address the breach. The notification shall
also state whether SKYBIZ Shall notify the NPC and the data subjects of the breach and
attach a draft of the notification for the Customer’s comment.
Customer’s Acceptance
Notwithstanding the signing of this proposal conformed, SKYBIZ reserves the right to amend its
quoted investment summary due to additional equipment that may be necessary for a
successful installation. Likewise, the customer has the right to defer or cancel its order for the
affected circuit(s) as a result of this amendment.
