 ANNEX I

I. Scope of Supply
a) Our scope of work is limited to the quoted BOQ / cable construction. In case of any change in cable
construction, consultant's specification, or quantities, our price will be adjusted accordingly.
b) Unloading of the items at site is customer's responsibility (i.e., from truck to warehouse or storage area).
However, for orders that specifically include unloading in the scope of work, we can only accommodate
unloading cable reels with weight up to 2.8MT. Unloading fee equipment for cable reels with gross weight above
2.8MT shall be shouldered by the customer.

II. Payment
50% DP; Balance: cash or cleared check before delivery

III. Basis of Offer

Our quoted price is based on the award of the complete package. Any change in the scope of supply and work
may necessitate a re-evaluation of our quoted price.

IV. Price
a) Price quoted herein are inclusive of 12% VAT. FOB Manila.
b) Unless otherwise specified, price quoted are inclusive of delivery within Metro Manila only (FOB Manila).
Delivery charges outside Metro Manila shall be for the account of the customer.

V. Delivery Dates
a) Delivery dates shall be mutually agreed with the customer. However, delivery completion are estimated as
follows:
Copper THHN/THWN-2: In standard packaging, subject to availability. Otherwise, 3-4 weeks.
Power Cable, Fire Rated Cable, Multicore Cable: 5-7 weeks

Note: Wires / cable production shall start only upon receipt of PO, color coding, confirmed cutting list, approved
technical data sheet (TDS), and required downpayment, if any. Thus, commitment count shall start only upon
complete submission of the foregoing requirements.
b) All request for extended delivery dates for orders already in production must be made in writing and are
subject to our acceptance.
c) As a rule, deliveries must be completed within three (3) months from the date of the Purchase Order. For bulk
orders requiring production lead time of more than 3 months, deliveries must be completed within one (1)
month from date of production completion. This means that the customer must accept deliveries within this
time frame. If deliveries are postponed, PDP reserves the right to demand full or partial payment to cover the
cost of the materials, and additional payment for the warehousing cost of the finished products as provided for
in Section VII.
d) While we will do our best to fulfill our commitments in respect to delivery dates, our committed dates agreed
with the customer are merely best estimates based on information available at the time that the order is made
and may thus change due to conditions beyond PDP’s control, among other factors. The customer agrees that
PDP does not guarantee the delivery date and incurs no liability whatsoever, including imposition of penalty, in
case of any delay in the committed delivery date.

VI. Validity
a) Our offer is valid within seven (7) calendar days from the date of the offer, after which the quoted price is
subject to our re-confirmation in writing. Acceptance of our offer must be made, also in writing, within the said
seven (7) day period. The customer’s PO/MPO/LOI/NOA must be issued to us within thirty (30) calendar days
from acceptance of the offer.
b) Production go-ahead must also be issued to PDP within three (3) months from receipt of PO/MPO/LOI/NOA
otherwise the price may change depending on the copper/aluminum price, or forex rate prevailing at the time of
production.
VII. Warehousing Charges
Warehousing charges for extended or deferred delivery dates shall be charged equivalent to 1/10 of 1% for every
day of delay but not exceeding 10% of the total value of the order.

VIII. Cancellation / Revision of Orders

a) Orders may be cancelled only upon approval of PDP. Cancelled orders shall be subject to a cancellation fee
equivalent to, at the minimum, 10% of the total value of the order, or forfeiture of downpayment, at the
discretion of PDP.
b) Revision of orders (i.e. cutting, color coding, size and cable construction) may be accepted for items that are
not yet started in production. However, for items where production has already started, revision will not be
accepted.

IX. Warranty Returns

Claims for warranty returns must be made in writing and should be accompanied by an actual photo of the
item/s to be returned. Warranty returns are subject to validation by an authorized PDP personnel. For items not
covered by warranty, PDP reserves the right to accept or reject any and all claims/requests for return of such
items. PDP will only accept returns of THHN sizes 1.6 to 8.0mm2 in standard packaging (boxes) provided that
these are in excellent condition, and cost of freight, trucking and other similar costs shall be for the account of
the customer. Other items are non-returnable.

X. Warranty
All supplied wires and cables are covered by warranty for a period of 12 months from the date of completion of
delivery. Any defective material or workmanship shall be repaired or replaced at no cost to the customer
provided that the product was used and installed properly. Our warranty shall be null and void if the customer
misuses the product. Further, our warranty does not cover fluctuation in voltage, damages due to the
breakdown of electrical equipment, or improper installation, testing and maintenance.
