Scope of Work
Like every other infrastructure that needs a good maintenance culture, your
CCTV SYSTEM is a Network Infrastructure and an electronic gadget that
comprises of both hardware and software, systems and devices that are plugged
to electricity 24hours and 365 days round the clock, that also needs some level of
maintenance to keep it in optimal tip-top condition based on standard practice.
As one of our numerous clients’, we propose to provide maintenance services that
range from debugging and troubleshooting to upgrading and replacing faulty
equipment when necessary to ensure we deliver the desired maintenance in return
on the invested asset to a quality outcome.

• Check that the system is fully operational.
• Check the public address linked into the camera to avoid IP address
conflict.
• Inspect all connections and correct defected devices or connections.
• Check that the central monitoring station are receiving footage from
communicating systems (camera).
• Adjust footage time and date display as required, and check equipment
settings.
• Proactive equipment and cabling check to avoid fault or failure and any
human intentional way of destroying any of the system units.
• monitoring of equipment workability to avoid power surge or overheating
that can interrupt the system from running optimally.
• Check that all camera bracket fixings and clamping bolts are tight.
• Cleaning of all camera lenses and housings where appropriate.
• Dust out any accumulated cobweb that may prevent the CCTV footage
from getting a clear footage.
• Utility check and running of disk defragmentation and registry/log cleaner
to avoid (LINUX) OS error or hard disk failure.
• Password check and change of system password when necessary to ensure
security system is not compromised.
• Advise on latest data protection and security features.
• Identify root cause of any perpetual error or fault for immediate and prompt
solutions.

CONTRACT
TERMS AND CONDITIONS
The Parties
This Contract (“The Contract”) shall legally bind (“The Consultant”) JADNET
TECHNOLOGIES and (“The Client”) Perfection Motors Company.
Contract Year
1st of April 2024 – 31st of March 2025
We agree that, if any of the Equipment or our workmanship for newly installed
systems is faulty while this contract is active, it will be repaired or replaced at our
expense, including all devices associated with the infrastructure with no extra cost
apart from the annual maintenance charges.
The annual maintenance charges include charges for all repaired and replacement
parts such as; batteries, SATA Hard Drive, cameras, Network Switch,
NVR/DVR, Adaptors, replacement of cables etc. With no extra charges. The
annual maintenance charges cover all visit, inspection and reporting any issues at
the time of inspection.
Any work required after the routine inspection is covered by the annual
maintenance charges while cost of upgrading or expanding the infrastructure will
be the responsibility of the Client.

The Client Obligations
The Client agrees to The Consultant or her workers full access to your Premises
to survey, measure, install, test and service the Equipment.
The Client will provide an adequate protective electricity supply for the
Equipment to operate under normal condition.
The Client must not interfere with, or allow anyone else to interfere with, adjust,
service or attempt to repair or reset the Equipment at any time while this contract
is active.
The Consultant needs to be informed of any changes in the layout of the Premises.
The Client shall be liable for the costs of any work, repairs or replacement of
Equipment which results from fire, storm, flood, natural accident, neglect, or
malicious damages.
Deposit
The Client will be billed with an Annual Invoice by The Consultant at the
inception of every contract year for the maintenance services to be rendered.
Equipment
All the equipment to perform the maintenance services, repair and replacement
will be the Consultant liability and shall not ask The Client for any
reimbursement after the Annual Invoice payment has been made for the contract
year.
Termination
Either The Client or The Consultant can terminate The Contract by giving not
less than two months’ written notice except where a fixed term contract applies.
If The Client wish to terminate The Contract with less than two months’ notice,
The Consultant reserves the right to charge the next year’s costs of any

monitoring charges. Where The Consultants wishes to terminate a fixed term
Contract before its expiry period, any remaining duration must be paid for in full
to The Client.
The Client may terminate this Contract should The Consultant breach any of its
conditions. This will not prejudice The Client’s right to reclaim the payment
outstanding
The Client reserves the right to remove logos, nameplates, motifs or any other
Consultant identity from the Equipment or premises.
Force Majeure
Any failure by The Consultant to fulfil any of its obligations under the terms of
This Contract due to reasons beyond its control shall not be considered a breach
of This Contract.
Application Law
The Contract is governed by the laws of the land of the Federal Republic of
Nigeria, as the case may be and each party submits to the jurisdiction of the courts
thereof.
Acceptance By Client
The Client undertakes and agrees to accept all of the terms and conditions stated
within this document IN FULL upon instructing The Consultant to proceed on
the Annual Maintenance Service.
