Proposal for Customs Advisory Services

As requested, we are pleased to submit this proposal to provide assistance in preparing an

application for MITA Prioritas to PT. Hyundai Motor Manufacturing Indonesia (The
Company), which is Mitra Sakti Sinergi’s clients. This document seeks to set out our
understanding of the requirements and scope of our works, our broad information requirements,
and fee arrangements.

Customs Advisory Services

Customs & Excise related services may be provided in various forms and include in assistance in
Customs & Excise Declaration Report, provision of customs & excise advice on specific customs
issues, customs & excise audit assistance, customs & excise diagnostic reviews and other
services as may be requested by the Company from time to time The following scope and fee
quotations pertain only to the provision of customs & excise consultancy services.

For the purpose of customs & excise consultancy services, we only focus on MITA Prioritas
Facility, where the application for obtaining customs & excise facilities must be submitted to
Directorate General Customs & Excise for approval.

Our fees for customs & excise consultancy and advice are based on the time necessarily spent
and the billing rates of the staff assigned to the engagement. Individual charge rates vary
according to the degree of responsibility involved and the experience and skill required.

Based on the above, PT. Mitra Sakti Sinergi has requested KHPP Eduar Muliawan to provide
advice on how to obtain MITA Prioritas Facility for its clients.

Scope of Work and Fees MITA Prioritas Facility

 You should prepare a power of attorney to Eduar Muliawan in the matter of MITA Prioritas
Facility.

 KHPP Eduar Muliawan & Rekan would accompany the Company to go through MITA
Prioritas Facility requirements to ensure that it has been prepared in accordance with the
existing regulations.

 We would then assess the information and advice you of the best way to provide such data.

 We would then assist with identifying what documents need to be delivered to the Indonesian
Customs Authority and review same to ensure the information is appropriate and consistent
with the stance the Company is adopting on any known issues;

 We would advise on the appropriate actions to be taken by the Company in accordance with
the Customs & Excise Law and relevant regulations in following the process laid down in the
Indonesian Customs Law as regards to MITA Priority Facility;

 We would argue the detailed points of law and practice with the MITA Priority Facility to
present the Company’s case and ensure that, as far as possible, the Customs & Excise Law
and regulations are conscientiously applied;

 We would attend meetings and coordinate with Internal Unit of the Indonesian Customs
Authority Headquarter such as Directorate Facility, Directorate Excise, Directorate
International, Directorate Customs Appeal, Directorate Information & Technology,
Directorate Customs Audit, Directorate P2, and or Directorate Customs Revenue & Strategic
Planning, if necessary.

 We would try to ensure that the regulations as regards to MITA Priority Facility are diligently
applied, especially as regards the rights and obligations of the Company.

It should be noted that the retrieving of files and the data gathering shall remain the responsibility
of the Company.

Prior Understanding on MITA Priority Facility Engagement

In appointing us as your customs & excise consultant who accompanying you for MITA Priority Facility,
prior understanding needs to be established:

1. There are certain provisions in the Indonesian Customs & Excise Regulations that are still subject to
various interpretations, and for which a definitive guideline has not been issued.

2. The structure, mechanism, and complexity of your business may be unique to the extent that it may
not yet be addressed in the current rules and regulations.

Given the understanding above, we will not be in a position to guarantee that the result of MITA Priority
Facility will be favorable to the Company. As such, you agree that you hold us harmless against any

claims and you agree that you hold us blameless in the event the result of MITA Priority Facility
application is unfavorable to you.

It should be noted that the retrieving of files and the data gathering shall remain the responsibility
of the Company.

The benefits of having KHPP Eduar Muliawan involved in the MITA Prioritas Facility
application process are that:

 We understand the Indonesian Customs Law and regulations as regards to MITA Prioritas
Facility.
 Minimize exposure to inappropriate conclusions and interpretations of the facts as we can
argue the Company’s case from a technical, legal and practical point of view.

Customs Consultancy

Our fees for customs consultancy are based on the time necessarily spent and the billing rates of
the staff assigned to the engagement. Individual charge rates vary according to the degree of
responsibility involved and the experience and skill required. Standard hourly billing rates for the
various levels of personnel during 2020 are as follows:

Fee Arrangement

For this particular engagement related to MITA Prioritas Facility, we estimate an indicative fee
of IDR 50.000.000. Should our time and cost materially exceed our estimated fee due to events
or reasons beyond our control and/or our agreed scope of responsibility, such as preparation of
the Company’s records and documents to meet the Customs Authority request, we will contact
you and discuss a possible fee revision.

The fees proposed are exclusive of 10% VAT and any out of pocket expenses which may be
incurred on your behalf, such as transportation and travel, telephones, faxes, courier,
photocopying, stamp duty, etc., which will be billed separately. Evidence of out-of-pocket
expenditures will be made available to you on request.

If for some reason after we begin our work you decide not to proceed with the engagement, we
would terminate our work and bill you only for our time at standard rates and expenses incurred
to that point in time (offset by any interim fees already billed and received). It is our
understanding that our fees are not contingent upon the outcome which may arise as a result of or
coincidental to the completion of our work on this assignment. We also reserve the right to
suspend work for non-payment of the fees by the Company.

Client Service Team

The assignment will be performed under the direction of Eduar Muliawan who will be
responsible for the delivery of services and execution of the engagement and will remains as your
prime contact. Other appropriately trained and experienced customs consultant and staff will be
assigned to the engagement as required and you will be advised accordingly.

Independence

The members of the team will be performing this engagement do not have any interest in and are
independent of the Company and undertake to arrive at our conclusions solely on the basis of our
field work and our professional knowledge and experience and judgment.

KHPP Eduar Muliawan and its member and staff are independent of the Company, their
shareholders and management and have no financial interest in the outcome of this transaction
except for the receipt of professional fees in the ordinary course of business.

Limitation on Liability and Indemnification

The Company agrees that KHPP Eduar Muliawan, its partners, principals, employees and agents
shall not be liable to the Company for any losses, damages, claims, liabilities costs or expenses in
any way arising out of or relating to this engagement. In no event shall KHPP Eduar Muliawan,
its partners, principals, employees, and agents be liable for consequential, special, indirect,
incidental, punitive, or exemplary loss, damage, cost or expense (including, without limitation,
lost profits and opportunity costs) except to the extent a liability arises out of gross negligence or
fraud by KHPP Eduar Muliawan, its partners, principals, employees and agents.

The limitation on liability and indemnification provisions of this engagement letter shall apply
regardless of the form of action, loss, damage, claim, liability, cost or expense whether in
contract, statute, tort or otherwise except to the extent that a liability arises our of fraud or gross
negligence. The agreements and undertakings of the Company contained in this engagement
letter, including without limitation, those pertaining to limitation on liability, and
indemnification, shall survive the completion or termination of this engagement.

Confidentiality

We shall keep confidential and not disclose or use any information provided pursuant hereto
except in relation to the performance of our duties under the engagement without your prior
written consent. This restriction does not apply to information which is already in our possession
through prior engagement by the Company is not subject to confidentiality obligation, which is
or becomes publicly available or available by any third party without restriction or breach of
confidential undertaking, or which is or becomes available to us without restriction or breach of
confidential undertaking from a source other than you or your representatives.

We may also disclose information to the extent required by order of any court or regulatory
authority of competent jurisdiction, but we shall give you to the extent practical under the
circumstances, advance written notice to permit you to contest the order.

We may disclose information furnished hereunder to any employee, representative or partner of

KHPP Eduar Muliawan in the course of his/her duties. We shall ensure that no such person shall
disclose or use such information except as provided herein. We shall not disclose this
engagement to any person without your prior written consent.

Confirmation of Engagement

We trust that the foregoing sets out the scope and terms for Customs Advisory Services is in
accordance with your needs. Should our proposal be acceptable to you, please sign and return a
copy of this proposal to us. If there are any aspects of this proposal that you wish to discuss or
clarify, please do not hesitate to contact us.
