ERMCO is pleased to provide our proposal for the scope of work on the above-mentioned project. Our proposal is
based on the following clarifications and a mutually agreeable contract:

SCOPE CLARIFICATIONS
 Provide and install (1) Aiphone JOS-1VW intercom system
o System includes the following:
 (1) JO-1MDW 7” touchscreen desk mount inside monitor
 (1) JO-DV video door station
 (1) PS-1820UL power supply
 All necessary cabling
 Programming of intercom and owner training included
 Security contractor will need to connect to access control panel to trigger electric strike to release door lock

GENERAL CLARIFICATIONS
This proposal includes:
 One Year Warranty

This proposal excludes:


 Bond – If required, add 1%
 Liquidated and Consequential Damages
 Dumpsters
 Overtime considerations – All work shall be performed on normal time
 Fire stopping or acoustical sealants
 Utility Fees and/or charges
 Patching or painting
 M/W/V Participation

This quotation may be considered firm for a period of fifteen (15) days, thereafter subject to review. This quotation is based on
a normal work week, Monday through Friday 7:00 A.M. to 3:30 P.M. (unless otherwise noted). This is a direct cost quotation. It
does not include potential impact costs or other expenses attributive to delays and/or additional time in connection with this
change, either individually or in conjunction with other changes. The rights to such compensation together with adjustments to
contract time are fully reserved. Retainage limited to amount specified in project documents. Progressive Payments implied
unless otherwise noted. Please note that no action will be taken until our office receives written authorization.
NOTICE: THIS PROPOSAL IS CONTINGENT ON A LACK OF FUTURE IMPACT BY THE ON-GOING
ESCALATION OF THE PRICES OF MATERIAL, EQUIPMENT AND/OR ENERGY. Given that the
construction industry has been and will continue to face unprecedented escalation in material
pricing as the world begins the rebound from COVID-19, and the possibility that the pricing of
materials, equipment and energy continues to escalate, ERMCO, Inc. cannot anticipate the
impact of the current increases in pricing. As such, ERMCO, Inc. will use its best efforts to
purchase the materials, equipment and energy in such a manner as to limit the impact of the
escalation. However, ERMCO, Inc. reserves its right to seek an equitable change order if
ERMCO, Inc. or its subcontractors and suppliers are unable to supply these products at the
same or similar costs as carried in their estimates. To the extent that the project is subject to
provable material escalation in pricing, we reserve our right to seek any such additional costs.

Bid Qualification
This proposal is contingent upon the impact or potential impact(s) of the current COVID-19 pandemic, all
of which being neither controllable nor foreseeable by ERMCO, Inc. ERMCO is unable to guarantee or
commit to a contract sum/price or proposed schedule/completion date without such contingency during
this dynamic and uncertain time. Until the pandemic has fully abated and contractors, subcontractors,
suppliers and other vendors are able to secure/provide firm pricing and commitments, ERMCO’s bid,
pricing and/or response to any request for proposal must be qualified as set forth herein. Additionally,
our proposal is based on the inclusion of the following language in our contract:

Epidemic Rider
If due to any contagion, including but not limited to COVID-19 (an “epidemic”), subcontractor’s work is
impeded by (among other things) (1) disruptions to material, labor and/or equipment supply; (2) Owner
or contractor restrictions or directives; or (3) compliance with public health and safety orders to combat
an epidemic; subcontractor shall receive an extension of time accordingly. If an epidemic results in an
increase in the price of labor, materials, or equipment used in the performance of subcontractor’s work,
the subcontract price shall be equitably adjusted to account for such increases, provided subcontractor
presents documentation of such increases and subcontractor’s reasonable efforts to find alternative
sources of material, equipment, or labor at lower prices.
