 ANNEXURE I – SCOPE OF SUPPLY
Scope of Supply: -

Supply of 1 # 150 Kw Heating capacity Water cooled Scroll chiller of Daikin Make model UWL
series suitable for R410a Environment friendly refrigerant as under,

Each Chiller package consists of,

- 3 No’s Hermetic Scroll compressors.
- High Efficiency Shell & tube Heat Exchanger.
- Water cooled high efficiency shell & tube condenser.
- Interconnected refrigerant piping, fittings, valves, for the above.
- Electrical Panel housing Starter.
- LCD controller.
- First charge of R-410a refrigerant and oil.
- Structural for mounting the above.
 ANNEXURE II-EXCLUSIONS, COMMENTS & DEVIATIONS
Exclusions :- The following Materials, supplies and/or activities are not included in our scope of
work and shall be arranged by purchaser:
1. All Civil works such as foundation/platforms/supporting structures for the chiller, breaking &
making good any walls, slabs, construction of pipe / cable trenches, etc
2. Any Electrical works such as MCC Annunciation Panel, Main incoming cable to the starter,
Power and control cabling, all Earthing, Cable trays etc. Interlocking and signal cabling of
plant manager and controls
3. Any plumbing works such as Chilled water and condenser water piping, flexible rubber
bellows, fittings, valves, pressure gauges, thermometers, flow meters, flow switches , Energy
meter , Ammeters, makeup water piping , BMS hardware / software , control cabling to
pump motor starters , field wiring for instrumentation outside chiller skid limits etc.
4. Any Air distribution works, duct insulation, Air handling units, Fan coil units.
5. Water pumps, cooling towers, water tanks, expansion tanks, etc.
6. Any Carpentry work such as doors, partitions etc.
7. Simulation of any load conditions at site or run tests.
8. Any instruments / meters required for testing the unit at site.
9. Any License or permit from Local / Semi – Government /Government bodies
10. Unloading – positioning & installation of chillers shall be arranged by contractor.
11. Storage and safe custody of material brought to site will be customer’s responsibility
12. Necessary secured and lockable premises for storage of equipments and tools free of charge.
13. Use of site facilities to be provided by you.
14. Any standby labor for erection and commissioning services.
15. Free Power & water for startup and commissioning of the chilled water system to be
provided by the purchaser inside the plant room at the chillers.
16. Any other item / work not mentioned in scope of supply / work.

Comments :-
1. The chillers finish shall be purely as per Daikin McQuay design and standard.
2. Microprocessor based control panel offered on our chiller shall be as per Daikin McQuay
standard. The safeties, controls, displays, diagnostics and service arrangements shall be as
per Dakin McQuay standard.
3. We have included only internal cabling in our scope and all other external power/control
cabling and wiring shall be in purchaser’s scope.
4. The proposed Scroll Chiller shall have DOL Starter.
 ANNEXURE III - Contract value, Commercial terms and conditions
Contract Value and Price Basis:
Supply Price:

Our Price for the supply of Daikin make water cooled scroll chiller model UWL series with R410a
Environment friendly refrigerant shall be

For 150 KW Heating Capacity : USD $ 9,300 per Chiller

Quoted prices are inclusive of Initial Oil & refrigerant charge for all chillers. Imported
chiller prices are CIF Chennai port basis. All import duties such as customs duties,
countervailing duties, special addl. customs duties and any other duties applicable on the
imported equipment will be paid by Purchaser. The customs clearance of the equipment,
transportation from port to site, octroi / entry tax, if applicable will be arranged by the
Purchaser.

Country of Origin : China

Start up Supervision and commissioning: Our charges for commissioning of screw chiller be
Rs.45, 000/- per chiller. Service tax @ 15% shall be extra or as applicable at the time of
Invoicing.
Unloading – positioning & installation of chillers shall be arranged by contractor.

Delivery period:
The estimated delivery period for material / equipment in our scope of work shall be 5-6 weeks
Ex-works Daikin McQuay China for Water Cooled Scroll Chillers from the date of receipt of 100%
TT.

Terms of payment:

Supply: 100 % drawn in favour of Daikin Malaysia Sdn Bhd, Malaysia.

All banking charges within India shall be borne by Purchaser. All Banking charges outside India
shall be borne by us. All LC confirmation and Amendment charges within and outside India will
be to your account. In case of issuance of LC without confirmation, then additional charges of
2% (Two percent) will be applicable on the quoted L/C import value, since the confirmation will
be done by the beneficiary. The validity of letter of credit shall be minimum 3 weeks beyond the
stipulated delivery period to take care of any unforeseen delays in delivery.

Commissioning: Order along with 100% advance.

Warranty clause: The warranty period shall be 12 months from date of commissioning or 15
months from date of supply, whichever ends earlier. Warranty clause shall be as per Daikin
McQuay’s warranty clause, mentioned in “terms & conditions” annexure for indigenous option &
shall be as per McQuay’s warranty clause, mentioned in “terms & conditions”

Validity: Our offer shall remain valid for your acceptance for 30 days from the date of this offer.
 Annexure V-Terms & Conditions of
Sale
Heating & Air Conditioning Products
Company: The Company as used herein shall mean AAF-McQuay Incorporated or one of its subsidiaries as elsewhere stated herein.

Price Policy: Prices of the goods may be increased depending on the date of release and/or shipment of the order, announced
increases in the Company's list prices, or increases in labor and material cost.

Terms of Payment: Terms of payment are subject at all times to prior approval of the Company's credit department. If at any time
the financial condition of the Purchaser or other circumstance affecting the credit decision, in the Company's opinion, does not justify
continuance of production of products or shipment of products on the terms of payment specified, the Company may require full or
partial payment in advance, or may at its sole discretion stop or delay production or shipment of products. In the event of default in
payment, Purchaser agrees to pay all costs of collection incurred by Company including but not limited to collection agency fees,
attorney fees and court costs. All past due amounts shall bear interest at the highest rate allowed by law.

Shipping Terms: All shipments will be made F.O.B. factory with freight as quoted. All shipments will be made via a low cost common
carrier and charges for special carrier services requested by the Purchaser shall be paid by the Purchaser. The Company may ship the
goods in one or more lots.

Claims: The responsibility of the Company for all shipments ceases upon delivery of goods in good order to the carrier. Since all goods
are shipped at Purchaser's risk, any claims for damage or shortage in transit must be filed by Purchaser against the carrier. Claims for
factory shortages will not be considered unless made in writing to the Company within ten (10) days after receipt of the goods and
accompanied by reference to the Company's bill of lading and factory order numbers.

Taxes: The amount of any present or future taxes applicable to the product shall be added to the price contained herein and paid by
the Purchaser in the same manner and with the same effects as if originally added thereto.

Cancellations: Accepted orders are not subject to cancellation without the Company being reimbursed for any and all expenses, and
indemnified by Purchaser against any and all loss.

Shipment Dates: Shipment dates are only estimates. No contract has been made to ship in a specified time unless in writing, and
signed by two officers of the Company.

Product Changes: In the interest of continuous product improvements, the Company reserves the right to change specifications
and/or design without incurring obligation.

Returned Goods: Goods may not be returned except by permission of an authorized Company official at Auburn New York, and when
so returned will be subject to handling and transportation charges. Authorized return goods must be shipped prepaid to the location
designated by the authorization. Return goods shall not be shipped to Auburn.

Limited Warranty: The Company warrants that it will provide free replacement parts in the event any product manufactured by the
Company and used in the United States or Canada proves defective in material or workmanship for a period of twelve (12) months
from initial start-up or fifteen (15) months from date of supply, whichever expires sooner. Goods not manufactured by the Company
but also sold under this agreement are warranted only to the extent that the manufacturer warranted them to the Company or directly
to the Purchaser.

The Company's liability to the Purchaser shall not exceed the lesser of the cost of correcting defects in the goods sold or the original
purchase price of the goods, and the Company shall not in any event be liable to buyer or third parties for any delays or special,
indirect, or consequential damages.

The Company's warranty does not apply to any goods which have been opened, disassembled, repaired, or altered by anyone other
than the Company or its authorized service representative or which have been subjected to misuse, misapplication, or abuse. The
Company is not obligated to pay any labor or service costs for removing or replacing parts, or any shipping charges. Refrigerants,
fluids, oils, and expendable items such as filters are not covered by this warranty. This parts warranty and any optional extended
warranties are granted only to the original user. Company's duty to perform under any warranty may be delayed, at Company's sole
option, until Company has been paid in full for all goods purchased by Purchaser. No such delay shall extend the warranty period.

For additional consideration the Company will provide an extended warranty (ies) on certain goods or components thereof. The terms
of the extended warranty(ies) are shown on the extended warranty certificate(s).

This warranty constitutes the Purchaser's sole remedy. It is given in lieu of all other warranties, express or implied.
There is no implied warranty of merchantability or fitness for a particular purpose. In no event and under no
circumstances shall the Company be liable for incidental or consequential damages, whether the theory be breach of
this or any other warranty, negligence, or strict tort.

The Company must receive a start-up information report for goods containing motor-compressors and/or furnaces. The
registration/start-up form must be completed and returned to the Company within ten (10) days of original equipment start-up or start-
up date and ship date will be deemed the same for warranty determination.

No person (including any agent, salesman, dealer or distributor) has the authority to expand the Company's obligation beyond the
terms of this express warranty, or to state that the performance of the product is other than published by the Company.

Terms of Sale: Sale of goods covered hereby to Purchaser is made solely on the terms and conditions set forth herein,
notwithstanding any additional or conflicting terms and conditions that may be contained in any purchase order or other form of
purchase, all of which additional or conflicting terms and conditions are hereby rejected by the Company unless agreed upon in writing
and signed by an officer of the Company. No waiver, alteration or modification of the foregoing terms and conditions shall be valid
unless made in writing and signed by on officer of the Company.In particular and without limiting the foregoing, notwithstanding
anything to the contrary in Purchaser's purchase order or any other documents, the Company does not accept any order subject to
project design and specifications. Purchaser agrees to accept full and sole responsibility to determine
whether the product ordered by Purchaser meets the design and specification requirements of any project.

Canada: For additional Canadian terms and conditions please refer to the Canadian terms and conditions on the Canadian quote form.
Such Canadian terms are expressly incorporated herein for sales made in Canada.
