In consideration of the promises and mutual covenants & obligations hereinafter set forth, the parties
hereto agree as follows:

1. CONTRACTOR agrees that once he is confirmed for this client, for a period of one year from the
date of signing of this agreement, the CONTRACTOR including its branches in the USA, its affiliates and
associates will not solicit or accept business or accept employment from the client(s) or the client(s) of
the client(s) (together called “Clients” hereafter) introduced by COMPANY whether it be for
compensation or not, or assist any person or entity to provide and/or offer to provide any services to
the Clients, other than through COMPANY, unless the CONTRACTOR has an agreement with the Clients,
executed prior to the date of this Agreement and provides proof thereof to the COMPANY. (For this
current project from this client).

2. The VENDOR and CONTRACTOR agree not to employ or offer to employ any employee of each
other without the written consent of the other party for a period of one year from the date of signing of
this agreement.

3. The CONTRACTOR shall not use or disclose to anyone any confidential information regarding the
Clients, learned during discussions prior to and/or during the performance of services, without written
permission, or, until such information becomes a matter of general knowledge.

4. The CONTRACTOR shall present only its legal full time employees (hereafter called “Candidates”)
to COMPANY and shall provide proof thereof to COMPANY.

5. It is further agreed that CONTRACTOR will hold its employee available exclusively to the
COMPANY for a period of 48 hours from the time of the final end-client interview. If COMPANY does
not confirm the assignment within that 48-hour period then COMPANY shall not have any binding
“exclusive hold” on Consultant.

6. Any breach of any provision of this Agreement by either party and/or its personnel entitles the
other party to recover from the breaching party, damages and injunctive relief. If any party is successful
in recovering damages or obtaining injunctive relief, it is agreed that the breaching party shall be
responsible for paying all of the prevailing party’s expenses in seeking such relief, including all costs of
bringing suit and all reasonable attorneys' fees.

7. Any controversy or claim arising out of or in relation to this contract, or breaches thereof, shall
be settled by arbitration administered by the American Arbitration Association in accordance with its
Commercial Arbitration rules, and judgment on the award rendered by the arbitrator may be entered in
any court having jurisdiction thereof. This agreement shall be governed by and interpreted in
accordance with the laws of the State of NC.

8. Once the rate for service, location of service and duration of service are confirmed by mail or fax,
there should be no negotiations regarding any of the above entities, once the Vendor has received the
Purchase Order. Payment terms are Net 35 from the receipt of monthly Invoice.

9. Start Date: Once the start date of the assignment has been confirmed in the paperwork, the
Contractor agrees to abide by this date and ensure that the vendor’s consultant adheres to this date.
The Vendor understands that if for any reason the consultant does not/ cannot start on the date
required by Torque’s Client, this would be a cause for loss of goodwill with the client.

Each of the signatories to this agreement acknowledges that he/she has authority to sign the agreement
on behalf of the company whose name appears below. In witness thereof, the parties have executed
this agreement the day & year written above
