SCOPE OF WORK

1. The Mess Service Provider has to provide quality, healthy and hygienic
breakfast, Lunch, dinner and Evening Bites (Weekends) in compliance
to FSSAI guidelines to approximate 250 students of NID AP on all days
of the month (including public holidays/weekends in the Mess as per
the attached (Annexure-I) Menu (including GST) per student per month
for a period of one year at NID AP permanent campus located at
Amaravati, Sakhamuru – Village, Thulluru Mandal, Guntur Dist.
Andhra Pradesh - 522237.

2. You shall be provided kitchen equipment’s listed in Annexure-II by the


institute which should be used for running catering services at NID
Andhra Pradesh in addition to the equipment’s to be arranged by you.
You shall have to pay a nominal monthly rental charge of INR 13,000/-
per month towards usage of the listed Kitchen items.

3. You need to provide mess services to the students at the Mess/Dinning


area of the campus on all days including public holidays and weekends
and as per the requirement of NID Andhra Pradesh from time to time at
the below mentioned timings. At present, the student strength of the
institute is approx. 250 and staff strength is around 50 Nos.
Breakfast : 7 am to 9 am
Lunch : 1 pm to 2 pm
Dinner : 8 pm to 9 pm
Evening Bites : 5:30pm to 6:00pm (on weekends)

4. The Institute may indicate the requirement for catering service if there
is a schedule for Seminar/ Training/ Symposium/ Workshop/
programmes etc. for more number of participants than normal 12 hours
in advance which need to be fulfilled by the Mess Service Provider.

5. Special Food has to be prepared and supplied by the Mess Service


Provider as and when directed by the Institute for its official meetings/
special gatherings/ Programmes/Festivals etc. The rates for such menu
shall be finalized on mutual consent with the existing rates.

6. In order to cater to any specific meal requirement arising during the


contract period the Mess Service Provider will cater to the specific
requirement within the said rates.
Quality of Food & Mess Services:
1. The Mess Service Provider shall ensure that the articles of food satisfy
the requirements of Food Safety & Standard Act 2006 and the rules and
regulation made thereunder at all stages starting from procurement of
raw material, processing, preparation and serving to the eaters.
2. Quality of the food is essence of the contract and any compromise or
contamination or adulteration in the food quality will result in
termination of contract. Quality provisions stipulated in the Contract
Agreement are to be strictly followed and any deviation will lead to
forfeiture of Performance Bank Guarantee and termination of the
contract.

3. The quality of articles of food & provisions shall be of good standard. All
food ingredients used in the preparation of food as per menu should be
FSSAI registered and/or of popular brands only as per Annexure-III.

4. The Mess Service Provider shall ensure separate preparation and


serving of vegetarian and non-vegetarian meals and shall keep them in
food warmers.

Penal Provisions & Liquidated Damage Clauses:

1. You will be responsible to maintain the property, premises, equipment


and other articles supplied by the NID AP in good condition. In case of
any damage, you will be responsible to compensate or carry out the
repairs without any delay to avoid any interruption in service. Cost of
repairs shall have to be borne by you. In case of theft or damage, you
will replace items lost, broken or damaged with items of the same
quality at his own cost and expense. The decision of the Authorized
Officer shall be final and binding on you.

2. If you fails to deliver any or all of the items or to perform the Services
within the period(s) specified in the Contract, the Institute shall,
without prejudice to its other remedies under the Contract, deduct from
the Contract Price, as penalty, a sum equivalent to 1% of the contract
value per week and the maximum deduction is 10% of the contract
value on account of non-performance or defective performance for each
week or part thereof of delay until actual delivery or performance takes
place. Once the maximum ceiling of above penalty is reached, the
Institute may consider termination of the Contract. Further, the
Institute reserves the right to impose financial penalty to be deducted
from the monthly bill for habitual shortcomings in desired services and
for violation of any other condition which may lead to non-performance
of contractual obligations. In addition, other penalties as stated in the
Contract Agreement shall be applicable and deemed to be integral part
of this contract.

Billing & Payment Terms:


1. You shall prepare monthly bill and submit to Chief Administrative
Officer, NID Andhra Pradesh by 7th of every month. Monthly payments
will be released within 10 working days from the date of submission
unless any disputes exist and upon a satisfactory certification by the
concerned authorized Officer of the Institute. The billing shall be based
on the attendance of students but irrespective of
breakfast/lunch/Evening Bites/dinner etc. availed by the students.

2. NID Andhra Pradesh will pay the monthly mess charges after deducting
all monthly rental charges for usage of Kitchen equipment’s, Electricity,
Water, rent and all the applicable taxes per month. You are required to
maintain a coupon system/ mess card for proper and orderly running
of mess. The Institute authorized official(s) will be approving the menu
from time to time within the overall item rate if the given menu is
required to be modified.

3. The Mess Service Provider shall pay the GST amount to the concerned
authority.

4. No Advance Payment will be made for the service. The Payment will be
made only after satisfactory completion of work and as per terms and
conditions of the contract.

Statutory Liability:
1. You are required to enter and execute an agreement in the attached
format and contents on a Non-judicial Stamp Paper of Rs.100/- within
seven days of acceptance of the order and all costs/charges/ expenses
including the stamp duty in connection with the contract agreement
and notarization of the same shall be borne by you. All the obligations
and responsibilities stated in the Agreement shall be your responsibility
and violation of the same shall lead to termination of the contract.

2. All statutory and legal obligations including compliance of labour


laws/FSSAI/Govt. of India guidelines applicable for this Mess Service
shall be your responsibility and NID AP shall under no circumstance be
responsible for the same and in case of any loss/penalty occurs to NID
AP out of this contract the same shall have to be
compensated/indemnified to NID AP by you.

3. You shall comply with various provisions of the contract labour


(Regulation and Abolition) Act 1970 and rules framed thereunder from
time to time. You shall comply with provisions of other laws such as
Minimum Wages Act 1948, EPF Act, ESI Act, Employee’s Compensation
Act 1923 and other labour Laws as applicable from time to time. In
case, the institute is required to incur any expenses/liability as a
Principal Employer due to the lapses on your side in following the
provisions of laws, the institute shall recover the same from you/ your
bill. You shall maintain muster rolls, wages registers, identity cards,
forms and other records as required under the various Labour Laws
and submit same to the Chief Administrative Officer, NID AP for
verification.
Termination Clause:
1. The contract of Mess Service may be terminated in any of the following
contingencies: -

a. On the expiry of the contract period, without any notice.


OR
b. On giving one month notice at any time during the tenure of
contract by NID AP, in case the goods or services rendered by the
Mess Service Provider are not found satisfactory in conformity
with the terms and conditions of the contract and the standards
prescribed by the Institute or in case of deficiency in the quality
of food.
OR
c. Failure to perform the given Scope of Work or on violation of any
of the stipulated terms and conditions, without any notice
OR
d. In the event the Mess Service Provider being declared insolvent
by the competent court of law/authority, without any notice.
OR
e. The contract can be terminated without any reasons by giving 3
(Three) months’ notice from your side or on 1 (One) month notice
by NID AP. In case it is found that the quality of the food served
is not of good standard or usage of poor-quality raw material is
made or food poisoning or any contamination or adulteration is
found or found to be unhealthy to the eaters, NID AP reserves the
right to terminate the contract immediately without any notice
and financial obligation to NID AP. On termination of the contract,
you will hand over all the equipment/articles as supplied by the
NID AP in good working condition to NID AP.

2. That on the expiry of the contract, unless extended formally or


termination of the contract by any parties, the Mess Service Provider
will withdraw all its personnel and clear their accounts by paying them
all their legal dues and NID AP shall not be responsible for their
dues/obligation/claims in whatsoever manner.
Dispute Resolution Jurisdiction:
1. All differences and disputes arising out of or in connection with this
order/ contract shall be settled by mutual discussions and
negotiations. if such disputes and differences failed to be settled and
resolved by discussions and negotiations then the same shall be
referred to the sole Arbitrator appointed by the Director, NID AP whose
decision shall be final and binding on both the parties. This contract is
subject to Guntur Jurisdiction only and in case of any dispute
unresolved as per above process, the provisions of the Arbitration and
Conciliation Act 1996 shall be invoked and failing to which only Guntur
District Courts will have jurisdiction.

All other terms and conditions which are not specified here shall be as per the
Agreement/GeM Bid during the period of contract and compliance of the same
will be binding on your part. The violation of any terms & conditions of this
order and Agreement will entail the cancellation of contract without owing any
resulting liability to NID AP.

Draft Agreement
AGREEMENT

This agreement is made on the ………. day of XXXXXX 2023 between


National Institute of Design, Andhra Pradesh (hereinafter called “the
Institute”) of the First Party and ……………………………………………..
(hereinafter called “the Mess Service Provider”) of the Second Party.

Whereas the Institute invited e-bids for providing mess services to students
of National Institute of Andhra Pradesh at its permanent campus located at
Amaravati Region of Guntur District i.e. Sakhamuru – Village, Thulluru
Mandal, Guntur Dist. Andhra Pradesh - 522237, (Beside VIT - AP). Initially
the contract will be awarded for one year. The period may be further extended
depending on the satisfactory performance as per terms & conditions of the
Work Order ……………………. dated ………………. The Mess Service Provider
has accepted the Work Order vide its acceptance letter dated ____________ for
providing and facilitating Mess Services on annual contract basis as per
agreed rates, terms and conditions of the contract therein.

This agreement shall be effective from ………………….. and shall be valid till
……………………., that is for a period of one year.

NOW THESE PRESENTS WITNESS AND THE PARTIES HERETO AGREE


HEREBY AS FOLLOWS:

That the NID AP hereby agrees to engage the Mess Service Provider to ensure
for providing Mess services on mess services to students at National Institute
of Andhra Pradesh at its permanent campus located at Amaravathi Region of
Guntur District i.e. Sakhamuru – Village, Thulluru Mandal, Guntur Dist.
Andhra Pradesh - 522237, (Beside VIT - AP). for a period of One year initially
w.e.f. XX.XX.2023 and extendable annually up to a maximum of another two
years on annual basis depending on the satisfactory performance with the
Scope of Work covered in the provisions to this effect.

1. The Mess Service Provider assures to provide Mess Services at NID AP


(Permanent campus) to the Order with the Scope of Work provisioned
in the bid, Work Order and the provisions of this Agreement and as
per requirement of the Institute from time to time.

2. Quality Maintenance: The quality of raw materials used for cooking


should be of reputed brand. The Mess Service Provider shall ensure
that the articles of food satisfy the requirements of Food Safety &
Standard Act 2006 and the rules and regulation made there- under at
all stages of procurement of raw material, processing, preparation and
serving to the inmates. The quality of articles of food & provisions shall
be of good standard. All food ingredients used in the preparation of
food as per menu should be FSSAI registered and/ or of popular
brands as per Annexure – II. All perishable food items (vegetables,
fruits, paneer, non-vegetarian foods etc.,) shall be of 1st class Quality
and /or FSSAI registered. Materials known to be harmful to health in
general and as decided by the Institute from time to time such as food
coloring, soda, ajinomoto etc. shall not be used. Any contamination of
food shall attract severe penalty as levied by the Competent Authority
of NID AP. The Mess Service Provider shall not be entitled to serve pre-
cooked food items purchased from an outside vendor except items like
Mineral Water, Sweets, Ice-creams, in the mess premises quality of
which shall be the responsibility of the Service Provider for all
purposes. The Service Provider shall use all raw materials of best
quality available in the market and in case it is found that any service
or any item is substandard, the Institute will be at liberty not to make
any payment for that entire service or make appropriate deduction
from the bills at its discretion and terminate the contract immediately
without any financial obligation to the Institute. The Service Provider
must ensure to arrange hygienic cooking, proper handling by
cooking/catering staff and efficient and neat & clean service. Kitchen
to be cleaned by the Service Provider’s staff every day without fail and
garbage to be taken out to Corporation Vat by the service provider
staff. The Mess Service Provider shall formulate his catering plan in
consultation with a reputed nutrition consultant in order to ensure
maximum nutrition to the students of growing age while ensuring
affordable prices & highest quality parameters. The quality and
quantity of food will be inspected item-wise by the authorized
officials/team frequently and the Mess Service Provider shall not deny
access for such inspections. The Mess Service Provider shall procure
food articles and vegetables of good quality to the satisfaction of the
Mess committee. The Mess committee shall have the right to change
any brand of material used for cooking, provided the cost of the same
does not exceed the cost of specified brand. The food shall be cooked,
stored and served under hygienic conditions. The Mess Service
Provider shall ensure that only freshly cooked food is served and the
stale is not to be recycled. Stale food shall not be in the campus for
not more than four hours. The solid waste has to be managed by the
Mess Service Provider as per Solid Waste Management Rules 2016 with
no extra cost paid. The oil that remains from deep frying at the end of
the day shall have to be removed from the premises and shall not be
allowed to be recycled for the purpose of cooking again.

3. Infrastructure: The Mess Service Provider shall deploy sufficient


equipment, utensils & crockery and other items normally required to
cater to at least 250– 300 persons at a given time. The Mess Service
Provider shall not use plastic cups and plastic carry bags and the Mess
Service Provider shall give an undertaking to use environment friendly
material only for serving coffee, tea and for packing / carrying of food
items. The Mess Service Provider shall supply Breakfast, lunch, Dinner
and Evening Bites (Weekends) on all days in mess only. Sub-
contracting of the contract shall not be permitted for any of the items.
If the quantity of the food prepared does not meet the requirements of
the students, the Mess Service Provider shall have to prepare the
required quantity of the same food within the limited time or will
provide it from other restaurants of good quality. Mess Service Provider
shall engage energetic and skilled trained personnel between the age
group of 20-50 and preferably English/Hindi/Telugu speakers. If any
person is not suited to the duty, the Mess Service Provider must
replace such person immediately. List of staff engaged by the Mess
Service Provider shall be provided to NID AP. On termination of the
agreement, the Mess Service Provider will hand over all the
equipment/articles as supplied by the NID AP in good working
condition to NID AP. The Mess Service Provider while carrying out the
work shall take care of fitting fixtures, furnishings so as to not cause
any damage. Any damages done to the same or any other property will
have to be repaired/replaced/compensated by the Mess Service
Provider, failing which the same will be done at his risk and cost of the
Mess Service Provider. The decision of the Designated Officer of NID
AP in this regard shall be final and binding on the Mess Service
Provider. The Mess Service Provider shall be fully responsible about
the conduct of his employees, dress code and shall ensure that their
behavior with the students / residents, supervisors, officers is always
good and cordial. In case the conduct or efficiency of any person
employed by the Mess Service Provider is found unsatisfactory, the
Mess Service Provider shall remove the person concerned and engage
a new one within (48) hours of intimation. The decision of the
Designated Officer in this regard shall be final and binding on the Mess
Service Provider. NID AP shall not provide any mode of transport in
respect of men or material required for the contract. The Mess Service
Provider shall not tap any fire hydrant / water point for obtaining
water for his work without obtaining prior approval/ permission of the
Designated officer/occupant concerned. The Mess Service Provider
shall ensure that either he himself or his representative is available for
proper administration and supervision at the works. The Mess Service
Provider shall have to maintain the equipment at his cost and has to
rectify, repair & restore the equipment to the normal stage as at the
time of handing over.

4. Special Conditions: The Mess Service Provider shall deploy a Mess


Manger and sufficient number of staff for cooking and serving of food
in the Mess of NID AP. Before awarding the work, headcount of
manpower to be deployed for each category of work shall be provided
to NID AP with wage component to establish service sustainability. The
Mess Service Provider shall verify character, antecedents of mess
service personnel/employees before deployment in NID AP campus.
The staff engaged by the Mess Service Provider will be solely under his
control and discipline and in case of termination of the contract, the
Institute will not be liable for loss or damage, if any, caused to Mess
Service Provider or his employees. The Institute will not also be liable
in case of services of any of the employees dispensed with by the Mess
Service Provider. The Menu may be changed every 2 or 3 months with
the permission of the competent Authority and as agreed by the Mess
Service Provider within the overall limit of awarded rate. In case of any
accident to the personnel employed by the agency, the agency alone is
liable to pay employee’s compensation and any other statutory dues or
payments within 24 Hours and NID AP is not liable for any payment
of such kind. All statutory obligations under various laws from time to
time will have to be complied by the Mess Service Provider for which
no extra payment shall be made at any time during the contractual
period. NID AP in no case is liable or responsible for payment of wages
or depositions of statutory dues like EPF/ESI etc. or any other
obligations of the Mess Service Provider. The Mess Service Provider
shall comply with all other provisions with regard to persons employed
by him and the Institute shall not be liable for any lapses in this
regard. NID AP reserves the right to ask the Mess Service Provider for
taking immediate steps to remove any person deployed by the Mess
Service Provider without assigning any reason or notice.
5. Penal Provisions: If the Mess Service Provider fails to deliver any or
all of the Goods or to perform the Services within the period(s) specified
in the Contract, the Institute shall, without prejudice to its other
remedies under the Contract shall in addition to the penalty
mentioned in the Work Order reserves the right to impose financial
penalty to be deducted from the monthly bill for habitual shortcomings
in desired services and for violation of any other condition which may
lead to nonperformance of contractual obligations. The quantum of
penalty in addition to any other penalty shall be as follows:

Further, in case of a Food poisoning case, the Institute shall levy fine along
with cancellation of contract and possible debarring/blacklisting of the Mess
Service Provider. For any rule stated in the agreement, the first violation of
the rule implies fine as per the rule. Second and subsequent violations of the
same rule on a different day within 30 days of previous will attract 5 times
the initial amount of fine on the Mess Service Provider. As and when a fine is
imposed, it shall either be paid immediately or recovered from the monthly
bill of the Mess service provider. In case of gross failure/negligence any other
severe penalty shall be imposed, which could be a hefty fine as cash and/or
summary termination of the contract.

Above terms & conditions are in addition to those stipulated in the Award of
Contract and NIT. NID AP reserves the right to include any other conditions
in the letter of award to protect the interest of the institute

VALIDITY:

This agreement is valid from XX.XX.XXXX to XX.XX.XXXX
