TERMS OF TRADE
1 GENERAL—SBT CO., LTD. (SBT) deals according to only
these terms of trade (terms). These terms govern all
transactions except where SBT signs a separate
written contract with you. If SBT signs a contract with
you, that contract will prevail wherever that contract
and these terms differ.
2 NON-ENGLISH TERMS—Only the English version of
these terms is authoritative. Non-English translations
are inoperative and intended for only convenience.
3 PRICING AND SALE—Cars are priced in currencies
EUR, GBP, JPY, or USD. Ownership title remains vested
in SBT and will not pass to you until full payment. SBT
retains a security interest in cars to secure amounts
due the carrier, customs, and government authorities,
and you authorize any filings and acts necessary to
perfect the security interest.
4 PAYMENT—Payment is due by the due date stated on
the invoice and deemed paid on SBT’s receipt of your
electronic funds transfer. Any returnable funds will be
refunded to only the originating bank account. Bank
charges are not included in the invoice price, and all
transaction costs are payable by you.
5 DELIVERY AND SHIPPING—After full or part payment,
SBT books shipping subject to carrier’s terms. The
place of delivery is carrier’s facility. Risk of loss passes
to you on carrier tender. Shipping schedules are
controlled by carriers, and SBT will not be liable for
carrier delay, error, or nonperformance. You must
comply with applicable import regulations, including
limits to car age, class, and drive side. SBT will not be
liable for noncompliance or denied entry, and you
shall indemnify SBT’s liability as shipper for an out of
regulation order. On POD arrival, SBT advises
checking and refilling engine oil, radiator coolant,
and other consumables.
6 DOCUMENTS—Original transportation documents are
released and sent to you only after full payment. You
must pay fully and on time for processing and
sending before POD arrival. SBT will not be liable for
loss arising from damaged, delayed, erroneous, lost,
non-amended, non-issued, or retained documents.
7 NONPAYMENT AND CANCELATION—If you fail to pay
SBT the full invoice price by the due date stated on
the invoice, the car will be deemed unpaid. SBT is
entitled to possession of and may resell an unpaid
car, and notwithstanding any specific tender by you,
SBT may reallocate received payments to unpaid cars
at its discretion. After SBT books shipping the order
becomes noncancelable. If you fail to complete full
payment after SBT books shipping, you will forfeit
any part payment.
8 LIMITED LIABILITY—SBT will not be liable for more
than the invoice price of the subject car(s);
consequential, indirect, or punitive damages; or lost
business, profit, or use.

9 NONPARTY PROVIDERS—Nonparty service providers,
including banks and payment processors, carriers,
and postal couriers, are not related to or controlled
by SBT, and SBT will not be liable for loss arising from
their use; to a car in nonparty custody; or for
nonparty delay, error, or nonperformance.
Occasionally, nonparty-provided year/month of
manufacture and registration information is wrong.
You rely on year/month of manufacture and
registration information at your own risk.
10 WARRANTY—SBT offers cars as is and disclaims
implied warranties, including of fitness for buyer’s
purpose and merchantability. SBT warrants only that
cars match descriptions, and SBT will not be liable for
disclosed defects. A claim for an undisclosed defect
must be submitted by seven days after POD arrival or
is deemed waived and barred. Supplemental marine
cargo insurance is available through “SBT’s Insurance”.

11 ANTICORRUPTION—SBT complies with the Japan
Unfair Competition Prevention Act, OCED Convention
on Combating Bribery of Foreign Public Officials, and
other anti-corruption applicable law. Any
contravening transaction is prohibited.
12 ANTI-SOCIAL FORCES—SBT never deals with organized
crime and takes measures to prevent anti-social
transactions, including screening business partners
for anti-social affiliations and including terms
excluding anti-social forces in procurement and sales
contracts. Any contravening transaction is prohibited.
13 DATA HANDLING—SBT complies with the Japan Act
on the Protection of Personal Information, Act on the
Use of Social Security and Tax Number System, and
other data-handling applicable law and handles
subject data according to SBT’s Privacy Policy
accessible at www.sbtjapan.com/privacypolicy.
14 SECURITY EXPORT CONTROL—SBT complies with
Japan Foreign Exchange and Foreign Trade Act
restrictions on payments to sanctioned countries,
sanctioned individuals, or for embargoed goods, viz.
weapons and nuclear materials. Any contravening
transaction is prohibited.
15 INACTIVE CUSTOMER ACCOUNTS—If more than four
years have passed since your last transaction, SBT
may confiscate any leftover funds in your SBT-
customer account, but if you request in writing, SBT
will restore confiscated funds.
16 MISCELLANEOUS—A forbearance in exercising or
requiring satisfaction of a provision, act, omission,
course of dealing, or course of performance will not
waive a right, remedy, or condition. SBT may initiate
legal procedures in any jurisdiction to enforce these
terms, and you consent to jurisdiction and venue in
the courts of Japan. If part of these terms is held
unenforceable, the rest remains effective as written
except where held unenforceable.
17 ENGINE NUMBER—For units lacking engine numbers,
SBT may cancel shipping without prior notice to you.
