Mutual Non-Disclosure Agreement

This Agreement is effective as of the later date set forth below and is entered into by and between
the Arms & McGregor International Realty®, Tecom, Smart Heights, Dubai, UAE Office# 501, ORN: 12283, Tel: +97144533317(including his/its
successors-in-title- its affiliates any of the partners involved or any referred individual or entity).
And the second party mentioned in the agent to agent agreement (including his/its successors-in-title- his affiliates any of the partners involved or any
referred or referring individual or entity).
The parties (each a “Party” of together the “Parties”) agree as follows:
1. Confidential Information. For the purposes of this Agreement, “Confidential Information” shall mean information or material that is confidential
and proprietary to a Party. Confidential Information includes, but is not limited to, the following types of information and other information of a similar
nature: available to rent or to lease properties, properties’ owners information, designs, specifications, customer lists, interested clients, and other
similar information which, at the time of disclosure, is designated as confidential, is disclosed in circumstances of confidence, or would be understood
by the Parties, exercising reasonable business judgment, to be confidential.
2. Disclosure and Use Restrictions. Any Confidential Information received by a Party shall be retained in confidence and disclosed only to
personnel of that Party with a need to know. The receiving Party shall use the reasonable care, to prevent the unauthorized use, dissemination or
publication of the Confidential Information. The receiving Party is restricted from renting or buying any property that has been offered by the other
party through any other third party, real estate broker, real estate agencyor directly from the land lord.
The Parties acknowledge and agree, that a breach of this Agreement may result in irreparable and continuing harm to the disclosing Party for which
there may be no adequate remedy at law. In the event of a breach or a threatened or intended breach of this Agreement by a receiving Party, the
receiving Party hereby consents to the granting of, and the disclosing Party shall be entitled to seek, a penalty amount in United Arab Emirates Dirhams
that is determined reasonable by the disclosing Party.
2.1. Transactions: The receiving party shall not take forward any transaction with any party introduced by Arms & McGregor International Realty
except through Arms & McGregor International Realty. Arms & McGregor International Realty shall be entitled to a fee of 5% with a minimum
500,000 AED in the event a transaction takes place without the knowledge or not through Arms &McGregor International Realty.
3. Exempting Provisions. Neither Party shall be entitled to any exemption of the obligations restricting disclosure and use set forth in this
Agreement with respect to Confidential Information, or any part thereof, even if : (a) was known by the receiving Party prior to disclosure;
(b) was lawfully in the public domain prior to its disclosure, or becomes publicly available other than through a breach of this Agreement;
(c) was disclosed to receiving Party by a third party, provided such third party or any other party from whom such third party receives such information
is not in breach of any confidentiality obligation in respect of such information; (d) is independently developed by the receiving Party.
4. Duration. This Agreement shall apply in respect of discussions and disclosures of information occurring during the period of one (1) year following
the date of execution of this Agreement. The period of confidentiality and restricted use for each disclosure of Confidential Information shall be five (5)
years from the date of disclosure.
5. General. This Agreement will be governed by and construed in accordance with the laws of the United Arab Emirates. The failure of a Party to
enforce at any time or for any period of time any of the provisions of this Agreement shall not constitute a waiver of such provisions or the right of that
Party to enforce each and every provision. A waiver of a failure to comply hereunder shall be affectedonly in writing, signed by the waiving Party, and
shall not constitute a waiver of any other failures to comply hereunder. This Agreement may not be assigned in whole or in part by either Party without
the prior written consent of the other Party. This Agreement constitutes the entire agreement between the parties with respect to the subject matter. All
additions or modifications to this Agreement must be made in writing and must be signed by an authorized representative of each party. The Parties
agree to comply strictly with all applicable export control laws and regulations (if applicable).
IN WITNESS WHEREOF, the Parties by their duly authorized representatives have executed this Agreement as of the respective dates set out below:
