FORM OF CONTRACT

This CONTRACT is entered into

Between

DAR PETROLEUM OPERATING COMPANY

A company incorporated under the laws of the Mauritius and having its office at Plot No 163A, Block No. 5,
Rock City Road, Hai Jebel, Juba, Republic of South Sudan. (Hereinafter referred to as “DPOC”)

OF THE FIRST PART

And

……………………………………………………….....(Hereinafter referred to as “CONTRACTOR)

OF THE SECOND PART

(Hereinafter the parties of the first and second parts shall be referred to singularly as “Party” and collectively
as “Parties).

Whereas: DPOC is engaged in the exploration and production of hydrocarbon in Blocks 3 & 7, and requires
for such operations specialized equipment, services and personnel of the type offered by
CONTRACTOR, and CONTRACTOR desires to furnish such services and personnel (hereinafter
referred to as “SERVICES”).

Whereas: CONTRACTOR represents that it is able and willing to provide the aforementioned SERVICES
and that it has the experience and capability to do so expeditiously.

Now, therefore, for and in consideration of the mutual covenants and agreements set forth herein, the Parties
hereto agree as follows:

1. In this CONTRACT, words and expressions shall have the same meaning as are respectively assigned
to them in the TERMS & CONDITIONS of CONTRACT herein referred to.

3. Should any actual conflict or conflicts exists between or among the CONTRACT documents, the first in
the following order shall take precedence and prevail:

4. In consideration of the payments to be made by DPOC to CONTRACTOR, CONTRACTOR hereby

covenants to execute and complete the SERVICES in conformity in all respects with the provisions of
the CONTRACT.

5. In consideration of the execution and satisfactory completion of the SERVICES by CONTRACTOR,

DPOC hereby covenants to pay CONTRACTOR the CONTRACT PRICE at the times and in the manner
prescribed by the CONTRACT.

IN WITNESS WHEREOF, the Parties hereto have caused this CONTRACT to be executed in their respective
names and by their duly authorized representatives as of the Effective Date.
