Both parties agreed that the Buyer agrees to buy and the Seller agrees to sell the
goods on the terms and conditions as follows:

- User guide

Article 2: Technical specifications and quality of goods

2.1 Technical specifications
The technical specifications of the goods in this contract are stipulated in
Appendix no.01 and Appendix no.02
2.2 Quality of goods
The goods shall be 100% brand new, produced not earlier January 2021 and
satisfy all the technical specifications are stipulated in the Appendix no.01
Before the date of delivery, the technician of the Buyer shall come to the Seller’s
factory in order to check the goods if necessary.

Article 3: Warranty
Under such rare situation called “Quality accident”, if Return & Repair Rate for
products of a specific item in the same order reaches over 5%, the Buyer could send
back to the Seller the Defective products of the whole lot of ordered goods for free
repair in one months after receipt of cargo.

Article 4: The attachment of this contract

 The following Appendix is an unseparated part of this contract:
- Appendix 1: The technical specifications of TD-8817 version 3.0

Article 5: Term of payment

USD20,000.00 (USD Twenty thousand only) will be paid for the Seller by T/T
after signing date
The balance contract’s value equal to USD146,321.00 (USD One hundred and
forty six thousand three hundred and twenty only) shall be paid for the Seller by
T/T within 01 week from the signing date.

Article 6: Required documents

The Seller shall supply the Buyer following documents:
- Bill of Lading marked “Freight Collect” or 03 (three) originals clean “Shipped
on board” Bill of Lading marked “Freight Collect”.
- Signed Commercial Invoice in 03 (three) originals.
- Detailed Packing List in 03 (three) originals
- Certificate of Origin (Form E) issued by National Authority on 01 original
- Certificate of Quality issued by the Manufacturer in 03 orginals
- Testing Report Issued by the Manufacturer in 01 Original.

Article 7: Delivery – Packing

7.1. Delivery
- The delivery time: within 07 working days from the date of receiving the deposit
- Mode of delivery: by sea
- Term of shipment: CIF Haiphong, Vietnam
- Loading port: Shekou, Shenzhen, China
 - Unloading port: Haiphong port, Vietnam
- Transshipment: Allowed
- Partial shipment: Not allowed.
7.2 Packing: The goods shall be packed correspond to the nature of goods
7.3 Marking: Each parcel shall be quoted with the information as:
Name of receiver: COMTEC CO., LTD.

Article 8: Discrepancy and Claim

- Claim for quality and Quantity by the Buyer can be raised within 30 days from
the date of customs clearance as the unloading port.
- Claim should be supported by survey report by Vinacontrol, which is a Vietnam
inspection organization.

Article 9: Force Majeure

In case of the Force Majeure like earthquake, volcano, flood, fire, war, strike, the
Seller shall not be responsible for the late delivery of the goods, but shall notify for the
Buyer by fax within 4 days from the occurring date and inform by text together with a
certificate of Force Majeure issued by the Chamber of Commerce concerned within 7
days. Beyond this time Force Majeure circumstances shall not be taken into
consideration.
In case of Force Majeure, the delivery time can be lengthened by agreement of
both parties. All the rights and obligations of this contract are unchanged.

Article 10: Notices

Notices served by one party to the other under this contract shall be made, in the
first instance by facsimile transmission (hereinafter called “FAX”). A further copy of
each notice shall be sent by registered mail and signed.
The effective date of the notice shall be the date of FAX transmission. In the
event of a dispute about the receipt of a FAX, however, the effective date of the notice
shall be the date of receipt of the registered letter or a date five days after the registered
mailing, whichever is earlier.

Any change in an address of FAX number shall be the subject of a required notice
under this contract
Each party should comfirm the notices received from the other party within 2
working days

Article 11: Language

The language of the Contract of all Contract Documents and of all
correspondence and other communication between two parties shall be English

Article 12: Penalty

In case of delaying delivery (excess 5 days), the penalty for the Seller shall be
0.2% of the value of this contract for each delayed day counted from 6th delayed day,
however not exceeding 8% of the contract’s value.
If the delaying delivery exceeds 10 (ten) days, the Buyer has the right to cancel
the Contract without any liability bearing. In this case, the Seller shall re-pay the
deposit for the Buyer and borne the penalty value equal to the deposit’s value.

Article 13: Arbitration

All disputes in connection with this contract shall be settled through friendly
negotiations between two parties. If no settlement can be reached, the case shall be
then submitted to the Vietnam International Arbitration Centre of the Vietnam
Chamber of Commerce and Industry for final settlement inder rules of Concillation and
Arbitration of International Chamber of Commerce. The award rendered by the
commission shall be final and binding on both parties.
The arbitration expense and/or any other charges, if any, shall be borne by the
losing party unless otherwise awarded by the arbitration organization.

Article 14: Other conditions

Neither Party is entitled to transfer its right and obligation under the present
contract to a third party without the other party’s previous written consent.
Any amendment and supplement to this Contract shall be effective only if they
are made out in writing and signed by both parties.
This contract shall come into force from the signing date.
This contract is made in English into four (04) originals and each party keep two
(02) originals.

 KẾT LUẬN

Trong bối cảnh biến động không ngừng của nền kinh tế thế giới và Việt Nam, sự
nhạy bén đối với cơ hội kinh doanh đang trở thành yếu tố quyết định sự thành công của
mọi doanh nghiệp. Đối mặt với khủng hoảng kinh tế toàn cầu, đặc biệt là sự biến động

cùng quan trọng.
Phương án nhập khẩu bộ định tuyến ADSL2+ của công ty TNHH Thiết bị thông
tin COMTEC là một bước quan trọng để đảm bảo nguồn cung và đáp ứng nhanh chóng
nhu cầu thị trường trong tình hình hiện nay. Tuy nhiên, cần lưu ý rằng lợi nhuận từ
phương án này, mặc dù có, nhưng vẫn chưa đạt tới mức cao mong muốn. Giá trị hợp
đồng chưa lớn, và chi phí đầu vào vẫn đang đáng kể.
Trong tương lai, để tối ưu hóa lợi nhuận và giảm thiểu rủi ro, công ty cần đặt ra
mục tiêu tự nâng cao năng lực sản xuất, đặt ra chiến lược phát triển sản phẩm mới, và
tìm kiếm thị trường tiêu thụ cũng như đối tác kinh doanh. Điều quan trọng là giảm
thiểu việc nhập khẩu các mặt hàng có thể tự sản xuất được trong nước, điều này sẽ giúp
giảm chi phí đầu vào và tăng cường lợi nhuận.
Công ty cũng cần sự hỗ trợ mạnh mẽ từ Nhà nước, đặc biệt là trong việc giáo dục
và đào tạo nguồn nhân lực chất lượng, nâng cao trình độ kỹ thuật viên Việt Nam. Điều
này sẽ giúp đảm bảo rằng sản phẩm do doanh nghiệp Việt Nam tự sản xuất có chất
lượng cao, từ đó củng cố vị thế trên thị trường nội địa.
